Some cold hard facts. Mainebuys, allow to disagree, click on the link and see for yourself what Patent Office records and what not. Are the filings current or not.
It seems MicroFluidic is still very much involved in MBAND patent. Though, according to this record, yes, PSID has some interest in this patent directly, but what that is exactly, I do not know. Therefore, your claim that PSID owns all the MBand IP has some merit, but is not entirely correct.
I'm on this board ONLY to gather and share data without any emotions and needless argument exchange. Lets just dig deeper and get to the bottom of it. Peace!

Big Simon, yes, I do own shares. And would very much like to make some money on this. I am just as hungry for data as everybody else here. Depending on the same data sources as everybody else, i.e. internet. Therefore, I'm just trying to put together bits and pieces of facts as well as I can. I do not want to settle on hunch or hope. And when I see something that catches my eye, I care to share. Probably should not have as I feel that sharing findings and relating thoughts is kind of unwelcome on this board. go figure.

Although, Patent Office Records show that the owner of this patent is still MicroFluidic Systems, Inc.
To the best of my knowledge, Patent Office keeps pretty up to date records of patent owners, because an assignment, grant, or conveyance shall be void as against any subsequent purchaser or licensee unless it is recorded in the Patent and Trademark Office within three months from its date or prior to the date of such subsequent purchase. These are just facts I have dug up doing light DD. Or am I missing something here ? I have not seen any filings pertaining assignment of MicroFluidic Systems' patent to PSID. If you have a link to that info or have any other factual material supporting your claim, please let me know.

I do hope this arrangement with Boeing IS as you put it.
M-Band Patent No. 8,053,214, "Apparatus and Method for Extracting and Analyzing an Analyte from a Fluid-Based Sample" was awarded to PositiveID's MicroFluidic Systems ("MFS") subsidiary, which maintains a strong and growing patent portfolio.
This actually means that PSID itself does not own the infamous M-BAND patent. Its daughter company in California (?) owns it. I understand that PSID itself is a holding company that funnels stockholders money to its subsidiaries for R&D work. Its all fine and dandy, but come to think of it - PSID itself is deeply in the "red" income-wise, whereas its subsidiaries are awarded patents to make profit on. Am I the only one who thinks this does not smell right ? Overall, in mean.
Yes, it might be very smart from the company's point of view to protect its IP assets using corporate structures, but - HEY, what about the small shareholders over here ?
Just my opinions only.
I do not want to sound pessimistic, but facts, even regarding a growth company, speak for themselves. What I'm worried about is the fact that 2.5M was received for 3 B business opportunity, and no further details regarding the arrangement or any hint of royalties has surfaced. IMHO any royalty arrangement is something a growth company would disclose to its shareholders loudly and proudly. But the fact is, nothing of a sort have we heard.
Therefore:
1) according the SEC filings, Boeing paid 2.5 M for all the IP regarding MBAND. IMHO this means, and until we have not seen any royalty arrangement, that PSID shall not receive any income from the production and the sale of the MBAND units. The agreement provides Boeing the exclusive license to manufacture and sell MBAND for BioWatch Gen 3 opportunity.
2) under the teaming Agreement, PSID will retain exclusive rights to serve as the reagent and assay supplier of the MBAND systems to Boeing. Nice, BUT...
3) pursuant to the Security Agreement, PSID has granted Boeing a security interest in all of the licensed product under the License Agreement, to secure PSID’s performance under the License Agreement.
This means that PSID, without any income (royalties) from the sale of MBAND (in US), and probably w/out any other income, MUST be able to perform under Boeing agreement. If not, security interest arrangement shall (and more often than not), by the end of the day, make sure Boeing gets full control over the reagent and assay supply business as well.
AND ALL OF THAT FOR MERE 2.5 M. Not bad for Boeing, not so good for PSID stockholders.
To be honest, I do hope I am mistaken, and there is a lucrative royalty arrangement in place for PSID, because I want them to succeed. BIG TIME.

Somethings not right. The solicitation numbers are different. Though the Industry Day IS about BioWatch Gen 3. It could be an Industry Day for supporting services of BioWatch Gen 3 procurement.
Industry Day will be held at 1120 Vermont Ave, NW, Washington, DC 20005 on Tuesday, February 26, 2013 at 10:30 am ET.

Maybe everybody has seen it already, but here's a piece of government's analysis on BioWatch program.
In October 2008, after determining that before it could be fully deployed as an interim solution, APDS would need nearly as much time in testing as the BAND-based technology, DHS decided
that both technologies should be tested simultaneously. In the same period, language in
the committee print accompanying the DHS appropriation act called for a competitive bid
process for the first testing phase of the Gen-3 acquisition. Staff of House Comm. On
Appropriations, 110th Cong. 656 (Comm. Print 2009). Five vendors responded to the
request for proposal and DHS awarded contracts to two—the vendor that manufactured
BAND (now known as M-BAND) and the vendor that used the APDS-based system (now
known as the Next Generation Automated Detection System, or NG-ADS). At this point,
both became Gen-3 candidate technologies, but only NG-ADS completed the first round of
testing.

IMHO it seems PSID is not so "well positioned" after all.
Moreover, 10-Q states:
"On August 28, 2012, we entered into an Asset Purchase Agreement with VeriTeQ (the "VeriTeQ Asset Purchase Agreement"), whereby VeriTeQ purchased all of the intellectual property, including patents and patents pending, related to our embedded biosensor portfolio of intellectual property. There were no proceeds received in connection with this sale and the intellectual property had a book value of nil. Under the VeriTeQ Asset Purchase Agreement, we are to receive royalties in the amount of ten percent (10%) on all gross revenues arising out of or relating to VeriTeQ's sale of products, whether by license or otherwise, specifically relating to the embedded biosensor intellectual property, to be calculated quarterly with royalty payments due within 30 days of each quarter end."
IMHO this basically means that former CFO's own company is picking up the same business elsewhere. And its not very hard to do as far as the whole business of PSID is basically IP only. And IP rights, as we all very well know, can be transferred with a single signature.

And finally, the biggest red flag to me is when a company can not pay its own lawyers any more. And PSID is way past that already. How can you negotiate new funding when you don't have proper council any more....
