X-Fortune 500, ICAN stock is a way to HIS means. If he cared for you and others he would not hide the most important information a shareholder needs to make an investment decision.
Then again, you think this is a .07- $1.00 stock so logic cannot be your forte'.
Good luck to you also.
hurricane_force, they SAY that they are going to do those things and used the words "up to" on the stock buyback.
Safe Harbor on those Press Releases says that it may not happen and not to invest in a stock based on statements in PRs.
11 Billion shares of ICAN have traded over the last three months and the stock has not gone up. There are way better investments out there IMO. You can continue to hang around; .0006 is a double from here.
Good luck.

scalecarfan,
You truly haven't gotten it although explained on this board dozens of times. Remember, this company is run by two professional stock traders and majority ownership is by another with a history of OTCBB stock exchanging companies.
If S-8 shares are given to officers which increase their holdings; they must file Form 3,4, or 5s declaring the increase and can only sell a predetermined % depending on volume and the filing of a Form 144.
If they give S-8 shares to "employees" or consultants, they can be cashed out immediately with no registration. I'm still not too certain about the legality of using the proceeds of these S-8 shares as cash put back into the company- but I would think that they would know the rules. The sec.gov website goes into exhausting detail on the subject. Here's the best link I've seen in layman's terms;
S-8 registrations enjoy two immeasurable benefits: S-8 registration statements are not subject to automatic review by SEC examiners, and become effective immediately upon filing. Once the Form S-8 is filed, the S-8 shares are registered, free trading stock. Company counsel can then issue an opinion letter to the company's transfer agent asking that unrestricted shares be issued in the name of the employees under either the consultation contract or employee benefit plan.
A History of Abuse
The SEC's literature on S-8 routinely notes two primary areas of abuse that are strictly forbidden. First, companies fraudulently issue S-8 stock to nominal employees or consultants, who then sell the shares at the direction of (and for the benefit of) the issuer. Second, Form S-8 has been misused to register securities issued to compensate advisors who then use the shares to hype and/or promote the issuer's securities. These two specific misuses have routinely led to SEC investigations and prosecutions by SEC staff. See http://www.sec.gov/litigation/admin/3-9597.htm, for a sample case.
When S-8 Cannot Be Used
As discussed, the SEC's prohibitions on the use of S-8 fall ultimately into two areas: a prohibition on the use of S-8 to raise capital, and a prohibition on the use of S-8 to promote the issuer's stock. In practice, these prohibitions are necessarily expanded to, for example, forbid S-8 shares to compensate persons who arrange reverse mergers. The SEC's position is that reverse mergers too often deteriorate into pump and dump schemes. Similarly, S-8 shares cannot be used to compensate anyone if the issuer or a promoter directs the resale of the shares, or the issuer receives any of the proceeds.
Also, S-8 shares must be issued to an individual person who provides bona fide services, not an entity such as a partnership or corporation. The SEC reasons that they wish to prevent "the use of consultant entities as underwriters." Note, however, that the consulting contract underlying the S-8 issuance can be between the issuer and an entity, "as long the securities registered are issued to the natural persons working for the consulting entity."
Thus, the following five rules summarize S-8's explicit prohibitions:
· S-8 shares cannot be issued in connection with promotion of the company's shares.
· S-8 shares cannot be used if the issuer or a promoter controls or directs the resale of the shares.
· S-8 shares cannot be part of a capital raising-scheme or if the issuer receives a share of the proceeds of resales.
· S-8 shares cannot be issued to persons who arrange reverse mergers.
· S-8 share must be issued to natural persons for bona fide services.
Services for Which S-8 May Be Issued, and a Warning
As long as the S-8 prohibitions are avoided, S-8 can be issued in exchange for a wide range of services. Of course, because Form S-8 is not subject to automatic SEC examiner review, the SEC will never advise that S-8 is or is not appropriate. The only way an issuer will ever learn that an S-8 issuance was improper will be if the matter comes to the attention of the Division of Enforcement. Thus, caution is obviously warranted. If an issuer ever doubts the appropriateness of S-8 shares in a particular circumstance, the best course is to postpone the S-8 filing and secure a no-action letter from the SEC.
The SEC has offered a substantial degree of welcome guidance by outlining specific types of compensation for which S-8 share may be issued. Of course, individual circumstances can render these examples worthless. The following services have been explicitly outlined by the SEC as examples of services for which S-8 stock may be issued:
· Consultants who provide traditional product or corporate image advertising (except when done to promote a company's stock).
· Business development consultants retained to identify another company as a potential partner for technology development.
· Consultants who advise the issuer on business strategy or compensation policies.
· A consultant who arranges a bank credit line.
· Attorneys who represent an issuer in matters not relation to its securities, such as litigation defense, securing U.S. Food and Drug Administration approval, or obtaining a patent.
· Attorneys who prepare the issuer's Exchange Act reports and proxy statements.
· Attorneys and other consultants who assist an issuer in identifying acquisition targets, or in structuring mergers or other acquisitions in which securities are issed as consideration, unless the acquisition is a typical reverse merger.

Hope this helps again.
martinwitton, the only way you could be up on ZKID would be if you were selling and taking profits while telling everyone else to buy.
That's a scumbag. The company has used the guise of helping kids and parents by providing a "service" that has generated $5,237 in gross revenues total since August 1999 while selling millions of shares of stock for management's personal gain-- you are either in on it too or don't realize you are part of the game.

Online firm looks out for kids
--------------------
JON VAN
May 22, 2004
When it comes to the Internet, Jon Darmstadter is a real control freak.
He controls things so tightly that among the tens of millions of Web sites available, his online service offers access to only about 1,000. The service, based in Northbrook and called the ZKid Network Co., vows to protect children ages 4 to 10 from seeing anything disturbing online.
It's a tiny company, with only about 1,000 subscribers, and competes with giants like America Online and Microsoft Corp. in claiming to protect small fry. Darmstadter concedes he lacks the resources of an Internet powerhouse.
"We cannot compete with AOL's Kids Online when it comes to content, but we'll beat them or anyone else when it comes to safety," he said. "We always will err on the side of safety."
And thanks to some new technology originally developed to fight terrorism, ZKid also hopes to expand its network offerings without compromising its mission to assure absolute safety.
Darmstadter employed a Florida firm, UTEK Corp., to look for software that would enable him to check out thousands of Web sites, including all their pages and links, to assure everything was suitable for youngsters.
Clifford Gross, UTEK's chief, said his firm regularly works with universities and national labs to find new applications for technology. In this case, the Pacific Northwest National Laboratory had developed a tool named Mozart to search Web sites for information about terrorist activities.
UTEK saw Mozart's potential for ZKid, Gross said, and licensed the technology from Pacific Northwest, making it available to ZKid in return for an equity stake. ZKid's staff is now using Mozart to expand its online access to about 10,000 sites, Darmstadter said.
In the near future, subscribers will be able to submit new sites they'd like Mozart to check out. If nothing offensive shows up, the site will become available for all ZKid subscribers.
ZKid charges $9.95 a month for its service. For another $5, it includes a full Internet service that can be accessed by adults when youngsters aren't online, Darmstadter said. The service includes a feature that enables a parent to go into the computer and review everything a child has been seeing.
"We've done everything you can on the technical side to keep kids safe, but we can never replace the parent's oversight," he said.
Darmstadter is hoping to partner with fast-food restaurants, cereal-makers and others to promote ZKid by offering free trials. He's also offering it free to schools and libraries that contact him through the Web site at www.zkidnetwork.com.
Clearly a hit: Radio frequency identification technology is in its early stages of rollout, but enthusiasm for it seems to be building across the economy.
The technology uses chips that emit radio signals to transfer information, much as bar codes are swiped to tell a cash register what product is being purchased and what it costs. The RFID chips, which communicate at a distance, are expected to speed the flow of goods even as they increase information at every point in the distribution channel.
Wal-Mart Stores Inc. and other large retailers are requiring their suppliers to adopt RFID, and the federal government has a similar program for its vendors.
Earlier this month, the Computing Technology Industry Association, based in Oakbrook Terrace, said it will promote RFID in the computer, electronics and information technology industries.
"Companies that take a wait-and-see approach could end up at a competitive disadvantage," said Richard Morrissey, president of the association's electronics industry data exchange leadership group.

eztradin, question;
If the CEO had 6 Billion+ shares "locked-up" according to the agreement on UNQT's website; wouldn't he have an additional 36 Billion free-trading shares after the Forward Split?
It's a legitimate question; the RB board seems to ignore it. That definitely would have an impact on future upward movement of the stock.
O/S and Float are definitely things that are important to know also but are not addressed either.
Any help would be appreciated. TIA
RDG013, unfortunately the first line of your last post is all that matters.
You fell in love just like WWWN. Glad you're happy with the business; they need to find a lot more like you.
Good luck.
J-Rhino, like I said; anyone can cling to one example of an OTCBB stock that made it and use it to compare it to their favorite stock although it has no correlation whatsoever.
As for KNOT; did you miss the part about it going from $9.00 per share in 2000 to .22 cents then back up to $9.00 per share and currently heading back down to support @ $2.75? All of it caused by buyers and sellers and not business.
If you bought it in August- September 2003; then you made a ton. If you bought KNOT last month; you're losing your shirt.
Either way- nothing to do with MSEP. Good luck again.
Goldman450,
Insiders have never purhcased one share. Why would you think they would start when you can give yourself as many shares as you want?
BTW- VIKING163, I think people are trying to tell you that only Buying vs. Selling and what the company does with their stock is all that matters on the OTCBB. Everyone here would claim that business is better now than when MSEP was .089.
Case closed. This needs HYPE about a merger or acquisition that will cause people to buy MSEP stock; the actual m/a will not cause the stock to go up automatically. The investors that don't like hype and want the company to build the business as it should propel the PPS higher are just fooling themselves and are in love.
While you're waiting- learn a little about Pinksheets/ OTCBBs and SEC filings. Also, everyone in these markets will always have a reference to another OTCBB or Pinky that exploded (MBAH, ADZR, SPEA, NEOM, GTEL, etc.) and will compare it to the stock they are invested in.
Good luck. It looks like people were smart to wait until .03 to buy MSEP because they would have been down 1/3 right now.

Once the Golden Cross occurs; the direction will be better defined.
BTW- Holding and hoping forever will never make you a dime and please get .15 out of your head because 100 million shares traded didn't get it to .09 when there was less stock O/S. It would need mucho buyers to drive it to those levels again.
Good luck.

http://www.sec.gov/Archives/edgar/data/1039466/000107258805000137/xsnx10q3-05.txt
These sponsors are getting worse and worse. XSNX is about .09 overvalued with 120,000,000 shares O/S. But with paid pumps from MoneyTV, IBCS, and InvestorIdeas in the last week; it should have created some interest. You betcha that he should talk about the sponsors on the show (you would think).
Another kiss of death? As for ICAN @ .0003 after 1/2 billion shares traded and at least 200,000,000 were buys according to the PR through a third-party so it NEVER can be proven unless greater than 10% of total O/S - that's all you need to know. Just cancel the shares already; idiots posting that they have to buy the stock throught the open market to take it private are barking up the wrong tree. Simply issue yourself enough stock for a voting majority and then vote to cancel it.
Why would the CEO of ICAN buy stock when he can do that?
As for recommendations on buys: find one that is going up, buy, sell before it goes down, and don't believe anything the Press Releases or the company says.
That's as simple as these markets are. Too many people fall in love and once you do you are done. You can never sell a loved one.
Good luck.

IBAC Corporation Board of Directors to Explore Management Buyout
NEW YORK--(BUSINESS WIRE)--May 17, 2005--IBAC Corporation (Pink Sheets:ICAN) today after the bell announced that the Board of Directors has approved a requested action to explore bringing the company private via a buyout and has approved corporate counsel to pursue a management buyout that would return to the company to the private sector.
Management believes at this point of poor market conditions for its securities and shareholder discontent that a buyout from management and returning the company to the private sector would be a solid business decision. The Company will review all options and act accordingly, with the intent of the company being a private entity.
"I believe that this is the best course of action at this point since I have a major investment in this company and the share price has not performed the way I thought it should. I have advised my counsel to explore all the ways to bring the company private via buying any and all shares I need to. I respect all shareholders that have invested in the company and hope they will realize that this action is in the best interest of the Company," said Edward W. Hayter, President.

Bramabill;
Play the stock for your gain like ragincajun25 and others are. There are some on this board (it's easy to discern) that are OTCBB novices that only know how to buy and are "Long" by default.
Business doesn't matter on the OTCBB. Only Buyers vs. Sellers and what the company does with its stock is all that matters. O/S has tripled in less than a year; that should be a cause for concern but is considered by most a "growing pain".
This is one sentence (run-on) of my observations. In my opinion...
People invested in MSEP are invested in a highly paid couple that rent a warehouse, have a storefront, a website, and an eBay store who announced a $5,000 per month management position and also have a $10,000 per month consultant with ultimate voting rights while the business generates $562 per day at a cost of $4,085 per day but made $5,829 per day from the issuance of stock over the last quarter while issuing well-written PRs that people will re-quote over and over adding anticipation of big deals in the works continuing to keep people interested until at least the next 10QSB despite having $60,062 in cash and $257,051 in Accounts Payable as of March 31, 2005.
JMHO. Couldn't anyone with a minimal investment copy their business plan? I know you wouldn't have millions of shares to give drivers to build credibility though.
Make money and quit falling in love. The business will never drive the stock higher; only buyers will. .02 to .04 is 100% profit- that will not depend on how many little cars are sold.
Good luck again.
Art2Gecko;
I believe that OSFT can sustain interest and buyers may continue to dive the stock price higher. That's all that matter on this or any other Pink Sheet or OTCBB stock. As much as people will argue until they are blue in the face; business, revenues, contracts and products don't matter toward PPS. OSFT may have a good run like some predict or it may not despite any business that they are doing. It is impossible to determine which way it will go in the long term especially since O/S and float figures are 2 weeks and 200 million shares traded old.
That being said:
- All of the objectsoft and nanergycorp website link back to the same semotech site registered to Zoltan Kiss. Here's the old website;

http://www.gemzcorp.net/index_files/GEMZWBP.pdf
- I'm fairly certain that your link to terrasolar.com is not the Terra Solar Development Corp that changed to RES inc that GMZP and now OSFT are merging with. I will find the right one. Here's how Pinksheets describes it;
Business Description:
ObjectSoft has agreed to acquire all of the assets of Nanomerge, the nanotechnology assets of RES, Inc. (formerly Terra Solar Development Corp.)
- GMZP started out as American Jewelry corp 4 years ago and has been GMZC, MSMC, MSMJ, AMJW, AMJC, and AMJY after Reverse Splits equal to 262,500,000:1 (300:1, 7000:1, 125:1, 100:1).
IMO, OSFT was created on January 3, 2005 to carry on the story created by GMZP last Summer. Read the GMZP board at RB and see the http://www.gemzcorp.net/ for more details of the story.
As I said; it's all about selling a story and stock with all of these companies. Everyone who bought after tax day (April 15th) is in a positive position on OSFT. Hope buyers continue to flow in and people have the ability to make $$$.

Ok, so we've finally come to the conclusion that everone is invested in one guy with a laptop in a van down by the river somewhere outside the U.S. LOL!
How much do you expect him to advance the business past that point? Not to sound like the broken record here (full- we get it), if people invested in the company can't stand to listen to the show and sponsors tank after donating to the cause-it's not a very marketable business plan. I understand how the stock itself might seem attractive with a 100 million O/S and a soon to be 1/2 penny per share price tag...
...but what could they possibly do to attract anyone to buy this thing?
The pundits only have the "low O/S...any buyers and it will fly" argument. We all know that OTCBBs are not about business but very few of the tactics that IBCS has used over the last few years have created investor interest even though this company has all the exposure of everyone invested in their sponsors. If it drops to .003 like some longs hope and pray (?) and nobody shows up to buy; it's @ .003. It also has gzagza and stju1970; two people who have never gotten one right yet.
Lastly, who decides where and when to sell the sponsors stock and trade their wampum for the betterment of the company? Hopefully whoever is doesn't have intheknowfl and all of his other aliases on the advisory board. LMAO!
Holding some of their sponsors for a week would be a bad investment. Having to hold them for a year and THEN deciding where to sell should be an independent advisors decision IMO. Has anyone ever seen a Form 144 to sell any of the restricted sponsor shares held by IBCS? I don't know; I'll look but was just asking.
I wish it wouldn't take so long for some to get it. You can always make it back somewhere or IBCS could come up with something to pump it up to help those who have supported and defended the company for years for no monetary gain.
Make up something. They've done it in the past, their sponsors do it, and they help propogate it. Here's to new buyers and one new poster on either board other than stju(I think the last one was pre-2005 - scary). If .03 rears it's head again here somehow- I don't want to hear any bellyaching ever again.
