Yes, I spoke with Centaurus reps

To re-iterate, I spoke with two supervisors, asking specifically what caused the filing delay. They said the merger with Centaurus and Sweetwater came right as they were about to file the yearly 10K. Initially, they thought they could file like normal, but with itemized amendments. The SEC said no. Which meant they had to re-audit everything for the entire year. And since they missed the first extension deadline, to be sure, they hired a second auditing team, as well as a second law firm to make sure everything was done correctly. At a certain point, the pace of these proceedings were completely out of the management's control. All they could tell people was "we believe we will meet the deadline." Obviously, that kind of unsure tone worried investors who jumped ship and killed the PPS. But the audits were finished last Thursday, approved and signed by both law firms Friday morning and mailed that day to the review board of the SEC. Once again, we are simply waiting on procedure. The lead manager I spoke with said the SEC spokesperson said their review would take no longer than 3 days (by Wednesday) but probably sooner. And as soon as the filing is made public, the E will be removed. Considering just a few hundred dollars will get you several thousand shares at this level, I'm not aware of a more sure thing at the moment. The spike on Friday is a guarantee. So load up as much as you can.

There is nothing to worry about with Centaurus in the near term. Before the late filing it was regularly trading between 30 and 40 cents. The moderators of this message board routinely delete positive news posts because they are short sale traders. Pure manipulation. I spoke with the company at length. The audits are done, and the E will probably be removed tomorrow.

They have a lot of financial support from Vegas investors. Plants for production have begun construction. As with all start-ups, when those expenses start showing up on earnings reports next year, you will have to brave the wave of back and forth with regards to short sellers and he general get-rich-quick idiot jump shippers. They're fine. They've spent way more money clearinbg up this merger than any individual investor would throw down. They're not going under, or even close. Anyone who bought in under a dollar and holds til a dollar will get paid heavy before the spring report. The E will be off by Thursday at the latest. And the lonny pump pages will be screaming to buy. So enjoy your money. The report is done and finalized. They'll announce it tomorrow or Wednesday.

I spoke to the lead auditor. Since the was no chance of a third extension, they had to make everything was correct before Aug. 16. So they had their own audit, hired a second audit firm. And hired two law firms before filing. It was all approved and finalized Thursday. Mailed Friday. Once the SEC gives the ok, it will be filed and announced publicly. Either today, or tomorrow. So at .0153, put everything extra you have on this. Because you are guaranteed an initial spike from Wednesday to Friday of this week.

I just spoke with Centaurus IR

both with their lead Investors Relations supervisor and their manager of audits and accounting.

They said the delay is because they had to re-audit everything because of the merger occuring right at the moment when Sweetwater was about to file, so everything for the two companies had to be reconsidered as one, requiring consolidating of all statiistics and then (by law) re-auditing it all for mistakes by two separate licensed auditing firms, with the results reviewed, in-kind, by two law firms. The delay has simply been due to the time-consuming procedures of each of these firms.
He said the audits were finished yesterday, given to attorneys today, to be sent to the SEC for review tomorrow, with the E coming off by Wednesday of next week at the latest, depending on how fast SEC officials conduct the review.
He said there will be no accounting surprises, but that everything as forecasted remains the same. So IMO if you're smart you will load up. Cause it may never be this much of a bargain ever again.

The rep told me the reason this is late is because of the information request procedures from some of Sweetwater's partners. Essentially, there is no difference going on. Having an E put on is definitely cause for alarm, but they stil have 30 days to file, and when I called the company they said it might be filed as early as Wednesday.
