They timed this perfectly. $12M cash on hand now against a $45M market cap. That's enough to last 2 years at their current burn rate. Not to forget the many near term catalysts and operating profit heading positive. The RDO was the way to go... We'll see how the market reacts. Should be a positive as they secured their ability to execute their plan.

I'm sorry. Having some trouble with the math here. You say 50-60k in profits? How do you know the COGS on 20k units is $340 - $350k> I didn't say the COGS were $340-350, I said their profit would be $50-60K and to be more specific, I should have said EBITA. This is a loss business for awhile unless they can ramp the sales significantly(multiples) of todays performance. That doesn't happen overnight.

IMO, there is a difference between advertising the dolls and issuing a press release through the methods I've seen thius far. All they need to do is drop it on the live wire and save the wasted cash.

Seeing how they have no cash, I would be impressed if they can do it without kicking the can down the road with more convertibles.
They have 20K dolls out at $20 each or $400K in potential revenue. That's $50-60K in profit that they desperately need for operations. Can even float the next 3 dolls inventory with that if it's consigned.
They need to communicate a PLAN to establish shareholder value and EXECUTE that plan. So far, the execution has obviously not been there. There needs to be transparency, not a paid pump and dump or there will never be a market again. Open a blog on the website under the investor page and manage it. They'd be surprised at the FREE consulting they get, whether they choose to hear it or not. 10 is always better than 1 and good leadership knows how to read it. Ungag the TA... It's only harming the SP. If investors can see the share structure they will create a market.
Right now they're a startup, not an established company with free Cashflow. They need to manage their costs, not issue shares for custom furniture or waste money on paid promos.
I could go on and on, but maybe I'll save it for the blog someday.

I'm thinking FINRA will delay the approval until the authorization period expires. Way to many red flags here IMO.
If I remember correct, the period is 60 days from when they submit and they are required to submit 10 days prior to the effective date.

Most companies at one time, will offer up the qualifications of the President, CEO or other officers. Check his past involvement with public companies and the past performance of that stock. Chances are that if he's been involved with past pump and dumps or other schemes, you're now looking at one that is heading in that direction. Also, it is a good idea to look into court records of the individual(s) involved and their previous companies and see if anyone has been involved in civil or criminal proceedings, especially for fraud.

4. MESSAGE BOARD CONTENT
Yes, forums such as investorshub.com, siliconinvestor.com or the Yahoo Finance Message Boards usually contain contributions from child-like posters who are there for no other reason than to try and convince themselves that they made a good investment. But you can often find the touts or Investor Relations guys posting anonymously trying to keep the pom poms shaking and keeping the naysayers in check. They know that people who are apt to follow spam email or stock touts probably consider these message boards to be research so they want to bluster about their great investment and brag about all the money they are supposedly making. These are the guys who call anybody negative or questioning the company a "paid basher" (there is no such thing) or the ones who claim they have done their "DD" ( due diligence) when there is really none to be done. When you ask what DD they did, they will be vague with their answer or give a non-answer, with a "Because I said so" kind of response. They are also the ones who offer up lame excuses for down days such as naked short selling (does not occur in the penny stock market) or MM (market maker) manipulation. They are also the ones who make bold and baseless predictions like, "This is an easy ten-bagger" (stock price will increase by a multiple of ten).

If nobody will tell you how many shares are out on the street or if that number is disproportionate to the stock price (a billion shares of a stock trading @ one tenth of a penny for example, stay away. Chances are a reverse split is coming and you will be left with only a few shares worth a fraction of what you spent.

CANCELLATION OF SHARES AND BUYBACK PROGRAMS
For some reason, dupes consider the announcement of a cancellation of shares or share buyback programs to be signs of authenticity of the insiders' intentions. Insiders will announce these programs part and parcel with a pump and dump scheme.
The cancellation of shares, usually involving an insider's return of some of his common stock to the company treasury, is usually meaningless because the insider(s) will never give back enough stock to relinquish control of the company. And as along as the insider(s) have control, they are free to reissue themselves stock under a number of schemes, once they have sold enough to put their control in peril. They also probably hold enough preferred shares, options and warrants to give themselves all the future shares they want.
Share buyback programs are usually announced with caveats such, "at the discretion of the board" and "from time to time", meaning they might buy stock when they want, at the price they want and as many shares as they feel like. There has yet to be a significant buyback program carried out on the penny stock market.

It looks to me like they paid off one to Asher, issued a new one and have one coming due in Febuary to them.
The Company also issued $80,000 in convertible debentures to Asher Enterprises which may be converted at the holder’s discretion into our common stock at an exercise price based on the market price of our common stock.

On October 18, 2013, a convertible debenture entered into with Asher Enterprises dated 4/19/13 for $32.5k was paid off by the Company.
On October 14, 2013 the Company entered into an 8% $37,500 convertible debenture with Asher Enterprises. Conversions are based on variable pricing at 44% discount to market.

They issued the PR in the beginning of December about paying off the convertible to Asher, retiring $65K... yet through September, they issued $500K more and in mid-October, issued a 8% convertible to guess who.... Asher for $37.5K based on a variable rate with a 44% discount to market (Don't look at the wrong hand as Chocolate said).
They were past due on notes totaling $137K at Sept. Why wasn't this brought current?

I don't remember the exact number but believe that last report was around $800K of which $600K is still due. Add in the ones they did pay and remove $2M from the equation for the debentures for sake of arguement.
