[27] MGX is a mining company incorporated in British Columbia. It was a reporting issuer in British
Columbia and its shares traded on the Canadian Securities Exchange during the relevant period.
[28] Stock Social and Johnston admitted that Stock Social provided investor relations services to
MGX from March to August 2017. Stock Social prepared and disseminated six different
advertorials about MGX on 14 newswires and websites. Most of those Records contained
disclaimers or disclosure:
• Two of the Records contained a section at the bottom about the websites or newswires
that published the advertorials. Those sections were titled “Third-Party Content” and said
the content came from third parties and any opinions stated were those of the third
parties. The websites and newswires disclaimed liability relating to the content;
• Two other Records contained links to disclaimers about content published or re-published
by the websites or newswires. Those links appeared at the end of the Records;
• One Record contained a section at the bottom about the newswire, titled “Disclaimer”.
That section stated “…. NNW’s compensation disclosure is incorporated herein and
appears in full at http://NNW.fm/Disclaimer”;
• In one case, Johnston sent an advertorial to a publisher for dissemination indicating Stock
Social as the source but he did not instruct the publisher to include a disclosure statement
to that effect and that Record did not contain such disclosure;
• Eight Records contained sections at the bottom. Those sections, titled “Disclaimer”, said
that the content should not be taken as investment advice. They indicated a fee had been
paid for distribution but did not say by whom or on whose behalf;
o Three of those disclaimers stated “Source: MGX Minerals Inc.” at the bottom of
the Record following 20 paragraphs of content. They also stated that “… the
author of this editorial content is third-party and not the opinion of the
company…”;
o Three others indicated the source as Stock Social. They indicated that investors
should always consult an investment advisor before making any trading decision.
One of those had a link titled “Legal Notice”; and

o One indicated Baystreet as the source.
[29] None of the above Records indicated that they were issued on behalf of MGX. With respect to
the three that identified MGX as the source, Stock Social and Johnston admitted that the
disclosure was not clear and conspicuous.
[30] The investor relations services provided by Stock Social also included multiple promotional
posts about MGX by 17 social media influencers retained and paid by Stock Social on various
platforms including Twitter, Facebook and LinkedIn. A number of those posts linked to the six
advertorials. None of the posts indicated that they were issued on behalf of MGX.

To their surprise, the researchers observed worse clinical outcomes and decreased antibody levels among vaccinated patients compared with the unvaccinated group. Antibody levels have been the determining factor used by vaccine makers and U.S. regulatory agencies to determine whether a COVID-19 vaccine is effective.
Furthermore, researchers observed reduced SARS-CoV-2-reactive antibody levels in vaccinated nonsurvivors.
An antibody is a protein produced by the body’s immune system that circulates in blood, recognizes foreign substances such as bacteria and viruses, and neutralizes them. After exposure to an antigen—a toxin or foreign substance—antibodies continue circulating in the blood to protect against future exposure to the virus or bacteria.
In their study, the researchers measured total IgG4 antibody levels in vaccinated and unvaccinated patients and found higher concentrations in COVID-19 patients in week three, along with reduced protective antibody responses, indicating the higher IgG4 levels didn’t necessarily yield protection against COVID-19. This is consistent with recent studies suggesting mRNA vaccines may increase COVID-19 spike-specific IgG4 levels without providing protection.
For example, a May 2023 study in Vaccines found that increased IgG4 levels after repeated vaccination with mRNA vaccines may not have a protective effect. Instead, it may cause “an immune tolerance mechanism” to the SARS-CoV-2 spike protein that promotes unchallenged SARS-CoV-2 infection and replication by suppressing natural antiviral responses.
A July 2021 study published in Vaccines showed that mortality rates among vaccinated hospitalized patients increased with additional vaccine doses and post-vaccination time.
However, the authors of the current paper noted that other studies have found benefits to vaccination for hospitalized COVID-19 patients and that IgG4-related noninfectious diseases are more prevalent in patients older than 50 years, which could contribute to increased mortality. At the same time, the higher mortality rates observed among vaccinated patients older than 50, compared with unvaccinated patients with severe COVID-19 and respiratory failure, are concerning and may indicate an impaired response to COVID-19 vaccines, the authors said.

Reverse split is always negative but not always a done deal. Plus there are times when it works out like it is meant to. It all depends on the company growing and what's in the hopper. I have ridden a few to great heights and lost a few to know that there is no fast and regular rule as to what happens despite the gloom everyone harps about.
Scenarios like this one I have witnessed where the rs is not acted on and later is canceled. Why? It gives time for the CEO (et al) to gather more control by a few different means...very friendly or personal loans, negotiation for preferred shares and control, common accumulation by insiders. Then once accomplished the rs vanishes by stroke of pen, or not, but with other great news to follow or accompany a rs that sends the pps skyward. Been in a few of these.
So to me, adding at this super bottom is easily worth the risk. As they say, "let the buyer beware". As I say, try not to leave the seller crying too hard. Each to their own.

The property also contains a large magnesium deposit in the form of olivine and brucite, which is currently undergoing investigation for processing to magnesium oxide a widely used mineral with applications in the industrial, construction (wallboard and cement replacement), agricultural (fertilizer and animal nutrients), environmental (water treatment), and pharmaceutical (supplements) sectors. There is also great interest in the use of magnesium compounds, in particular the form of olivine and brucite, as occurs at Tulameen, for carbon sequestration. A large project is currently ongoing in Iceland, the world leader in geological carbon sequestration, utilizing magnesium compounds in situ. One tonne of olivine can bond with up to one-third of a tonne of CO2 making it one of the best natural carbon sinks. The global market for carbon sequestration price for carbon credits is in the $25 per tonne range, but this is heavily governed by local factors. The nearest carbon sequestration for British Columbia industry is out of Province in Alberta suggesting strong potential for a large scale storage facility and carbon credit creation and offset for industry in the western part of British Columbia due to the size of the deposit and potential monetization through existing carbon credit and offset programs. The Company anticipates providing further information on both the industrial magnesium compound and carbon sequestration potential of this project as developments occur. In addition, the Company will continue to focus on exploration for platinum group metals, in addition to copper, nickel and cobalt in and around the large olivine (Mg) deposit. Of note is the unique geology of the area, including, significant garnets and the historic report of a micro-diamond discovered in the southeast quadrant of the property.

This company is a sleeper IMO because the minerals are in the ground. Exploration and improvements are taking place so as this occurs the values increase.
The various minerals offer stability in that while some mineral commodities are suffering, others are gaining. This diversification together with extremely low pps is an attractive buy in my opinion both for short/intermediate to long term. It is what I look for... a choppy ride up giving one the advantage of selling on bigger rises, and buying back in on the dips that always occur. Over time one can build a large paid for by market nest egg for when the inevitable sale or merger takes place in a few years. That's how I see it, that's how I play it.
