That said, 450K shares isn't exactly small.
IR, Puff, myself, and likely a few other surpass that amount in our holdings. Furniture company has 50M shares but they'd have to be morons to sell now. Are their shares unrestricted? Who knows.
It looks like a retail dump with maybe some panic sells thrown in?
But if shares keep coming tomorrow and the rest of the week... the Chinese reverse merger stock will continue to live up to its dubious reputation.

We "paid" $30M (C preferred stocks + street value of 50M common shares) for that $17M in revenues, i.e., the textile/furniture company.
We "paid" $60M (D preferred stocks) for CIWM, which holds all the patent technology for Huazhu Lvjian. Founded in June 2010, Huazhu Lvjian is a high-tech company established by the technical R&D team of the Solid Waste Comprehensive Utilization Professional Committee of the Chinese Ceramic Society.
CTWM will be the management company that manages all the joint-ventures. It has $0 in revenues because as of January 1, 2024, they hadn't started a project. The joint venture with Gotion reportedly started after Chinese New Year.

1. $BIOF successfully produced its first batch of cellulosic ethanol using its CTS pilot line. Significant milestone in journey towards commercialization.
2. $BIOF granted two US patents related to its technology, with six more patents pending.
3. Expansion Plans. $BIOF planning to establish production capacity for Sustainable Aviation Fuel (SAF) in collaboration with Vertimass. Evaluating potential locations in Florida that can accommodate both SAF and cellulosic ethanol production facilities.
4. $BIOF engaged in discussions to expand its off-take agreement(s) (contract between producer {$BIOF} and buyer {World Energy Sustainable Products + looking for others} for "X" supply at "Y" price) for biofuels.
Sounds like we're getting close to having an actual product, able to be produced on a commercial scale! We already have a partner to help us produce it. We already have at least one buyer willing to purchase it. Just a few more pieces needed to fall in place and then some big a$$ oil company will come along and snap us up.

And a valid excuse at that. Typically, it takes 30 days for the SEC to initially respond to an S-1 filing. Given the near daily updates of the share count in the first part of the year and then nothing after March 4th, that might be our answer to the submission date, i.e., exactly 3 weeks ago. It's not a strict deadline for responding. $ASKH is far from the largest, most complex company out there, which should shorten response time. However, we are effectively Chinese so that will draw extra scrutiny, increasing response time.

Like I said, in theory, we don't need the publicity that typically goes along with capital raises. So, why not do the S1 confidentially? They already have their whale investor that "represents" Wall Street interests. The game they have talked, the information they have provided, the company should command a robust market cap despite being Chinese. To quote IR, we'll find out one of these years.

Confidential submissions aren't unusual.
With emerging growth companies, they can the need to keep sensitive information confidential until closer to the IPO date. When that happens, the review process, which typically involves several rounds of comments and revisions between the company and the SEC, is out-of-sight until the review process is complete. Once complete, that's when the S1 filing will be made public for us dweebs.
That's our working theory.
There has been no public declaration from the company stating they have/are filing. But several of us believe it to be true based on info we've dug up, independently of one another. You can decide if we're crazy or not.
After the public filing, that's when companies go on the "roadshow" to try and find investors. $ASKH may have already done that part. Their might be more $$$ raising but they've been promised up to $60M by the New Zealand Captain America. That's what I call him since his name is Chris Evans, which makes it virtually impossible to Google the dickhead. If they don't need to raise more $$$, there might be a very quick turnaround between the S1 filing, the IPO, and the SEC declaring the S1 "effective". But is anything ever quick with this company?

Correct. Only after it's done *and approved* do we see it that it was filed. Sometimes they show the back-and-forth questions raised by the SEC; sometimes, they don't. Given we're effectively a Chinese company, they'll be more intense scrutiny.

In addition, investors will receive 60% warrant coverage to purchase non-voting, common-equivalent stock with an exercise price of $2.50 per share, a 25% premium to the price paid on common stock."
Without dealing with the (surely toxic) convertible preferred (1:1,000), 525 million shares of common stock will be issued in connection with the equity capital raise ($1.05B / $2 per share). Shares outstanding before today was 722M. Basically 1.25B shares soon to be outstanding. Mnuchin has about 42% here. Again, that's before dealing with the preferred and 60% warrant coverage, etc.
We can rest assured Mnuchin is going to make out like he did with Indy Mac back in the day. Current shareholders probably not so much.
So... what happens tomorrow? I mean besides more selling. I remember making a few shekels shorting Bank of Smithtown back in the day. That was easy because Brad Rock Sr. and Jr. were dip$hits who got aggressive at exactly the wrong time. I don't think NYCB's problems are credit risks per se. Did they buy a bunch of bad loans when they absorbed Signature? Maybe. But I suspect their problem is more financial regulations rather than poor loans.
In the end, the best play with Bank of Smithtown was waiting for it to hit bottom (~$2) and then getting bought out by People's United Bank (~$4). Hearing Mnuchin might be the stranger upon whom NYCB may have to depend for kindness.

...it's just that Jerry tag him as a DE rather than a LB. 5th year option for a LB, surprisingly, is more than a DE. The difference is $24 million (in 2025) vs. $21.32 million. I don't know if Jerry is playing a game here or not. But both sides know this ends with Micah becoming the highest paid defensive player in NFL history.
