This year is make-or-break for me with this stock - waiting for some bullish news or solid results for Q2.
Am expecting Q4 to be really good but not enough to cover the non-cash compensation for the full-year. Q1 as it has been pointed out will suffer due to bad weather (in California at least) but hopefully some of the new sales/partnerships will begin to yield revenue and profits in other States.
Q2 should be a real good indicator of where the company is headed and by mid-August 2017 we will either advance significantly or still be treading water . . .
There were several emails sent to the SLTD mailing list in 2012 and early 2013. Here's one, from June 27, 2012, that has the most detail regarding the terms. Note the requirements to be considered an accredited investor . . .
Going with the $5.7 million net loss number currently - the way I see it is $5.4 million of that actually was non-cash compensation - so operationally that would put them at a net loss of $300,000. If anyone with some accounting expertise disagrees with that assertion then please feel free to correct me if that understanding is incorrect.
Meanwhile - I certainly expect Sunworks to post net earnings in Q4 well in excess of $300,000. Thus, enabling the company to boast being cash-flow positive for the year (and that's my prediction as to how this year will be framed when the 2016 annual report is released ...)

There are residents of Nevada who had applications pending to add solar to their homes but they didn't follow through after the PUC disallowed net metering credits.
The decision to grandfather these residents into the net metering rate structure means that many of them will want to proceed with adding solar to their homes once again. However, this does not mean that another resident who didn't have an application pending can take advantage of net metering.
So there is a large yet finite number of homes that are expected to follow-through with solar installations in the very near future - and SunWorks is ready to help them do just that . . .

Tesla's presentation was very impressive - if they could only work out a way to have more cell surface on the Spanish tiles . . .

I was just looking at SPWR as well - and if having to choose between that and SUNW - to which price it would have to drop to make that a no-brainer.
I did buy some SPWR above $10 a few weeks ago but would feel comfortable buying much more if it drifts closer to $5 . . .

I'm not sure what the ramifications would be if we produced panels in China without a U.S. patent.
Technically, we would be collecting a licensing fee from another manufacturer who could sell those panels throughout China, etc.
Who knows though - maybe down the road - those Graham Factors we heard about last year may pave the way to a patent in the U.S. Basically, I believe that the argument is that if something works - and nobody else has anything like it - then something must have been inventive to make that possible . . .
As far as I can tell the original China patent actually was granted on June 1st.

The U.S. Nationalization Phase patent, however, received an update to "Final Rejection" last week. I believe that there still may be an appeal process but . . .
There still are Nationalization phase patent submissions still being reviewed for Singapore, India, and China

I recall Jim mentioning Sonnen, along with Tesla, several times during the most recent conference call.
In scanning the 2016 Q2 CC transcript - each of the references to Sonnen reflects "indiscernible" - where the person transcribing the notes apparently didn't comprehend what Jim said . . .
Assuming that Jim was in fact talking about Sonnen - here is one quote which implies that they still may be looking for training:

This is just an article about Solar (and our partner SunPower). The other site probably picked up the article (e.g., data mining) and regenerated it in their own format. When that happened, the reference to Sunworks was out of context. All links originated from the Sunworks site blog post
