Greetings Hestheman and thank you for the additional insight. I will review your prior posts and read more about the Mirant BK Chapter 11 to get educated even more.
I only own LEHMQ commons so tell me if you know the BK rules on this...It would appear to me that LEH is benefiting tremendously by NOT cancelling the common shares (+/- $50B). I understand that LEH preferred shares are a higher priority and they should be paid out at face value before commons. But if you have a $50B NOL and LEH merges with company X for say half the value of the NOL's, then LEH preferred shares can easily get paid in full and the remainder should go to commons. I believe I read in other posts that LEH preferred shares are worth +/- $2B at face value.
Wouldn't you agree that commons would be getting shafted otherwise? It could be argued that common share holders are holding the company together...without us there would be no NOL.
commons shares = (689M @ .03), or say $20M value.
If the value of the new company is say $20B (not unlikely), would it not be correct in assuming that common shares would be valued at 1000 times current $.03? or am I just dreaming and doing bad drugs?
I'm not following how a company can come out of BK with common shares intact and then indiscriminately value those shares at anything less that the value of the new company - when it was common shares that allowed them to take advantage of the NOL in the first place. what am I missing here?

Agreed. I'm also in the beverage industry and 13 years ago we placed a new cola product in Albertson's supermarkets (about 200 stores in TX). It cost $25k + 2 cases free per store. The product was discontinued in under a year...no refunds on the fees either.
That was just one "test" chain. There are probably 2000 supermarkets and drug stores in TX alone...probably more.
Luckily I'm in the alcohol beverage industry now and slotting fees are not legal in the US, and Canada is a state controlled monopoly run by the government (for alcohol)...sorry I got off point there for a minute.
BIEL belongs on the shelf...unfortunately to get there and to sell there, we will most likely have to form a concrete relationship with a big pharma company. then it will be a multi-billion dollar company. I'm sorry but i just doubt that BIEL can do it independently. I sincerely wish I didn't feel that way, but I know first hand the extreme up hill battle of trying to win this game against the competitive products. They will not lay down and allow you 1 inch of space.
Get a merger done now AW. You're a great man with a terrific vision and that vision will be realized, but only with a partner that can do it justice - not Greenwood - IMO

The issue I have with only going for one SKU (example:back pain), is that it just doesn't give you enough shelf space to make an impact. The big pharma guys will crush the one item (they usually control the shelf schematics too) and place it on the bottom shelf next to all the other one item "wannabees". Nope, you go for the fences and hit a home run with 6 types on the shelf, with a floor display, local TV ads and coupons - Available at XYZ retailer...like magicjack has done. Bombard the airwaves with this game-changer product.
$lotting fee$, $helf $pace (real estate) all costs big $$$, ad$, coupon$, $amples, display$, te$timonial$, mail-in rebate$, $ales people, marketing, R&D...it's all very big bucks.
I believe that BIEL is viewed by retailers as an up and coming product that would be a great addition to their store assortment. But, that's only a small portion of the game played out here. We are dealing with real health related issues and ALL of the hurdles must be stepped over. I'm really not very confident that AW and BIEL can do that. They seem to always be "outsourcing" everything to "professionals" (Greenwood and others).
What they need is one very strong retailer that is willing to play ball and be first in the market. Playing ball still requires big bucks. They should step up and pay the piper to Walmart, then they have a bell cow. everyone else will come on board afterwards. Give Walmart what they want and start selling, advertising, more TV shows, testimonials, coupons, rebates, in store demonstrations...the whole ball of wax.
This is nothing new and I doubt that BIEL can succeed without it. Don't try to re-invent the wheel...roll with it and get it done.
You have to admit these products would look very nice all spread out on the shelf for about 4' of space. and a lady wearing a lab coat at the end of the aisle giving demonstrations!
Now that's a 3 Billion dollar company!

I believe Bioelectronics is learning something that most new brand owners have issues with...The retailer "slotting fees".
very very few brands in the world get away with NOT paying these very high slotting fees to retailers. For those that don't know how this works...retailers charge a fee + usually a "free fill" to get your products on the shelves. as an example: 1000 stores could cost a manufacturer, easily $50,000 per SKU + 1 case free/per SKU (stock keeping unit). so if you want 6 items on the shelf in a prime to sub-prime location (6 x $50k = $300k) + 6000 cases of actual product.
The above scenario is an example - but realistic. each retailer/buyer negotiates the slotting fees based on their own market position. some more/some less.
like I said very very few brands get into stores without paying through the nose. I can only think of a handful that have not...but that's only because the consumer demand was driving the retailer to stock the item. We, unfortunately do not have that with Biel.
I'm a BIELiver and I would love to sell this item in the USA, but we need big money to get on the shelves now.

Good question Jerseyhawg. The Lehman NOL's are very valuable to Lehman and to any future JV, merger, acquisition, buy-out, etc...
The NOL moves with the holding company. The only reason that LEHMQ common shares were not cancelled was due to the IRS law that says if you use the NOL's the company "ownership" must remain in tact. Common shareholders are the "owners" of LEHMQ. Meaning a bankrupt company that cancels their shares (like GM) would not be able to utilize any NOL they may have on their books.
This is a fascinating subject and you never know...it may just pay off big or fall like a rock.

In the Wall Street Journal today it was reported that Hillary and Geitner cleared that way for China owned banks to set up shop in the USA. I'll make a prediction here...LEHMAN has a $50B NOL in their back pocket. This would make for a great "partnership" with an Asian/USA bank that would not pay US taxes on the first $50B in profits.
That's the true value of our LEHMQ stock...$50B.

I would suggest you contact BIEL and alert them that you intend to pursue this activity. They are just sitting around in the basement of a rented office building staring at the fax machine...seriously.
As shareholders we may need to take this upon ourselves to at least breakeven on our investment. I will be happy to help in anyway.
being serious for a minute here...Fuente does have a great idea and Sandra Fluke does operate as a female contraception advocate under some organization (i'll look it up on wikipedia). She could probably be hired as a mouth piece for women's rights to this new technology for $10 - $20K or give her 10 million shares to be our spokesperson.
she would certainly get a national media audience just by calling a press conference...

she probably could have spearheaded this thru FDA a long time ago and then SHE could have received major points from her constituents for doing it. AW, I love you man but please stop with your "awe shucks" approach to getting this thru FDA.

If the P&G part of it doesn't fit then I get a little pessimistic about the remainder of it. please don't take me wrong...we need this to happen or at the very least, feel that it's a long shot possibility. The fact that "ace bandages" being actually owned by 3M and not P&G and then further mingled with the ex P&G brand manager relationship needs to be clarified.

I agree with your post. One would think that an FDA approval for a PEMF "EYE patch" would be the last thing that would be approved. Go for the knee, wrist, back, foot, butt, etc...
but to have the human eye as the first and only FDA approval seems retarded to me. The FDA is a scam organization - not BIEL. They and several other Obummer government agencies need to be overhauled and/or shut down.

I can relate to your frustration...many of us on here are tired of waiting for FDA approval and the huge number of inflated promises (next week, next month, very soon, waiting by the fax, pumpers, dumpers, scammers, new relationships, overseas interest, blah blah blah and the latest with "off balance sheet" equity...)
I've been holding (2M) for 3 years and have to laugh every time I see my account balance. I'm only holding because I know first hand that the product works and SHOULD be sold in every drug store in the world. That is the ONLY thing I hang onto.
Yes it's poorly run. Yes Andy speaks out of his butt. Yes we deserve better. Yes, someday this company will have the products on the shelves...someday. It's not a pinky scam. It's a small, under-capitalized pink sheet company with a great product.
