Wrong, like I said the other day. The accounting regs DO permit when Ed is compensated for the exclusive license and will be amortized over the life of the license.

Getting the LOC is great.
Would have been better with a bank. Kind of puts the auditors terminology in the form 10 in perspective.
Notice he said no "net" dilution, what I took away from that and I like it, is that has those billions of shares he owns, so for now, he will retire and reissue for debt if he needs to. Right now, no need.
I know we would love to see the structure change quickly but looks smart to me.

That is Ed's point when he's says it will be booked when accounting permits. He hasn't received anything for it so there is nothing to book.
That doesn't mean it won't be or, "can't be" as you keep saying, in the future.
Not true. They OWN the license. GAAP does allow a license to be valued and amortized over the life of the license. Per the Controller of my bank.
That patent is the #1 asset Ed has. After everything that is happened over the last 6 years I do not blame him for holding it close. Would it be better for MYEC if it was assigned? Yes, but for now the license gets the job done and CAN be valued as an asset.
Wouldn't the day of record be set in the past? So for example I don't remember when they announced the spin off but let's say it was in October, wouldn't they set say 9/30 as the date of record, so you would have had to own shares as of that date in order to get shares of the new company?
It wouldn't make sense to set it in the future, too much manipulation could occur, no?

The market is NOT expecting anything bad from the Form 10.
I doubt there will be MORE shares than the revised numbers from the spring, but regardless, there will be no more unanswered questions, and the validity that the Audit and SEC filing will bring will have a great impact on the PPS long term. Short term is always up in the air in pinky land.

Not sure if you know the history of how Ed saved this company. I think there are many I's that need to be dotted and T's crossed. Its all happening and heading in the right direction.

But, I'm not a lawyer nor a CPA, so I can't say I understand how being the "sole licensee" translates to it being a true asset of the company.

Actually it is true. If you look up a patent at the USPO, only the original assignee will be shown.

Using that, I agree with you that I can not find an official assignment of the patent from Ed Starrs to Myecheck, which is why it would not be on the balance sheet.
I believe there must be a legally binding provision between Ed and MYEC for MYEC to use the patent, or these new customers would not be coming on board, and the lawsuit would not have been filed.
Completely agree. Missed self imposed deadlines is inexcusable and has become very frustrating. I have been repeatedly disappointed.

Outside of say a massive share reduction, I believe the filing and release of Audited Financials will be the #1 catalyst to catapult this stock. So I look forward to that day, meanwhile....
Lease assignments do not have to be reported to the US patent office. Only the original assignee is typically listed.
