International Trust and Financial Systems, Inc. Changes Its Name to Marmion Industries Corp.

HOUSTON, Jun 25, 2004 /PRNewswire-FirstCall via COMTEX/ -- International Trust and Financial Systems, Inc. ( ITFI ) announced pursuant to Section 14(c) of the Securities Exchange Act of 1934, filed June 09, 2004 that the board of directors has recommended, and that a majority of shareholders intend to vote in favor of a resolution which will change corporate domicile from Florida to Nevada. International Trust and Financial Systems, Inc., a Florida Corporation, will merge into the newly formed Marmion Industries Corp., a Nevada Corporation. Following the merger, Marmion Industries Corp. will be the surviving entity.
International Trust and Financial Systems, Inc. CEO Bill Marmion commented: "The change of domicile is intended, among other things, to enable us to take advantage of a more favorable tax structure and the flexibility of corporate law in Nevada." Mr. Marmion continued, "We have chosen to change our state of incorporation in order to take advantage of several features of Nevada corporate law which are expected to help us reduce our taxes and to facilitate our corporate actions."
Corporations domiciled in Nevada do not pay a franchise tax or a corporate income tax. Florida imposes a corporate income tax at a rate of approximately 5.5 percent of the net Florida income.
Additionally, under Nevada law, unless otherwise provided in the articles of incorporation, a corporation that desires to change the number of shares of a class or series, if any, of its authorized stock by increasing or decreasing the number of authorized shares of the class or series may do so by a resolution adopted by the board of directors, without obtaining the approval of the shareholders.
Mr. Marmion added, "this is especially important to us, inasmuch as we will be able to change our authorized shares to more efficiently meet our current needs. Presently, we need to go to the time and expense of having a shareholders' meeting in order to change our authorized shares. We must be able to quickly deal with situations calling for us to modify our capital structure."

ColorBlind is an award-winning software application that allows users to build color profiles of images in order to insure accurate output on digital devices such as printers, plotters, scanners, monitors, and digital cameras. ColorBlind is not tied to any single manufacturer of colorimeters and/or spectrophotometers. It supports most of the devices manufactured by major companies in the Color Management industry, such as GretagMacbeth(TM), X-Rite(R), Sequel imaging, Avantes(TM) and many others, thereby allowing its customers the freedom to select the hardware that fits their individual needs and budgets. CareDecision Acquires $2.8 Million Equity Stake in DataFuzion

Companies Strengthen Relationship, CareDecision Affirms That It Will Distribute Majority of the Equity Stake to CDED Shareholders as a Dividend
NEW YORK, Apr 13, 2004 (BUSINESS WIRE) -- CareDecision Corp. ( CDED ), a leading Wi-Fi PDA technology provider to the lodging and satellite media industries and the developer of patent-pending technologies for e-health and EMR applications, reported significant new developments to its previously announced strategic partnership with DataFuzion Inc. ("Fuzion").
The current agreement allows Fuzion access to CareDecision's Wi-Fi medical communications technologies. According to terms of the enhanced partnership, Fuzion is granted new licenses for use of CareDecision's MD@Desktop and patent-pending MD@Practice-Probe medical technologies. In return for the additional technology sharing, valued by the two firms at $2.8 million, CareDecision will receive a larger equity stake in Fuzion, a majority of this stake to be distributed to its shareholders as a dividend.
