EV Start-Up Fisker Discloses Financing, Production Pause
Embattled electric-vehicle start-up Fisker announced some financing had been secured and a six-week pause in production to align its inventory levels. The disclosures, in a regulatory filing, were among other updates on its efforts to avoid a potential bankruptcy filing.
Fisker said in the filing that it entered into a financing commitment with an undisclosed investor to sell up to $166.7 million in senior secured convertible 2024 notes. The notes will be sold and issued in four tranches, and will be convertible at any time at the investor’s discretion to Fisker common stock.
Fisker disclosed the pause to align its inventory levels, including about 4,700 vehicles carried over from last year and produced this year that it said were valued at more than $200 million, according to an attachment to the regulatory filing.
After warning last month about having “substantial doubt” about staying in business, Fisker hired restructuring advisors to help with a possible bankruptcy filing, The Wall Street Journal reported. Fisker’s unrestricted cash was $89.1 million as of March 15, and restricted cash was $31.8 million.
Fisker said it hadn’t filed its 2024 annual report on time with the Securities and Exchange Commission, but that it was working to do so as soon as possible. Fisker also didn’t make a required $8.4 million interest payment on certain bonds, due Friday.
What’s Next: Fisker, which made 10,193 Fisker Ocean SUVs with its manufacturing partner Magna International last year, said it is negotiating with a large auto maker for a potential transaction, including a possible investment in it, or a joint development of one or more EV platforms.
