Agreed... This is completely killing this stock. Hell if I could sell imaginery shares all day @ .0005 and then buy them back after close @ .0004 why would I ever stop???
The bad part is we are not going to ever be able to catch them because they are covering on the same day. All they have to do is keep short selling the ask until close and then repeat. I do not see an end to this. Let me know if you see a better ending?
What I am curious about is who are they buying the shares from under the ask? There was only one "try to cause fear" seller of 25K at .0004 all day and a good amount of bid sitters trying to buy.
How is this possible or even legal??? This is the second time that I have seen big buys throughout the day with a small amount of shares on the ask but it never changes. Then a few minutes after the close they cover their short sells with a buy at 16:03 under the current ask price.
It is so blatantly obovious that it is insulting to shareholders.
I like to look at the old numbers as a basis for the future also, but we have to remember that JC said he fired the old CFO. He said he had to hire a CPA firm to go back and fix there books from last year. This unfortunately means that the balance sheet is unreliable at best. The numbers could have been higher to put a positive twist on it. In regards to the supermarket sales. The product could be held on consignment which means that STAU maintains ownership of the product until sold. I am not sure if this is the case, but they still get paid when purchased by the end customer. I still see it as a positive that the product is available at retail locations.
Thanks for the update. I really enjoy your walks in the park...lol
I have a few questions for you:
1) What do you think the purpose of the stock market is?
The purpose of the stock market is for companies to raise capital. So let me make this straight forward the point of the stock market is dilution.
2) What would you rather a company do issue a bunch of shares to become current or would you rather the company avoid dilution and wait until they can afford to become current?
If they can not afford to hire a CFO, CPA firm, Lawyer, and etc. is it really benefical to the shareholders for them to have these and pay them with shares for services. The current financials have to be audited or they are worthless anyways.
3) Prove to me beyond a shadow of a doubt that a gagged TA means the company is diluting uncontrollably?
I will let you answer this one.
4) What is so great about current information when it comes to the share structure?
No matter what current or not you the shareholder or should I say non-shareholder is still not going to find out about any changes to the share structure until after it has already happened.
In all honesty who cares that STAU has a gagged transfer agent. I can guarentee you that even if it was ungagged I will not be calling them everyday for updates. I buy and hold long what I believe in and that is companies in the beginning stages with real products. I have tested the products myself and enjoyed them. Of course we all want to see the numbers but I want them to wait until the numbers are solid. I have read lots of fillings of otc companies that are horrible. They have bad formatting, typos, or just plain prove that the company is worthless. Now, please tell me how that is benefical to a startup company to shot themselves in the foot. I am not saying that they are worthless but I bet if they released the numbers for the previous quarters they are probably not going to blow anyone away just yet. All I am trying to say is that we need to be patient. The recent events point toward a company that is growing and trying to become more transparent.
One last thing, if you want to know the share structure so dang bad please get a lawyer go to your local courthouse and get a subponea requesting the share structure. Just sue them for it...lol
all imo...and I own almost 6 million shares, If I sell all at once are you going to claim dilution...lol
Someone who was paid with shares for services probably their rent money...lol just look at their annual report
Review of the Annual Report for the year ended December 31, 2010:
Potential Red Flags:
1) According to otcmarkets.com O/S 147,107,042 a/o 3/15/11
According to Annual Report O/S 224,599,683 a/o 3/29/11
In the first month of post spilt trading they have already diluted 77,492,641 shares in one month or half a month by this time frame.
2) The company has not spent any money on research and development in the last two years.
3) They do not give details on who their competitors are and they do not give specific numbers on their target market. They say that their target market is governments, schools, and condos as they are the only businesses that can for see a life of 5-15 years. This means it takes 5-15 years to see a total savings after you pay the price to purchase and install their products. They also report their target market requires rapidly changing technology, however refer to #2.
4) I found it unusual that they consider DMD an alter ego of Mr. Falso and that the board forsees that a conflict of interest could occur.
5) Market research shows that Chinese manufacturer's can sell the LED street light product 75%-200% cheaper than American producers. It cost 10% more for GLS to produce the product comparaed to just buying it from a Chinese manufacturer.
6) Currently, GLS products are being shipped to customers in cartons with Chinese manufacturer's names on them. They have no brand label or packaging.
7) The company pays $8,000 a month or $96,000 per yr in rent for an 8,000 sq ft office and warehouse building in Florida.
8) The 3 board members consist of the CEO, CFO, and COO. This means that they have no one to hold them accountable other than shareholders. It also states that shareholder's have the right to vote to elect board members, however I have never had my vote requested and Mr. Falso was elected in 1/21/11 to the board.
9) The report says that the company has never been a "Shell Company" but how did an owner of an acquired company receive 50.26% of the company? This means that his vote is the only one that matters in all decisions relating to the company. IMO this means that the board members or officers are held accountable to him and that sounds more like a reverse merger instead of an acqusition. Could someone please explain this to me in more detail?
10) In 2010, Revenues were $372,224 and they reported a net loss of $679,918.
11) Interesting Fact that you can interpert as you may and I would like someone to explain to me better:
In the shares issued for services section it list:
Dominick Falso issued 19,840,000 on 3/1/11
Dror Svorai issued 39,680,000 on 3/1/11
Pete Ruggeri issued 2,000,000 on 3/1/11
All these issuances appear to me to be post spilt figures. In the report it stated that Mr. Falso's 20 million shares have an anti-dilution clause. Does that mean that after the R/S he still continues to own 20 million shares at the post spilt prices? If so that is a great investment position. If this is the case it appears that this clause also applys to the other two individuals. However, Mr. Zoyes was affected by the R/S and now owns only 16,000 shares.
Potential Good events:
1) The company is not in default on any note, loan, lease, or other indebtness.
2) They have 6 full-time employees
3) They say that they have established relationships with electrical contractors that would pay the additonal 10% to buy American Made products.
This is all my own opinion of facts listed in the Annual Report and is just meant as a highlight of the information.
Thanks
Thank you, I did find where on page 4 they admit to using numbers split adjusted by 1:125 on 3/1/11. I still do not understand why 2011 events are included on an Annual Report for the year ended 12/31/2010.
The unaudited vs audited financial statements has been something that I have had to adjust too. I do not trust any financial statement that is unaudited as I have an accounting degree and I know how easy it is to change the numbers to benefit the company. Unaudited is an immediate Red Flag as the company can list whatever numbers they want since their is no one to hold them accountable. This can be especially true if you have a bookkeeper or someone in charge of the accounting duties that does not understand all the detailed rules. I honestly do not understand why any company is allowed to sumbit unaudited statements to otcmarkets. Through my time in microtrading I have seen balance sheets that the numbers do not add up correctly, statements that assets do not equal liabilities plus stockholder's equity, and many of balance sheets without contra asset accounts...lol
Ok so I have read just a few pages of the annual report and I already feel mislead and confused...lol
On the 5th page under
Item VIII
section A. The nature of the entity's business
It states that they conducted a 1000 for 1 reverse spilt in July 2008, when it changed the name to HI Score Corporation. It then states that Except as described herein, The company has not during the last three years had any other stock spilts, stock dividends, mergers, reorganizations, or similar transactions. I understand that this is the Annual Report as of December 2010 and the recent reverse spilt was effective in March 2011, but it appears to me that the share structure they have listed is post spilt in March 2011. I could be misreading this but saying you have not performed any spilts in three years and then listing all your facts and share structure information post spilt numbers after March 2011 is extremely misleading. I am not 100% sure what the share structure was in December 2010 but I was an investor then and I believe it was way higher than 200 million outstanding. I mean the share structure listed at the start of the annual report is the current share structure which is of course post the spilt that occured March 2011. Thanks in advance to anyone that can explain how I am misunderstanding this information.
Thanks
The issue here is defiantely not with the products. The quality is great and the customer service is even better. I purchased two pair of dress socks and a pair of athletic socks. I gave a pair of dress socks to a coworker and we both wore them today. We both enjoyed them and experienced less foot fatigue and no sweating. I also gave the athletic socks to my father-in-law that travels to Africa for his job. He said he suffers from swollen feet during long plane rides due to his medical situation. He was exicted about the potential benefits and liked the cushioned sole. I will report back the results after his next trip. I have already placed a second order for more athletic socks. As an investor I have experienced highs and lows with the stock price and IMO .0002-3 range is the bottom. I look forward to the increased information flow from the new PR firm. Let's all just remember what we own here a growing company with real quality products. The long term potential is amazing with the right financials released and a coinicding flow of information. One last thing I ordered the products on the website incrediwear.com and received them in less than a week.
Thanks
Yay!! My 7400 shares are now worth $22 instead of less than $7...lol last week I would have had to pay additional funds in order to sell. No point in selling now come on .03...lol. 400 dollars down the drain
Could someone please post a current Level 2. Volume just spiked wonder what the effect was?
Thanks
I have a few questions that I wanted to see if you or anybody else knew any of the answers.
1. How many total employees do they have?
I know on otc markets website it shows only 3 but that was from back in 2009.
2. How do they produce their products? I mean do they have a warehouse and produce the products themself or do they contract it out?
3. Do we know anything about the supply chain? I guess my main question here is do they have the ability to produce the products to meet a higher demand?
4. What about a patent on the sock technology? I do not know much about patents but what protection do they have against being copied?
5. I also wonder if the CEO has any set goals for the company. I know his actions show that he is trying to grow the company, but I wonder where he expects it to be 5-10 years down the road?
6. Any information about the background of the CEO? College Degrees? Previous business operations experience?
7. Does anyone know who is on the Board of Directors?
I do not know if you know the answers to any of these questions but I have been curious about them for a couple months so I thought I would ask. I still have a very positive outlook on the future of STAU. I just wanted to see if anyone knew any information other than about the stock price. Thank you in advance for any additional information.
Sespears,
My favorite part of the PR was the last line.
"For more information contact Jackson Corely...
Lol just a little friendly joke between fellow longs. I thought u might have got a good laugh out of that.
I really like the action taking place here and it is nice to see the board is picking up a lot of new posters. I am ready to see STAU break the .0016 point that has haunted us so far.
J4P,
Still holding my 3s long and close too...lol
J4P,
I have been reading your post day after day for the last couple of months and you have always tormented me with your love of your 3's...lol I have held shares from 16's down to 4's but never any 3's. Well today after I hit a tee shot off a tree that landed right next to the pin, I decided that it was my lucky day. So, I purchased another 3 mil at 3. I just couldn't bare the thought of watching STAU run to the pennies and having to read your posts about your 3's without being able to join in the celebration...lol Good luck and I am looking forward to reading what you might hear from the "Park".
When is your amount of shares supposed to change? I thought they said it was going to happen when the market opened. Can they even do a R/S correctly...lol
Does anyone know who the T/A is and if they are gagged or not? How can we get an updated share structure?
Thanks
I bought into this company when they became current information. I thought back then that they had a revenue stream with room for growth. I wonder why they spent the time and money to become current just to run it into the ground? I have seen companies post horrible formatted balance sheets showing revenue and the share price increased. Why become current information?
Thanks
Do you know what the level 2 looks like this morning. I noticed that the ask upticked to .0005 today. Just glad to get out of the 4/3 rut, hopefully the buying will pick up today.
I have always enjoyed reading your posts but these last two emails have me alittle perplexed. The first email talks about how he is not interested in increasing shareholder value and he specifically implied that he did not want us to call or email our questions. Now you have another email that you have received within the same week? Huh... The secound email talked about increasing shareholder value and possible PRs, which is the exact opposite of the first email. Not arguing the validity of the emails just curious how he says to leave him and his company alone and then you receive an email with everything that we have wanted to hear?
Thanks
Do you think there are going to be restrictions on when they can sell the shares?
Thanks
I want to thank you for all the information that you have provided to me and the entire board. I have been invested in STAU since October. I actually made my first purchase at the .0016 level, not to proud about that right now...lol but your posts and those of others have allowed me to maintain my optomism towards this company. I look forward to the upcoming financials and the new products to be released. I just hope that new investors look at more then just the last financials to base their decisions on. Since they were released we have the hard launch of the incredisocks, new website www.incrediwear.com, and the distrubution agreement with karma nutritionals. I plan to wait and see the results of their business plan put into action. Again, I just wanted to let you and pile-o-profit know that yalls post are much appreciated.
Thank you
I have been an investor since October and I tried to order some socks on the incrediwear website but they did not have any mens sizes larger then 11. Anyone heard anything about if they are going to offer larger sizes? Just wanted to test them out myself.
Thanks
Yesterday I placed an order at .0005 and got filled at .00045. Maybe try .00045 instead of .00044?
Sorry using a iPhone right now and takes awhile to read all posts.
Could the 5 billion a/s difference be the amount of preferred shares that was posted earlier that the TA said was kept in house by the company? Just curious
What is up with the 25,911 share buys? It was the amount that bought the first .0006s and .0007s today. Does it have a meaning or just someone being funny?
Thanks
Could someone post the Level 2 please?
I think your point was just proven again and again...lol look at that uptick on low volume.
I agree too that this is not dilution. I just wanted to ask that question as I have seen so many posts about it on these boards. I look forward to watching this company grow over the next year as it appears they have a good business plan that they are executing effectively. I wish they would release their financials, so that we can truely evaluate the potential of this company. IMO
I do not understand this fear of dilution. Isn't this the purpose of the stock market to provide a way for the company to access funds to further grow their business? As long as it is controlled and for a specific reason that allows the company to grow in the long run. I think I would be more worried about the management selling a portion of their ownership. I would hope they believe that this price is undervalued. Maybe I am wrong and I am sure that their are thousands of examples of bad dilution, but if it is going to provide financing to the company to further their business plan then I am all for it. IMO
I agree revenue has increased over the nine months ended Sept. 30, 2010 compared to the previous year, but what I see is that there has been a decrease of $21,813 in revenue for the most current quarter compared to the same quarter last year. How did they only have $17,376 in revenues for the quarter ended Sept. 30 2010? They seem to be doing alot better overall in 2010, but could someone explain the most recent quarter's lack of revenue?
Thank you
how about tell them to control their selling/adminstrative expenses. They have alittle over 2 million in revenues for the year of 2009 they just have more than that in expenses. If we look at just the 6 mths ended June 30 2010 they have revenues of $884,446, Selling, general and administrative expenses of $996,142, their cost of sales is only $341,016. So, after the cost of sales they have a profit but they have to many general expenses. I would like to see a break down of their general and selling expenses. The business plan should start with a major focus on controlling all expenses. IMO
I deleted it but could you please tell me why? I just asked a question.
No, I believe that they are going to mail one out. I do not want to argue about when or if. I am just an investor who mostly reads the posts on here and post my own questions on here every now and again. GLTA
It is listed in this PR that they are drafting a shareholder letter that should be mailed out soon.
Thank you, I really like the potential that this company has and I am looking forward to the letter.
Could someone tell me if I need to register with the company to recieve the letter? If so, how do I go about doing this?
Concerning the financials:
I did not like the fact that they did not have an allowance for doubtful accounts receivables. Even though we all wish that everybody would pay for the goods they receive, there is always some customer that will default. Maybe they do not have enough historical data to determine the percentage...idk I really liked their working captial and their current ratio of 4,314%. I also do not like how they do not give the amounts and par values of the common stock issued. I don't understand the MS, RS, and SH listed after the common stock, maybe someone could explain that to me? The additional paid in capital is the total amount received for the issued common stock minus the amount of the par value of the common stock. You probably already knew that, but I thought I would say it if you did not. I hope they will give a more detailed annual financial report.
