Deals certainly fall through, but not in the case of EES. The order has been pre-funded as we can see with the 2 EF60's that are almost completed. ESPH doesn't have free cash flow or credit facilities available to advance fund the units. They are tapped out. I suspect that the contracts are complete and are subject to ESPH demonstrating that they are capable of producing the units in a timely matter. I would have thought that, considering the ammendment to the Q that was released last night that the 4th Q2010 & YE would follow today. Guess the Bagman is wrong again. Leaves me scratching my head a bit and wondering if management really knows what the F they are doing. I guess that we will see.
Joey Bags isn't working both sides of the street. If certain post bashers knew what they were talking about they would know that "if" one was able to find a Brokerage firm that allowed shorting this stock it wouldn't make any sence what so ever considering the margin spread requirements. I believe that they are $2.50 per share margin coverage if my memory serves me correctly. That tells 'ol Bags that it is cost prohibitive but then a certain post basher already knew that. And that certain post basher that the moderator has allowed to stay on the board bashing hasn't even disputed the fact that I called him out on the Melissa Davis / Hunter Adams relationship. In December 2010, the Company paid $10.5 million to acquire a minority interest in a privately-held company. Subsequent to the purchase of those securities but prior to December 31, 2010, the privately-held company exercised its irrevocable call right for those shares and tendered payment for a total of $10.5 million. The Company is disputing the fair value asserted by the privately-held company and believes that the shares had a fair value on the date of the exercise of the call right greater than the amount tendered. Due to the exercise of the irrevocable call right, the Company did not own those shares of that privately-held company as of December 31, 2010, and accordingly has recorded the $10.5 million in prepaid expenses and other current assets. The potential recovery of any additional amount depends upon several contested factors, and is considered a gain contingency and therefore has not been recorded in the Company's consolidated financial statements.

I am pretty sure that Joey Bags has already said that he has been to the ESPH facilities (within the last couple of weeks) and saw ESPH employees working on TWO...count them 2 new EF60's. Where they secured the cash to build them is anyones guess. My guess is that they were an advanced credit facility set up by the "soon to be disclosed company"......Joey Bags, through extensive due diligence and knowing some pretty smart people has determined that the company is Clean Harbors. If Mr. Joey is wrong and the soon to be announced company is not Clean Harbors then Mr. Joey is man enough to stand up and say he was wrong. I wasn't correct on the date but does it really matter ? Were you, or anyone for that matter going to take information that he or she obtained on a Penny Message Board and trade it ? Please, that 'aint being wise.....bewise43 !

One of my contacts said we could see a news release either tommorrow or Monday (never on Friday). This person (female) is quite reliable and predictable with her information. It's my guess that ESPH will release Monday Morning at 8:30 AM and the suitor will be CLH. That's my story and I'm stickin' wif it. Regardless....spend the money wisely.

Don't you guy's just love the suspense....well, Joey want's to clear up one misconception ...this is "NO" joint venture. Never has been and never will be with respect to the CLH deal. Clean Harbors is making an out right purchase of the machines for 2.750 mm per unit. As I mentioned earlier the 16 units order will be expanded to 120 (over 5 years). EES will charge CLH a per unit annual licensing fee renewable annually (w/ a guarantee of course)and a very healthy per unit royality payment to EES tied to water flow (gal/bbl). Trust me on this Meho's....ESPH did the math and they are not leaving anything on the table.
So when will we hear the "official" news ? Well........Joey Bagofdonuts says "a material event will proceed the announcement by 1 day" and "specific details concerning the term sheet will be released the following day. And by the way, the 13 G/A that was just released has absolutely nothing to do with the announcement comming on 2/24...opps, did I say the 24th. ? The 13 G is always ammended in February just prior to their 4th Quarter / YE numbers.
Hold on to your hats.....cause Joey says 10-15X after we hit main street.

$44,000,000 revenue? Joey Bags really thinks that this is a drop in the bucket. Joey Bags believes that our boys over at EES might have been born at night but they sure weren't born "last" night. They know exactly what each of the EF60's will yield in revenue and the contract with CLH reflects that...oops, did I say CLH ? I meant to say "undisclosed company".
Just a couple of things to ponder here.
Joey Bags put on his Ninja suit the other day and navigated the alley way behind ESPH's main facilities and saw some very interesting work going on. These guys are hard at work building what Joey believes are the new EF 60's that are scheduled to be delivered mid May 2011. Where did Dennis get the cash to start building out these new models and why would they be building them without a signed contract ? Joey Bags believes that EES has already given Dennis the OK to build wink. Either they received an advanced payment or one of the inside guys are pre-funding (William Foley).
Joey Bags believes that the contract outlines an additional 104 units (120 total) to be delivered over a 5 year period. 2.750 X 120 units = $330,000,000 alone on revenue over 5 years to EES (we get 51%)ESPH cost are around 1.3 for each unit +/-. Margins will expand as production ramps up but will take some time.
Now lets look at Licensing costs: I called a few pals to get a better handle on this and we all came up with a initial flat annual renewable fee of $15,000 per machine indexed to CPI. 120 machines X $15,000 = 1.8 in additional revenue to EES (51% is ours). Remember that this is a recurring # every year !
Royalties.........the Rolling Stones are not the only people that will get payed when they get played !EES will as well. Consider this:
The volume of water necessary to drill and fracture Marcellus deep shale gas wells represents a very small percentage of the total water resources used in the Marcellus geographic region. This region generally includes central and western Pennsylvania, southern New York and northern West Virginia. The total water use in the Marcellus Shale area in 2000 was approximately 3.6

increase the amount used by less than 0.1%, and is well
within available resources in the region.
At 5-6 million galloans per well Joey Bags believes that there is .002 - .005 cents per gallon for EES which leaves more than enough for CLH, oops...there I go again. At these levels we could possible see royalty payments of $30,000 per machine for every well they drill. 120 units = 3.6 million if each unit only fracks 1 well per year. We are talking about thousands of well here. This is far beyond huge !
Joey Bags believes that at full production we could be looking at well over a couple of hundred million per year with natural expandion of 3% per year. AND THIS IS ONLY THE GAS & OIL INDUSTRY !
So where will we see this going. Keep in mind that this stock is tracked by a very very very small group of speculators. Mainstreet is not on board yet....but just wait.
Joey Bags believes that we will see 4-5X price movement on the announcement. After a run up we will see every bottom feeding penny stock slugg bailing with the belief that they finally hit "pay dirt". This will soften the stock for a very brief moment......until EVERYONE hears about this news. The stock will swell on speculation through 10-15 X current bids and leave alot of people saying "I really should not have sold".
Just remember..........Joey Bagofdonuts is already rich !

My source tells me it's CLH and that person has never been wrong....never (with ESPH). But....we still need to look around to hedge a bit. Food for thought. An SLB relationship does create INSTANT celebrity.
Just a bit curious on why management choose to disclose the "non binding term sheet" ahead of the actual signed aggreement. SEC requirement ? Quite period ? I guess that we shall see.
On another note, does anyone feel that the Board is a bit too generous with management / employee incentives ? And does anyone feel that a confilct of interest exsists with WSR and our beloved CFO ? Would enjoy hearing any comments.

McKim said "I am so excited with the natural gas opportunities." While natural gas companies insist that fracking is a safe way to extract fuel, with the explosion in mining, there are bound to be cleanups needed; "We want to be the company everyone calls to handle fracking." CLH has thousands of contracts for its response service and is expanding its business into the oil sands.

What will move this stock ? We get news of a new contract with Newfield and the stock moves just slightly. Has the stock been beaten down "that much" that news on new contracts will not affect it ? Is the stock moving at the will of the market makers ? I'm up a bit (only because I dollar cost averaged in over the past 8 years or so) and I am really thinking about reducing my exposure to around 10% of what I hold and move to new grazing grounds. I personally do not believe that we have the right management at the helm. This stock is just toooooo volatile.
