Where to turn when your money-raising dilemma is more than you can face alone

William Tuorto, founder and chair of Global Eco-Logical Services Inc. in Atlanta, accomplished more during the first six months of this year than many entrepreneurs achieve in a lifetime. While most 29-year-olds are building Internet firms by cobbling together bits, bytes and strategic partnerships, he has staked his claim in the gritty business of solid-waste management.
Global Eco-Logical's genesis was actually industry consolidation among the big boys. "Because of the mergers," says Tuorto, "they got in what some could argue was a monopoly situation. They had to divest, and that opened the mid-Atlantic and the Northeast regions for us."
In rapid fire, Tuorto went on a little acquisition binge of his own. Starting in December 1998, he lined up seven waste management companies located primarily in New Jersey, Ohio and Pennsylvania and bought them all in a single transaction, allowing him to provide near complete vertical integration from hauling to landfill operations to waste treatment. Six months later, he bought two more, giving him a company that, from a standing start, had grown to $10 million in annualized revenues. But Tuorto isn't done. "The end game," he says, "is to build a $200 million company that is 100 percent vertically integrated by 2001."
Tuorto's financing plan wasn't any easier. The aggregate purchase price of the initial companies was $7 million, which was financed with cash, plus notes that were convertible into shares of Global Eco-Logical. To make those shares the kind of currency sellers would accept, he had to get cash into the company and get it public, which he did with the help of New York City financing consultant Source Capital Partners. "The transaction was complex, with lots of moving parts," says Tuorto. "To get it done, I knew I needed help."

Think of it this way. You have no job for 1 1/2 years but you keep scraping by on small loans and debt, then you get income but the Credit cards are calling. You have a car that is still free of debt. Well you can pay 24% intrest or sell the car and get debt free.Would you not sell the Car to get a fresh start?
I might be lost here, because I can't keep up with this stuff anymore, but if we are getting monthly revenue in , why are we needing to issue shares for salaries, debts, etc? I'm just wondering and thanks.

I count about 3 million @ .12 as the # needed now . CVIA has $320,606 in debt per 10qsb/a dated 12/17/01. We also have long term debt of $106,682.

Has anyone thought where the money to save CVIA, and run it till now, came from? Where is the money for the lawsuit coming from only ($30,000 but= 230,770 shares)

Camp a good part of this will be to pay of or down debt CVIA has . Will Gary get some ? I should think so .Will Blaser get some ,probably.
CVIA owes about $300,000,not counting Gary ,Ted ,Leon, and Tuortos pay and loans to get CVIA out of the hole Keith left us in. I see a use of around 3 million shares with the rest to be used as necessary. I hope CVIA can get by with less and believe they can and will.
The above is my opinion only ,and is useingfileings and past memories to get an idea of what is needed.
Did you know J B HUNT has 11,000 trucks, and BRIGHT has about 500? This looks good J B HUNT is the largest ,but BRIGHT is a long way from the smallest. In fact BRIGHT is quite large it seems.

I am still on. Just had to negotiate a little and restructure my contract a little. I gave a little and they gave a little but it allows others to help me out over time. The negotiations about others helping over 12 months was very important to me. The more the better for us all. IMO
Yes I am hearing after the 1st of the year the wheels will be set in motion. Nothing will start until then, sorry. I spoke with company hired IR guys today and everyone is committed to working together for the good of the shareholders. We are all bow being slowly introduced to each other. A new company profile is also being put together, written professionally. This profile should bring everyone up to date on what is taking place. You will soon see it and it will be announced. I also own a company news service that releases news via COMTEX and I will announce the new profile to the readers of COMTEX news as soon as it is completed. But again it should be soon after the first of the year.
I think all shareholders should be pleased with what is going on to try to increase value through acquisitions and mergers. This will create revenue that hopefully will result in positive earnings. A good EPS for a few Qs would help out the advertising, broker awareness campaign, fund manager awareness and give electronic new services that will be hired by me something to show our readers. Yes I am bringing others on as the year progresses. I will bring on one large firm to assist me soon after I start. I think you will all like what is in the works.
Please all you longs just give us time. The old crew really beat things up and these guys running the company are doing their best to get CVIA on track for a good 2002.
Yes everyone it takes teamwork and we want you all included. It takes a full crew to run a good company and everyone is inclusive IMO.
