you said frank and them can reduce the A/S to 1 billion shares if they wanted to? then why haven't they done it alone with the R/S and merger? why did they changed it to 2.5 billion instead? i'll tell you why, because they don't want to
i wouldn't call this company a scam.. but it does look like it scammed all that invested in the stock.. its trading at bare minimum 0.0001 and now they are doing a reverse split to give it more room to drop.. they claim they are reducing the A/S but with the reverse split in consideration, isn't this still an increase in the A/S?
correct me if i'm wrong, but this is how i see it:
before split: A/S: 5 billion
after 10-1 Reverse Split: the 5 billion before becomes 500 million, so even if they "reduce" the A/S to 2.5 billion it is still a 500% increase?
ok i'm not too sure about no.1 (company will start to buy back shares in third quarter)
what about getting business loans or LOC like most startups?

most likely was what had happened.. most of these penny stock CEO does not have a genuine interest to build a business.. or they would rather keep it private in the beginning stages.. the question is.. would these crooked CEOs be held responsible legally if proven guilty, or do they already know they can get away with all.
why would Frankie issue all the shares at this low price just to retire them at a much higher price later on, is Frank even at risk of being held responsible if he does get caught scamming? If he knows he isn't, then he'll just keep doing what he's been doing and no one can do anything about it.
i think the 3-month span is pretty recent
its alreayd been stated the A/S increased to 5 billion, and O/S up to 4 billion as of end of march... what are you asking me to prove?
we all hope so.. but nothing has shown this company is going that direction nor the "CEO" is capable of doing.. if revenues are on the verge of exploding why did they just issued another crap load of shares?
what results? all i see are more and more shares being issued at all-time low pps... i'm not sure what you are seeing..

Well those little helpers had nothing to do with my doubts. Its just one event after another that did, such as the 1 billion share retirement PR with new shares going out the backdoor... then the gradual unannounced OS increase, private equity sale, then the increase in A/S, yet more increase in the OS unannounced. All of these things are done while the stock is at all-time lows. How is the stock price going to appreciate unless shares are retired (or reverse split), if that's the case, wouldn't it be a dumb move for Frank to sell the shares at say 0.0005 and having to retire them at 0.005 later on? Wouldn't it be a smarter business decision to just get a business LOC like any other businesses? Unless of course he isn't planning to take those shares back.
The company I feel still has potential, but i've lost trust in Frank.. at least for now until he does something proving he looks out for the shareholders. Even solid companies can yield horrible stock performance if the management is weak/corrupt.
i really wonder how some longs can still remain so positive after stuff that has been going on with frank, the company and the stock price. I'm not saying you should be bashing the stock now, but i notice you've been saying the same thing since this was at 0.001, i hope to god this will head up big time, but with the constant dilution, no breakout in revenues and frank's lack of experience/integrity.. how is this ever going to happen?

Frank probably thought he could pump the stock price up by announcing retirement, then were hoping to issue new shares at elevated prices on the other end.. didn't it work?

when taking a step back and look at the full picture, it does seem like Frank is just financing his own wealth with selling the shares, and would not surprise me he just let this thing dwindle over a few years before closing shop while he secretly hides a stash somewhere.
ok but would these paper trail pose a treat to Frank in the form of imprisonment when it comes down to it? Or would Frank get away scott free like most of these penny stock CEO wannabes?
well raising the A/S brought him the potential additional funding that a R/S won't do... what if this increase in A/S then the O/S later cause the stock to not make past a penny or whatever minimum price that is required to list on OTC, would he then just say he "had no choice but to do an R/S to get uplisted.. and that in the long run it would work better for the company and shareholders"? (similar to his recent claim to have been mistaken for not listening to his advisors with the A/S issue) i've seen this line used in several other stocks before (AIG) ..hope to god nothing like this ever happens again
if he can uplist without a R/S i'll be extremely happy, but if he increased the A/S just to bring up the O/S to do a R/S for uplisting, then i'd rather stay in pinks
not talking about right now, i'm saying if that stuff is indeed brewing underneath.. at least whoever can be held accountable.. or at least there is a measure of consequence IF indeed he did something of that nature. Yea i am an investor... can an investor not become skeptical of the executives after a series of questionable events? I'm holding the bag right now, the only reason i'm still in is because these allegations against Frank hasn't been proven yet. So I'll still have a glimmer of hope. You need to calm down and stop taking everything so personal, people are allowed to have their own opinions even if they don't match yours.
i was just trying to look at both sides.. we don't know Frank personally, so i can't say I trust him all that much after the things he did with the shares the past year. Always have to think "what if" because not everything is how it seems.
Potential Legal Action - would this be a viable avenue? Just having that possibility may keep Frank more honest.. i think we have enough investors on here to file a class action, if this mess gets worse
I know what you mean, but there is as much of a chance Frank knew exactly what he was doing before, and plead "stupidity" afterwards when shareholders confront him with it... even in our daily lives we deal with people like that, why rule out Frank isn't like that as well.. i've invested quite heavily in this company.. because i thought the concept was good, but execution has been very bad... whats the point of issuing new shares at these rock bottom prices when he could get a LOC like every other business? It just means he is unlikely to buy those shares back later on... what sane business person would issue shares at below 0.0005 then buys back/retires them at 0.01 for example. Not to mention he issued all these shares unannounced... during his "we're going to retire 1 billion shares" ploy.. how can ANYONE defend Frank at this point? unless those who are working for him
none of us know if Frank has really moved to china, those pictures proves nothing other than it could be just from a "business trip".. i was not on the CC but someone here mentioned Frank "admitted he made a mistake of not listening to his advisor with a larger AS" oh man... its like you cheated on your wife and got caught, then admitted you made a mistake when she threatens to get a divorce
its good to be positive with the company.. but you seem to be going out of your way to defend frank and this company... which makes me wonder.. if there are paid bashers why wouldn't there be paid pumpers? nothing personal against you but Frank's actions in the past while does not merit any of your protection

ok would it be possible that those shares frank has been quietly issuing out to the market gets directly snapped up by those naked shorters, in an "under-the-table" kind of way (with frank taking a cut of the profits "under-the-table")? This might not make any sense at all but I'm just throwing this out there because Frank's integrity is starting to concern me, BUT i will not sell at this level

he is a smart man, let us hope he is right about gdhi and frank.. we should ask him to go on the CC and ask frank the concerns we have on behalf of all of us
i'm not saying you are wrong about him... i'm just basing on a few things frank has done since i became a shareholder.. namely:
1)announced retiring shares, while issuing an equal amount of new shares unannounced
2)always increasing the O/S bit by bit unannounced, then increased the A/S the same way recently..
The stock as of right now still has a reasonable A/S.. but i think the fear is that frank lost a lot of credibility this past year, so you really don't know what he is up to next... know what i'm trying to say? Its all about the faith and trust of Frank that has tarnished with his actions. He better do a good job dealing with all of these issues at the CC. I actually spoke with him briefly about potentially making the company website for him... at that moment I already didn't like the sound of him.. let's just call this a vibe.. and that was all I took it as because I have increased my holdings since. I know Frank has people on this and other msg boards... so the question is - which one of the longs are for real, and which are just working for him for "damage control"?

ok i totally agree with your logic about Frank's actions and percieved intentions. And I would not be a bit surprised the people who still claims to be shareholders are people Frank paid to defend the stock (in hope to lure in even more suckers).. All of Frank's actions in the past year or two has totally contradicted the impression he tried giving us, his investors. While he is slowly but surely increasing and then selling shares, pockets the money... we are left holding the bag. Increasing the O/S and A/S is fine, but why did he have to do it when the stock is at all-time low... which brings the least value to the shareholders and to his company as well... why? I can only think of one reason.. he does not expect the stock price to go up.
So.. let us wait and see, but I think even at these micro-penny prices, with all these increasing and selling shares the past couple years he would have accumulated enough to retire and just let this thing crash and burn on its own. I know he has eyes on these boards so yea, I'm calling him out. If he has any intention to do real business with this company, he better be addressing our concerns WITHOUT being asked first.
Talk is cheap, he better show something real soon. I wonder if a class action lawsuit would be practical in a penny stock, I would assume that he thinks it does not, and feels immune to any possible legal action later on. BUT, if that whole list of board users holding over that billion shares willing to unite.. we should be able to put some fear into him and make him think twice about pulling crap IF that is what he is trying to do.
Wow, haven't been here for a while... the strong hands are almost gone.. and bashers are taking over. Good job Frank, as i'm sure you have someone monitoring this board - so all I have to say to you is, Good Job (ex-engineer becomes millionaire). My money in this is probably all but disappeared... Frank may "sound" like a straight shooter, but in some cases those types are the most sneaky imo. Hope the fellow longs all the best. I don't trust Frank at all based on some of his decisions and actions, which is why i don't expect any miracles happening here.
I actually did speak with him during the early Golden Dragon days about designing a website for GDHI. I had already gotten a negative vibe as he sounded more like a small biz owner just learning the ropes, rather than someone who knows exactly what he is wants and does it. He seemed to be concerned about having this website to "attract investors". I didn't want to bring this up before, but I think I'm just fed up with the way he's running things.
hey steve sorry my ranting earlier wasn't personal.. i just exploded after seeing more dilution news.. i missed the R/S part as well.. but at this point, maybe getting an uplist might be good.. but as you said they need good news to go along with that.. i'm angry with the way the company issuing new shares at a time when stock is breaking all time lows month after month... it really makes me suspect the execs just wants to cash the cow until its just a skeleton.. or else why would they be doing this? This is a business that doesn't require high operating capital, yet why would they need another 6.9 mil? Didn't they just funded millions couple months ago? And why no word from the company to go along with this? I'm also wondering would they 100% get away with this action at the end? OR would there be some form of law that could make them responsible? Also, after reading about the CEO's history for being a scam artist, really fueled me as well. Thank you for the response, we are in this together!
i've sent a few emails to the company, not one single answer... maybe because they expect legal actions that would take place in the future and do not want to give any info that may work against them.. i've seen many microcap penny companies do this, but didn't expect one that was trading on nasdaq.. actually i just may start a class action since my family is in the corporate law industry so it would be free of charge
