To DHRR06 and KEJ. Private companies are just that: PRIVATE. They are obligated to disclose NOTHING. When will you understand this???? However, when Petro America - Kansas goes public, then they are obliged to be fully reporting. Act like adults already.

Just a minor clarification: the shares are restricted for 1 year but the clock starts ticking when the funds are received not when the shares are issued. And some additional info: the restriction is less than 1 year IF the shares have been registered in an SEC filing such as an SB-2 or S-1. In any event, we have already surpassed the one year mark. And then some.....

The TA I worked with could do a 3 day turnaround on a cert request; and quite often 1 day for electronic shares.

Sorry I couldn't respond sooner. The choice I referred was the delivery of the shares: hardcopy cert -or- electronic delivery straight to a broker.
I gave some highlights and insights from my experience with public filings. Very frustrating. I've had some simple registration statements which from initial submission to numerous amendments to final acceptance took MONTHS.
What I find disconcerting are various announcements that "the certs are ready". What certs? Why prepare certs if the shares are being issued electronically. I plan on having my shares DWACd (DWAC = Deposit/Withdrawal at Custodian,ie broker) which we were offered as a choice months ago.
Anyway, bottom line - I don't know when any of this will be done... This would be an appropriate topic for this Thursday's call.
Companies, whether already public or getting ready to go public via an IPO or reverse merger, need 2 sets of auditors:
1) for Sarbanes-Oxley "SOX" compliance (Wikipedia has a decent write up along with more links: http://en.wikipedia.org/wiki/Sarbanes%E2%80%93Oxley_Act). Allegedly, SOX auditors are the "good guys" who work with a company's financial team to ensure that the corporate records are in order for the impartial outside auditors who sign off on the SEC filings. SOX audits are labor-intensive, time-consuming, and extremely expensive. Good news: there is a possibility that the SOX act, because of the financial burden on small firms, may be modified or repealed.
and 2) company auditors who scrutinize and test the SOX audited records. These are the auditors who sign off the SEC filings.
I have no idea how long this will take or how far along PK is. We also need to keep in mind that the SEC has the last word on accepting the filing and so, there could be a number of submissions to the SEC before it accepted as "final".

PRIVATE companies are not required to disclose ANYTHING; however, when PK goes public, I expect info re: their mining operations, etc. will be made known...
How many filings have you done? Pre-Enron et al, I could depend on some of my company's filings being accepted by the SEC within a matter of days; one of our latest filings took 14 months. Can you elaborate on your experience with the SEC? I'm always looking to learn more...

I have worked for a public company/issuer with the SEC for many years. It's unconscionable how long the SEC can drag its feet on some of the simplest filings. I recommend looking at the EDGAR/SEC website for any company and see how many AMENDED filings there are before there is a FINAL SEC-accepted one. Fairly recently, I was involved with one simple filing that should have taken no more than 2 weeks for approval, but with all the SEC nitpicking, it took 13 months. Unbelievable but true.

If Petro's SEC attorney has filed a blanket opinion letter with the TA, the shares may be issued electronically. Been there, done that - that's how it works.
