The TA spoke volumes with companies they were involved with before, too. Until they gagged them. The TA told peeps to ask the company and the company never obliged. The saga continues.
That's some pumptastic news!!
Up 45% today, down 50% tomorrow.
Folks better keep a real good eye on the SS here.
The company they claim to have recently acquired, KCN Capital, is involved in a laundry list of OTC scams. It's owner, Khanh 'Keith' Nguyen and his brother Derek have been involved with many scam stocks.
This is what they do....
Fraudulently take over a ticker. It's called hijacking. They PR the shit out of it with bogus claims while hiding behind the Safe Harbor statement. They raise every segment of the share structure until they have diluted up to 50B shares, in some cases. That ain't no bullshit, that's 100% fact.
Better do some real DD before touting this POS.
STLK is not breaking any SEC regulations. Here's your answers SNIZZLE...
http://investorshub.advfn.com/boards/read_msg.aspx?message_id=107925214
EDIT: You said STLK was violating SEC regulations by not filing 8-Ks everytime they increased the OS, that's false.
You also said that all companies must file a 8-K when adding shares to the OS, that's false.
You also stated that STLKs securities are not registered with the SEC, that's false.
You also stated that STLK was in violation for selling unregistered securities, again, that's false.
If you think I asked the wrong question then go ask yourself, you'll be proven wrong again.
Couple of questions....
Does the SEC require companies to file an 8-K whenever they add shares to the OS?
The SEC sanctions placed on 10 companies were put there because they were selling unregistered securities and not disclosing them and/or the financing associated with those securities, correct?
http://www.sec.gov/News/PressRelease/Detail/PressRelease/1370543368026#.VFpaVjTF9k1
Do what you need to do. Go to the DD board and ask them. Be prepared for them to tell you exactly what I told you. Go ahead, ask them, because you're 1000% wrong.
You are wrong, wrong, wrong. Learn the difference between unregistered and registered securities. Until you do, the meaning of that SEC release will continue to elude you. It has absolutely nothing to do with STLKs business practices or stock.
I understand completely.
No....... you don't. You don't understand the difference between unregistered and registerd securities. The SEC sanctions were for companies selling unregistered securities. All of STLKs securities are registered with the SEC.
They have already been disclosed. The securities are already registered with the SEC. They DO NOT need to put out a 8-K everytime they change the OS. Get real.
There's no reason for the company to be concerned. They aren't violating any SEC laws, as you suggest. Thanks for your concern, even though it's unwarranted.
Sorry you don't understand that STLK hasn't sold any unregistered securities.
Read it. Understand it...
Companies are required to file a Form 8-K to inform investors when shares of common stock are sold in transactions that are not registered with the SEC under the federal securities laws and constitute at least five percent of the total stock held by their shareholders. Companies also must report when they’ve entered into a financing agreement not made in the ordinary course of business.
None of that is happening here. Good luck with the lousy theory.
The Securities and Exchange Commission today announced enforcement actions against 10 companies for failing to make the required disclosures about financing deals and other unregistered sales that diluted their stock.
Read it. Understand it. Not relevant to STLK.
You're misinterpreting the reason behind the sanctions. They're talking about unregistered shares.
As a follow-up, we did review the IUSA call from yesterday at the Board level and decided to proceed on this possibility. IUSA was excited to speak with us again. We will be speaking with their team to initiate the next steps. The "electrical equipment distribution" market in the US is large and estimated at $118 billion per year.

the SEC is after sec reporting companies that dilute and don't inform properly via 8-k's
LMAO!!! What a bunch of bull.
Based on what? A forum pump and dump? Is it because they acquired a fake company, KCN Capital, that's been tossed around with countless other scam companys? Or because the infamous MMG is involved here?
FWIW... been proactive and talking with JP. We haven't had a very nice exchange but, again FWIW, there's a very slim chance that the RS won't happen.
He wanted ideas, I gave him some.
I did tell him that in the PRE 14-C where the board decided it was in the best interest of the shareholder, it wasn't. Unless you're on the board.
The saga continues. No chance of a RS before December. Get out while you can.
AD goes up, price goes down = dilution.
Nobody is buying this HUGE POS.
Yep. Guess I better grab more while it's down here. 1 for 15, not a big deal. Especially if one knows what's in the works.
Got it all wrong. If you've got a link that substantiates that claim, I'd like to see it. We've heard this before from an uncredible source.
And how's that working out?
Steve Samblis has provided us with one of the best OTC meltdowns this decade. He's traveled two continents and played both teams. It's certainly been entertaining. Every circus needs a clown.
With all due respect, this chatter about the dilution and conversions isn't the problem. The rate of dilution is pretty small, considering the arena.
No interest and low volume is the problem.
If STLK was trading 100-200M shares a day, consistently, the dilution would be hard to notice. I'm sure you can agree.
Volume is relative to interest. Nobody is interested in the real thing. Real due diligence is a thing of the past. Nowadays, it's more like a race to see how many followers the next Federal inmate can gather.
There's nothing false or misleading about it. ANYBODY can email the company about the SS.
Who has been denied?
And, there is no imminent RS. If anything is false and misleading, it's your statement that STLK is going to RS. Completely fabricated nonsense. Any other fiction stories?
the company, according to you, will give out the SS to a select few.
That's where you're wrong, AGAIN. Anybody can email the company and get the SS. No TA needed, get the info straight from the horses mouth.
Doesn't matter if the TA is gagged, you can get the SS from the company. Send an email and ask.
Do you have a link to the next Q? I don't see it on the SEC website.
Yes, everyone that read it knew there was going to be dilution.
STLK is not cellar boxed. That term is being used in the wrong sense.
Who wouldn't have know about one of the heaviest diluters on 2014 would be STLK
LOLOLOLOLOL!!!! That's absurd. STLK was no where near the heaviest diluters. Gimmee a break. Heaviest diluters.... BWAHAHAHAHA!!!!!
Point out where the updates say there isn't any revenue, please.
Terrible company that will see a sp of .10 before you know it.......horrible stuff.
After the next RS, maybe. It'll never see .10 again without one.
Absolutely not
You're wrong. Go look at the Form 10. It's stated there in black and white that the company will experience dilution and it's been available for all to read for over a year now. If that's not plain and simple, I dunno what is.
Nobody has prodded him to do anything. It was one simple email. If one wants accurate SS numbers all they have to do is send an email to the comapny. He won't hide it.
Send an email and just ask, it's called due diligence, give it a try sometime.
Oh yea.....I like doom and gloom.
Then ERFB is the place to be.
STLK has no revenues.
IYO. The next Q isn't out so, yet again, you're speculating.
Has he treated shareholders and their value in the company with respect??
Only shareholders need to worry about that.
Has he reduced debt? Has he managed to get a revenue stream for STLK? Is he still working on the PPA? Is he providing updates as to the company's progress? Has he been completely transparent as far as dilution is concerned? The answer to all of those is, yes.
LMAO!!! What a good little CEO!! Telling folks about the dilution, didn't he say they were going to pay it off with a multi-million dollar asset sale? How'd that work out? Like I told you before, they don't have the assets to pay down the debt, it was all bullshit to get new sheep to buy.
CEO likes to do a reverse split to wipeout the past investors' accounts, then put out pump PR's to slaughter a whole new herd of sheep. WHne do you suppose the next RS will come? A few months? Six months?
I didn't say that. I imagine he, like anybody else, likes to be talked to with respect. I can't imagine anybody likes to be told they don't give a shit.
If he didn't give a shit he wouldn't be providing revenue streams. He wouldn't be pursuing the PPA. He's not diluting to fill his pockets. It's to pay the bills, he warned shareholders about it since the beginning. It's not such a surprise, as you would make it seem. If one would read the filings, they would know this.
Besides, only a shareholder should be worried about their investment. If someone doesn't own any shares, what do they have to worry about? Right? I have plenty of shares and I don't feel decimated, as you say.
Nothing fantasy about the future widfarm here. It would be a fantasy to assume it won't happen.
How much debt is still remaining? Is it paid off yet? Where's the financing they talked about? How many reverse splits has this company had in the last 4 years?
Nothing but a bunch of BS from a CEO that knows how to mislead investors.
One could still conclude that ERFB has lied, over, and over, and over again. RS, dilute, RS, dilute, repeat.
Why don't you send him an email yourself? He may not bother answering such demeaning questions but, you can try.
Folks, if you're going to talk about Marijuana(MJ) and Medical Marijuana(MMJ) PLEASE, know the difference.
I just read a post about someone being worried about FL not legalizing MJ(marijuana). I wasn't worried because, FL isn't considering legalizing MJ.
After you learn the difference between MJ and MMJ, then learn the difference between THC and CBD.
When you're done with that, learn the difference between legalization and decriminalization.
Also, a bit of knowledge of the difference between Federal and State law my help too.
Educate yourself first.
