One quick question for you, and anyone else who can help. .
A week ago or so, Pop mentioned that Neomedia is not paying their monthly
interest, or their mortgage.
Can you, that seems to be in tune with things, or anyone else, confirm this?
I haven't been following the financing details of this loan/mortgage, so don't know for certain.
If Neomedia is using YA delution to make their monthly Internet payment, which accumulates to around $370k, we must vote YES for the RS or YA may forclose on Neomedia.
I am determined to stick to my NO RS vote, as are so many here; however, if this is what Laura means by "Contractural Obligations", we have to vote YES to the reverse split, if we want any portion of our investment to survive.
If this is the case, we have no choice if the mortgage payments are to be made every month.
I also understand why option 6 would not work as they would need to sell over a 1.1 billion shares a month @ $0.0003 just to cover the interest payment.
This part is important, and we must watch it carefully.

I don't mean to be a party pooper, but the fact that new offers keep coming up should show that they really want this RS.
$10 mil is not a small number to forgive, and I can only guess that YA really wants the reverse split.
I would thread on the caution side of things, as this may be simply an offer for a fresh start.
Imagine if the shares actually hit $1.00 and they only would have to pay Neomedia $0.17 per converted share.
With just over 2 million shares outstanding, and nearly 5 billion to go, this would become a diamond mine to them.
They may as well forgive 90% of the debt, as they still double their investment.
They are not stupid.
Anyway, may each man/woman vote as they best wish.
Laura should really aim at no dilution deals, or as I suggested earlier, let Neomedia be the share seller and the debt will be gone quick.
Negotiate with YA to allow Neomedia to sell the shares.

Strange that YA would give up about 30% of their investment just like that.
Just to get a reverse split.
They know that they can earn that back in just one day of trading after reverse split.
Assuming the shares would be trading at $0.51 after reverse split, and the conversion rate changes to $0.17, they would only need to sell about 30 milion shares to get their $10 mil back, and we get a cool $5 milion.
Although tempted, I still would like to see a greater assurance that they will not con us be a quick dip in the share price to reduce our piece of the pie.

One thing I noticed since I joined the board is that a lot of posters make decisions on imagined possibilities, and that would include me.
Without factual evidence, decisions are made based on imagined possibilities, at which point greed and imaginations combine to give life to possibilities.
Now, lens, and yourself have been mentioning a possible buyer on the wings, and I would ask that you guys don't let the excitement cloud your reasoning.
Although I think Laura is a good CEO, and the board has done a good job for the company, I do think they are not giving the shareholder value part of the equation the entire attention it deserves, and this RS change makes a shareholder think closely about who in fact this will benefit.
Is there really a buyer waiting in the back office?
Or, will we banging out heads on the wall when YA begins their blood shed, and we are back to the crying and complaining.
Being that Laura and the board are very aware of our distaste for dilution, they, along with YA, should really aim
at offering some mind changing warranties that would help us change out votes.

Although tempted to change my vote, the fact that we are reversing by 1700, and they are looking, again, for 5 billion shares to play with makes one really question their motives.
I am surprised that the board does not negotiate with YA to allow Neomedia to sell shares into the market to pay down debt like so many companies do

That alone should show the intentions of these financiers.

The fact is that it will be a lot easier and more profitable to sell the shares after the R/S.
All kinds of people will want to buy shares of a company with OS of around 3 million.
3 months later, it will be 300 million, and before you know it,,,,1 billion.
That's the way the story goes for YA, and lets not forget those surprise dives of the the share price to $0.10 that will reset the conversion rate, so they can convert and pay just about nothing to get rid of our debt.
It's a work of art how they so easily sway investors away as they feed their hopes.
I voted yes for 500 billion authorized shares to help satisfy the company's legal requirements to YA, and I'm not surprised that YA doesn't like it.
They know that they can't do much from this point down.
That's why Neomedia is under pressure from them.

As Laura states, we have a bright future, they will pay the debt from operations, and there may be a possible investor.
Those things sound great, and, believe you me, I'm as tempted to change my vote as you are; however, look at the the redicules numbers they are proposing.
"1/1700 share reverse split", again look at that number.
"5 bilion authorized shares. " again, what need have we for 5 bilion authorized shares if we are close to being debt free.

After the RS, YA and Neomedia coordinate a couple of PRs, stocks goes up, IF IT ACTUALLY DOES, as investors are drunk with distrust for these two, and they just dilute away.
Ask yourself the question as to why such low share number after the RS.
This is all a great preparation for them to dilute the debt away and double their investment in a couple of months.
If we avoid the RS, they won't be able to as the share price does not have much further down to go.

There irony is that YA keeps dropping the share value through dilution, yet they are some who have most to gain by the share value increasing.
It's beyond me!
I believe they have some derivatives that gain inversely to the share price.
In other words, the value of the derivatives goes up as the share value goes down, so they would have their money secured if this thing goes to zero.
This may explain it.

Now we are self sufficient and we have a some licensees and customers, so it's time to stop fooling around and get things going.
YA earned enough to pay for their trouble, they have 5%, or perhaps more, of the shares, so lets kill this debt and hit the growth highway where WE ALL reap the rewards of our investment.

I thought that was the case, but that number gets reset along the way which can be manipulated along the way as we saw over the years when we had those surprising short drops.
As to the offering, it should be a key proposal made to YA to allow it if the board is really is keen on retiring this debt once and for all.
I suspect the market would take it well, and those shares should sell fairly quick since we would have a debt, and YA, free Neomedia.
Did not YA forgive the warrants, and did they not extend the debt payment dead line?
This would work to their benefit as well, I believe.

The idea in my question is that The Board feels with need the Reverse Split as we are
Entering the growth phase and this supports the company growth,
So why the need for so many Authorized shares?
YA has extended debt payment dead line, and we are self sufficient, so why do they need the shares?
They need them because the conversion rate may be a tenth of a penny, so they need to convert Billions to cover the debt, but YA keeps the difference between a tenth of a penny and $1.30 why would be the the share value if in fact we have a reverse split.
These guys are laying the foundation to open the gates to the gold mine.
If The Board wants a reverse split and gets it, they should do a share offering to the market with the reason of using the proceeds to pay the debt.
Then we are a debt free corporation with an share outstanding count of 50 million or so.

One question remains in the air however, being that YA forgave 1.4 billon of the warrants, of 1.9 billion they held, would not that leave them with only 500 million shares left to convert?
If I recall correctly, we were at an outstanding share amound of around 2, 750,000,000 outstanding shares when this anouncement made its appearance.
If the is correct, they can only dilute to 3,250,000,000.
Would this be a correct logic number or estimation?

Provided the information is correct, would not this have the sane affect as a reverse split;;; Not enough shares to go around.

It surprises me that these companies, and agencies, , including Neomedia, that are constantly promoting QR Codes and their use, haven't approached American Idol, or some other show which interacts live with audiences throughout the world to use QR Codes as a form of interaction with their audiences.
This would firm up the usage of QR Codes, and it would formally introduce the technology to the world in a single shot.
Think about this, anyone and everyone that is currently involved with, and using, the technology would benefit.
It makes a lot of sense to unite forces and push for something like this.
Neomedia could offer the technology for free for one season in exchange for some Advertizing.
