I'm a newcomer here, but I know that in the summer of 2008 they sold $40 million dollars of equity to have the money to "grow" the company. In growing the company, why not stay within the $40M budget, instead of investing in enough other stuff to the extent that their line of credit at a bank is used up (At the end of sept there was only $20k in the revolver). And then go out of compliance on three of the loan's covenants. IMO, that's not exactly "in control."

In a private placement they sold equity in return for $2.3M, but it doesn't say how many shares. I'm guessing something between 10 and 20 million shares of restricted common.

The company blamed the downturn on general economic conditions, and I quote "Drilling activity in 2009 has declined due to a slowing in the energy segment of the economy." So you seem to be predicting a V shaped recovery back to 2008 levels in 2010. Good luck with that.

Well thanks for your insights. I'm thinking that Deep Down Inc will be a candidate for such a legitimate RS in another 9-12 months or so, when I expect they will have 3 quarters of positive earnings but a fairly valued stock price in the 0.50 to $1 range.
Thanks, not familiar with this ticker but from the chart it looks like TWX went from about $5 pre-split to $15 post-split and then never looked back. That's exactly what I was looking for, examples of legitimate stocks where a reverse accomplished what it was supposed to do.
Thanks e-ore. With regard to your last sentence, that's not necessarily true since the stock might be fairly valued at 10 or 20 cents. Even with 20 or 30% annual growth of the company's financial metrics it could take many years for the share price to get to the range where it could be for instance listed on the NYSE and picked up by more funds. So the management might legitimately consider a reverse. I'm looking for previous examples of legitimate companies with strong financials that implemented a reverse split to see if even in those situations is there almost always a market cap decline.
An R/S question for the board: My impression is that the vast majority of R/S that are undertaken backfire and result in a lower market cap either immediately or within months. But what about companies that have a strong financial picture? For instance 2 or 3 quarters of increasing revenues, profitable, fully reporting, in strong sectors, etc...Do R/S in these sorts of situations that are undertaken in order to increase the share price also have just as poor a track record? --TIA, 5cap

Please make it simple. That form you posted showed nothing that could not have been made up. Maybe you haven't been through a pink sheet scam before, but I have. I'm not saying there is no revenues, I'm just looking for some evidence.
uh, no, that is no evidence of revenues. Look, I'm long 100,000 shares from .30 that I bought ourely on TA with no DD. If the chart looked right I would double or triple down but I'm looking a lot more closely first. That section of that blue and white screen shot is clearly general information such as the number of employees, etc supplied by the company. It lists $5.6M and could have been made up pure and simple. The lower part of that form that was posted in post 32460 is a lot more instructive: Action obligation $0. No revenues yet.

I'm not aware of any realized revenue, if there is any then verifying links should be easy to find in the ibox. Unfortunately nothing is easy to find in the ibox. ahh, somebody's getting out, other folks getting in, life goes on. I doubt the seller is the Sonz fund, he seemed pretty happy this morning on the call when they said they had enough money to invest in expansions in Q4 without financing like had been discussed in the previous call.

"Bought" and "sold" refer to trades at the ask and the bid respectively, and plenty of the volume on a typical day goes off at prices in between the bid and ask. Maybe this indicator is what you are looking for:
