Federal Judge Leans Towards Approval of JetBlues Acquisition of Spirit Airlines
December 6, 2023
On December 6, 2023, a significant development unfolded in the aviation industry as a federal judge leaned towards granting approval for JetBlue’s proposed acquisition of Spirit Airlines, valued at a staggering $3.8 billion. Despite the Justice Department’s efforts to impede the deal, the judge hinted that it could move forward under the condition that JetBlue divests additional assets to address potential antitrust concerns.
While the Justice Department argued vehemently that the merger would result in inflated prices and reduced flight options, the judge expressed reservations about obstructing a deal within an industry that is constantly evolving and facing unprecedented challenges in the post-COVID era. This dynamic environment presents both unique opportunities and hurdles that must be carefully considered.
The final verdict ultimately rests in the hands of the judge presiding over the non-jury trial in Boston, who holds the authority to shape the future of this pivotal acquisition.
2 cents may be a good entry point for a short to intermediate term speculative play. One good, solid PR and this could be a quick 5-10 banger, even it the pop most likely would be short lived. Of course things could get worse, but downside risk at this point is rather small IMO. O/S size is still manageable, so there shouldn't be an R/S short-term. JMHO
I've been in TSOI for almost 2 years. As I've posted in the past, this is a "Long Term" multi-year investment. It's NOT for swing traders or day traders. The FDA coupled with bio-ech research takes a lot of time.
As I've also posted in the past, IMO the only major long-term risk with this is the risk of an R/S due to the grossly high O/S. However, Tim has gone on record stating that he will never do an R/S under his watch. However.... there are other strategies that he could do to fix the balance sheet, and they would not be good for the SH.
So bottom line: this is a long-term (multi-year) RISKY investment. That's why it's called a "Penny Stock". So one should never put all of their eggs in one basket. Diversify. Those that thought that they could get-rich-quick in TSOI made a Big Mistake. JMHO
It's just a matter of time until we see a monster pps spike on good news. I'm patient.
I think this will be at $10 by spring (April) 2024. This is a well run airline. They are just coping with a few things that are outside of their control. I view them as seasonal issues. Having said that, I don't like having $$ tied up for that long. Hopefully the outcome of the ongoing law suit will give the pps a spike (boost). Outcome should occur in December.
Whoever said that basically don't know what they are talking about, and they don't understand Risk Management. It's called 'correlation'. The goal is to spread the risks, and minimize correlation across sectors. In other words, purchasing two American airline stocks is not well diversified because they are in the same sector. So if the American airline industry as a whole gets hits with bad news, then most American airline stock prices get hurt together.
I'm afraid that even if you won the law suit, this company has no money to compensate the SH.
Yes, RLFTF is buried. Got that right.
Rick.. you can't be serious. Let's get real. This thing has sunk to 2 pennies. And it may soon go sub-penny. How can you pump and defend this CEO and their mission. They have failed the SH. Period. They virtually have no cash in the bank to finance their fat salaries and bonus checks. R/S is next on the agenda. Just watch. MF is the Shroom King. Which got him nowhere. I was long this stock once. Never lost anything because I saw the light and exited. But I did lose some $ on RLFTF. I'll man up to that.
These foreign biotech entities seeking EUA under the FDA umbrella has been a SCAM. They scammed us all. They never had a chance with the FDA which gives preference to BigPharm
IMO this is a 2x or 3x banger somewhere between now and spring 2024. JMHO
MF often looks like he is doped up on his own shrooms. Sorry. I couldn't help that.
It will be an R/S. That will regenerate the cash flow to keep financing the salaries and bonuses. It is what it is. Unfortunately this was simply an EUA dream, just like so many other tiny biotech during the COVID era. I got a burned a bit by the the same dream with RLFTF. They did the nasty R/S (1 for 400), which wiped the SH out. Ouch. Of course they sold the R/S with PRs that it was to get to the NASDAQ, which never happened. It's SOP in the pennyworld.
med.. next stop is the r/s. May not see it till spring/summer/fall 2024. All down from here I'm afraid.
This is a vey sad state of affairs. I do feel for the longs who got suckered into this by a CEO who literally cannot speak in a professional, fluent manner. This CEO is a joke.
I got lured in and scammed by RLFTF. That's a whole different story.
But these two foreign entities are very similar.
These foreign biotech CEO's (Canada and Switzerland). are both penny stock scams.
I only speak the truth. No pumps. No bashes. Have you even seen/listened to this CEO talk. He couldn't even run a dime store.
RVVTF is not Novartis. Let's get real here. The r/s will happen. Write that down and I stand by it.
That funding will not pay for the salaries and bonuses of mgmt. You know that. Hence, the r/s is inevitable.
I cannot count the number of times I've heard that excuse with penny stocks. Then when the r/s occurs, everyone is shocked. OMG... how did that happen!
I agree.
RVVTF will run out of money required to pay other bills before this study is complete. Hence, an r/s. They need to start generating revenues (and profits) to avoid an r/s. JMHO
med.. based on your excerpts, it looks like you got duped too!
Spring will bring May Flowers..... or much smoother.
OTC from a delisting! Not going to happen. You must not be aware of the delisting rules. PPS must fall below $1 for 30 consecutive days, and even then they have 6 months (180 days) to get it back up to $1. And in most cases another 6 month extension is granted to achieve that $1 threshold.
So, NO. If you are planning on shorting this stock in the hope it will be delisted to the OTC, you are dreaming. Wishful thinking. I suspect JBLU will be back up between 7-10 bucks somewhere between Thanksgiving and spring 2024. Short term... it depends on how the current law suit goes which commences on October 30.So, short term I expect I lot of volatility.
I'm bullish. This is almost rock bottom price here IMO. I'm buying at these levels.
The trial has now been delayed until Oct. 30
https://seekingalpha.com/news/4020500-doj-trial-to-block-jetblues-planned-spirit-deal-delayed-again
A major problem they have is their 'revenue' is ZERO. I'm not talking about profits. I'm saying they have zero product producing no revenues. Very sad state of affairs. An r/s is inevitable in order to pay the insider salaries and bonuses.
Gatorca, I was lucky to have exited this around .40 with a very small loss. I didn't like MF after seeing him in an interview. Not professional IMO (pretty sleezy). The guy couldn't even sit up in a chair right, and his PR's appeared to obsessed with shrooms (rather than EUA for Bucillamine. Also, he dragged his feet when the FDA gave the red light by taking months to get the trial off the ground. The guy was not prepared at all. So I got out.
On the other hand, I lost a good chuck of change on RLFTF (small Swiss based biotech). RLFTF had a lot of pumping by the doctor doing the trial and suckered me in. They too were seeking EUA for covid. In the end the FDA essentially rejected their drug.
I've concluded that it is a very low probability trade to think that the FDA will approve a drug from a small foreign country..... and that includes Canada. IMO, MF has run out of tricks, so he has invented another one to lure in new investors. Their only real source of cash inflow is dilution, so I'm reasonably sure that we'll see a devastating r/s in 2024 (2025 at the latest). But I will continue to watch this stock in case there is a new, major turn of events. But I have very little faith now.
Oh for sure! Sometime in 2024 most likely they will need to do an r/s. It's SOP in penny stock land.
Wouldn't the start of clinical trials in 2024 equate to starting at ground zero (Phase 1 FDA)? If so, unfortunately that initiative is many years away from fruitation. The EUA piece of that PR is just a pump IMO.
Adequate diversification is one way to help reduce the risk. But there is no doubt it, penny stock land is a dangerous landscape full of landmines. IMO it's best to limit the $ invested in this sector/segment.
I'm bullish long-term with TSOI..... if we can avoid an R/S.
However, their debt is 3x their cash. Having said that, finanancial leverage like that is very common in the airline industry.
Delisting will not happen so there is virtually no risk of an R/S.. The pps would have to fall below $1 for 30 consecutive day. Not realistic.
JMHO, we'll be seeing $8-10/share somewhere between now and the summer of 2024. That's a 2x profit from these prices.
Good points, but with a positive outcome from the upcoming October trials (which I believe will happen), then everything else will be a moot point IMO.
I believe that Jetblue will be the winner in that trial. They have been taking actions by divesting assets to improve the optics on their behalf. Time will tell.
BOSTON, March 21 (Reuters) - A U.S. judge on Tuesday scheduled an Oct. 16 trial in the U.S. Justice Department's lawsuit seeking to halt JetBlue Airways Corp's (JBLU.O) planned $3.8 billion acquisition of ultra-low-cost carrier Spirit Airlines Inc (SAVE.N).
U.S. District Judge William Young in Boston scheduled the nonjury, four-week trial during the first hearing to be held in the blockbuster case, which the Justice Department filed two weeks ago.
Won't happen. That would be panic thinking. In 6 months this will be at $8+. Good buy opportunity for those with longer term thinking.
