It very well could be that one of the most attractive theme’s behind Edgetech International’s new handheld device, the “PC edge” falls outside the “norm” of most investor’s radar. Sure when you are investing, you want to look for a good product, and a growth story, and good management. These are the basics. But it’s often the “intangibles” that separate the good companies, from the truly incredible growth stories of the last ten years.
Consider the Apple Ipod. It’s success is nothing short of phenomenal, and yet if you really break it down, it doesn’t do anything more than play Mp3’s in your earphones. But it’s the total package that brought buyers to the stores, in droves. The look, the feel, the use, and they popularity drove it to unbelievable record sales. When questioned, a lot of users simply say “I can’t explain it, but it’s so cool I had to get one”. That’s the power of the use of an “intangible” effect. We feel that most investors are overlooking something incredibly important when it comes to Edgetech International, (trading under the symbol EGIL) and it has to do with Europe, Asia, and the CEO’s experience in forming relations in those marketplaces.
Here in the US, we “grew up” with the internet on 12,14 and 15 inch monitors. In no time we were looking at 17 inch monitors. But for most of the “other” developed world, internet has been delivered (and poorly we might add) on 2 inch cell phone screens. While it was almost impossible for us to imagine trying to do anything useful on a 2 inch screen, the rest of the world had no alternative. They didn’t have the cable and wireline infrastructure, nor the buying power to utilize a bigger monitor. For instance in India, there are entire towns that still don’t have a single wire source of Internet, yet they do have cell phone capability. Therefore, the communications, and even crude “web surfing” are done on 1.5 and 2 inch cell screens. They never had the luxury of surfing the web on a standard PC type monitor of any significance.
This is where the PCedge is going to have an acceptance factor far and away what many can imagine. Their “full sized” screen, that shows full page HTML, that works over cellular carriers, is similar to someone going from a 19 inch TV to a 55 inch HDTV in their living room. Granted that’s a bit of an exaggeration, but the effect is similar. If you can have a 2 inch screen that loads chopped down and rejiggered web pages in about 3 minutes, or you could have a checkbook sized full screen that can load fully enriched HTML pages in 5 seconds, which would you chose?
This is the intangible effect that could push EGIL further in the European and Asian markets than many ever considered. If you take into account the EdgeTech founder and CEO, Lev Parnas’s experience in building relationships in Russia, Europe and Asia, it’s a foregone conclusion that EGIL is going to make quite a stir supplying “big screen” PC’s in a palm sized device. Keep an eye on this, it’s going to be interesting.

The Truth
Deliverable Quantity of “The PC Edge” Units. Edgetech had originally ordered 5,000 Pocketsurfer-2 devices, and then changed the order to brand the devices under the name ‘Edge’. In March or April 2007, Edgetech decided to again change the order, to now take 1,000 ‘Edge’ devices and 4,000 of the new-design Pocketsurfer-2, which Edgetech called ‘The PC Edge’. Edgetech made this decision with the clear understanding that the new design was still under development, and would require significant time for new molds and tooling. Datawind produced 1,000 of the Edge devices, of which 513 have been delivered to Edgetech, and 487 remain at Datawind facilities in Montreal. Edgetech has accepted the delivered Edge devices and apart from normal warranty issues, has not come across any widespread defects in such devices. Any specific issues with these devices will be dealt with on a case-by-case basis within the warranty period.
Edgetech was responsible for delivery of the SIMs. The delivery of the SIMs was delayed, and did not occur until October, 2007. To assist Edgetech due to its financial constraints, DataWind agreed to pay the SIM supplier US$20,000 on behalf of Edgetech for 4,000 SIMs – Edgetech in turn agreed to accept 100 less devices, resulting in the order for The-PC-Edge devices to be reduced to 3,900. Datawind has agreed to supply new ‘The PC Edge’ devices instead of the 487 ‘Edge’ devices. The deliverable quantity, accounting for the reductions made in sub-para 2 below, is 4,258 units.
Delivery of “The PC Edge” Units. Datawind has supplied Edgetech with 17 units of The-PC-Edge devices, and Edgetech confirms that it has accepted the new-units, their performance and specifications. Datawind shall supply the rest of the deliverable quantity to the same quality, specifications and performance. Upon execution hereof by both parties hereto, Datawind shall have its freight forwarder ship from the factory in China to Miami airport all devices that have been completed in the factory, followed by additional production every two weeks.
The estimated shipping cost of $20,000 for the full production will be paid by EGTH through the reduction of the deliverable quantity by 100 units. To date on the initial 900 units at the factory, a demurrage charge of $2,400 has been levied against them on the storage of these units, which will also be paid EGTH by a reduction of the deliverable quantity by an additional 12 units.
Datawind shall assist U.S. customs’ clearance and pay all related fees and costs associated therewith, and EGTH shall be responsible for collection and storage of the devices from Miami airport. Datawind may need to get clearance conducted in EGTH’s name. In addition to the prompt shipment of the 900 ready units, DataWind will, on the same terms and conditions as provided for above applicable to the 900 ready units, make best efforts and ship from China 1,483 units on or before November 30, 2007; 1,388 on or before December 31, 2007; and 487 on or before January 31, 2008. This delivery schedule is subject to usual force-majeure caveats or other issues beyond Datawind’s control if they create any further production delays.
Edgetech agrees that Datawind is not the cause of any delays to date, and has no obligation in this regard. Edgetech’s only recourse for any future delays, per the terms of the Amended Agreement is to force performance. By its execution hereof, Datawind acknowledges that all of such “The PC Edge” units have been fully paid for by Edgetech.
Nothing herein shall effect warranty claims, if any, Edgetech may have pertaining to the approximately 513 “The Edge” units previously delivered by Datawind to Edgetech and in Edgetech’s possession.
