Any move by Wal-Mart into a new area of business sounds a death knell for competitors in that space. That’s why Cramer offered a eulogy Thursday for PetSmart.
PetSmart [PETM 19.40 --- UNCH (0) ], the one-stop shop for all things pet – from food to veterinary care – is going to be under enormous pressure as Wal-Mart [WMT 54.75 --- UNCH (0) ] sets up a shop of its own on the former’s turf. The outcome, if history is any guide, will not be good for PetSmart.
Whole Foods [WFMI 10.57 --- UNCH (0) ], Best Buy [BBY 24.61 --- UNCH (0) ], Circuit City [CC 0.3 --- UNCH (0) ], even pharmacies in the generic prescription drug sector all took a hit when Wal-Mart stepped in. Well, now the discount giant is increasing its footprint from just pet food to include pet care. “We’ve spent a lot of time on pets,” the head of Wal-Mart’s grocery division told analysts at an Oct. 27 meeting, and the company’s expecting to take share by keeping prices low.
[Cue doomsday bell sound.]
And therein lies the not-so-secret strategy behind Wal-Mart’s success: Massive scale and size allows it to cut prices to such a level that competitors can’t compete. Then a company like PetSmart watches its gross margins deteriorate as it tries to keep pace and shopper traffic peters out.
How does Wal-Mart do it? The company has only one degree of separation between it and its overseas suppliers. That’s why Wal-Mart’s home-related products are sold for 15% to 50% cheaper than competitors. PetSmart has six, a margin-killing business model in this contest.
So as the recession continues and consumers pull their collective belt buckles one hole tighter, Wal-Mart is going to be the go-to retailer for more than just food, clothing and electronics. Now pet owners, who in a country as cute-obsessed as the U.S. aren’t about to stop feeding Fido, will be shopping there, too.
That means PetSmart cannot be owned, and it’s the reason Cramer put the stock in this week’s Sell Block.

What part about The Company today announced Cal-Bay International common stock shareholders will receive fifty restricted dividend shares in the new subsidiary corporation for every million shares of Cal-Bay International, Inc (Other OTC:CBAY.PK - News) held of record as of the close of business on November 21st 2008. The dividend shares are expected to be eligible for trading by mid 2009. do some of the posters here not get?
I don't know if people just aren't comprehending the pr because I see people posting that their 50 shares at .0001 are worthless. Shareholders are not getting shares of the current CBAY. Shareholders are getting shares of the subsidiary company that will have its own trading symbol and a different stock pps. For all we know the stock could open at $.25, $.50 $.75 $1.00 or higher imho So until we know the share structure and value of assets and revenues we won't know the starting price of the new trading subsidiary.
I just wanted to make this clear so everybody understands :)

Sen. Dianne Wilkerson was charged with attempted extortion as a public official and theft of honest services as a state senator. She did not enter a plea during an initial court appearance Tuesday.

She faces up to 20 years in prison and $250,000 in fines on each count.
Wilkerson, 53, lost the Democratic primary in September to former teacher Sonia Chang-Diaz despite support from Mayor Thomas Menino and Gov. Deval Patrick. She is running a write-in campaign for the Nov. 4 election, in hopes of retaining the seat she has held since 1993.
Wilkerson was ordered Tuesday to have no contact with witnesses and retain any documents related to the extortion case or to her personal finances.
In asking for those conditions, Assistant U.S. Attorney John McNeil said Wilkerson has a "long history of acting as if she is above the law."
Wilkerson's attorney, Max Stern, said she would obey the judge. She has been released on an unsecured $50,000 bond.
U.S. Attorney Michael Sullivan said it was coincidental the complaint was filed a week before the election. He also said he did not believe any other public officials mentioned in Wilkerson's dealings took a bribe.
The new charges are the latest in a string of troubles to plague the lawmaker, Massachusetts' only black state senator.
According to a federal criminal complaint, Wilkerson was recorded by audio and videotape accepting bribes in exchange for helping a proposed nightclub in her district get a liquor license. She also allegedly accepted payments for helping an undercover officer posing as a businessman who wanted to develop state property in Boston's Roxbury neighborhood.
The complaint said Wilkerson took $10,000 earlier this month to fund her write-in campaign.
Sullivan said Wilkerson accepted eight payments, ranging from $500 to $10,000, during the 17-month investigation.
An FBI affidavit filed in court includes a series of still photographs from video recordings allegedly showing Wilkerson accepting cash. In one photograph, taken in June 2007, Wilkerson appears to be stuffing a pile of cash under her sweater and inside her bra.

Stern suggested the released surveillance photos do not tell the entire story.
"I'm sure you know there is a context to every one of the interactions you have been told about, there is something that happens before and there is something that happens after that has not been included in what you have been shown," he told reporters after the hearing.
"Voters and taxpayers expect that elected officials will do what's right for their constituents, not what is financially best for themselves," Sullivan said.
State Senate President Therese Murray, who had endorsed Wilkerson and campaigned with her, said she was seeking an investigation by the Senate Ethics Committee and would remove the senator from her post as chairwoman of the Joint Committee on State Administration and Regulatory Oversight.
The governor earlier had called the allegations "troubling and sad."
"If these charges are proven to be true, Sen. Wilkerson should resign," Patrick said in a later statement, a call supported by State Senate Republican Leader Richard Tisei.
The state Bar Counsel last week also filed a complaint against Wilkerson accusing her of lying under oath in an effort to overturn her nephew's voluntary manslaughter conviction. The penalty could include disbarment. She has denied those allegations.
Over the years, she has also faced accusations of failing to account for donations and personal reimbursements, failing to pay federal income taxes and failure to properly report consultant fees she received from a bank for which she lobbied.
A pre-trial hearing is scheduled for Nov. 17.

A Defense Stock Obama Could Love?

If the polls are right, then Barack Obama will be our next president. It’s news most aerospace and defense investors don’t want to hear. But not every company in that sector might suffer if the Democrats take the White House. In fact, Cramer thinks AeroVironment could do quite well.
AeroVironment [AVAV 30.58 2.70 (+9.68%) ] makes small, unmanned aerial vehicles or UAVs, which Obama supports. UAVs range in size from something a soldier can carry into combat to those closer to person-flown planes. And most often they’re far less expensive than the F-16s or F-22 Raptors the U.S. uses, and there’s no risk of losing human life.
This is a small, $580 million company (with a clean balance sheet, no debt and about $112 million in cash) that competes with giants of the industry like Northrop Grumman [NOC 46.05 4.08 (+9.72%) ] and Lockheed Martin [LMT 80.28 7.64 (+10.52%) ]. But CEO Tim Conver told Cramer Tuesday that “very well positioned” to compete in this space. AeroVironment four industry competitions, beating some of the largest prime contractors in the world to do it, and the company is the only supplier small UAVs to the Department of Defense. Plus, there’s a big pipeline of new products on their way to market.
There is only a small group of stocks that Cramer thinks can rally on that poll-predicted Obama win, and AeroVironment is one of them. He said this stock could jump “very quickly” after the election, so he’s bullish on AVAV.

Stocks Jump 11% Amid Bargain-Hunting Spree

The Dow Jones Industrial Average finished up 889.35, or 11 percent, to close at 9065.12. It was the second-biggest point gain on record and the seventh-largest percentage gain.
Of course, it wasn't a straight shot: The Dow jumped more than 200 points in the first minute of trading, then bumped that up to about 300, before a dismal consumer-confidence report erased all of those gains. Bargain hunting picked up steam in the final two hours of trading, sending the Dow rocketing to its 11-percent finish.
The S&P 500 jumped 91.57, or 11 percent, to close at 940.49.
The most encouraging thing was that it was "a very broad-based rally," Gordon Charlop, of Rosenblatt Securities, told CNBC. "Everybody’s joining the party, if you will."
Indeed, the gains were across-the-board: All 10 key S&P sector indexes advanced, led by consumer-discretionary, telecom and retail, which all logged gains above 13 percent. Health care posted the lowest gain at 7.5 percent.
The tech-heavy Nasdaq, which has lagged its broader counterparts, advanced 143.57, or 9.5 percent, to close at 1649.47.

Attempting to thwart the market's early attempt at a rally, the Conference Board reported its gauge of consumer confidence plunged to a record low of 38 in October from an upwardly revised 61.4 in September. The October reading fell short of the consensus estimate of 52 and even the most pessimistic forecast in the survey, which was 45.
Obviously, a sharp drop in consumer confidence comes as no surprise at a time like this but the severity of the drop was unexpected and rattled the market.
Asian markets posted solid gains -- Japan led the way with a 6 percent jump. European markets also gained; Germany's DAX was the standout, soaring 11 percent driven by component Volkswagen after Porsche took a larger stake in the company. Earlier this month, a Barron's article seemed to encourage shorting Volkswagen as the stock was likely to go down when Porsche's stake got over 50 percent.
VW shares, which have quadrupled since Friday's close, added another 80 percent in the current session, briefly making VW the largest company by market cap, eclipsing ExxonMobil.
The stock's surge triggered a short squeeze, and the buzz was that Morgan Stanley [MS 15.20 1.47 (+10.71%) ] and Goldman Sachs [GS 93.57 0.69 (+0.74%) ] were caught on the wrong side of the squeeze. Those stocks took a beating in intraday trading but later joined in the rally, ending up 11 percent and 0.7 percent, respectively.

I talked to a guy at the SEC and he says they are now running new software that finds short sellers that do not cover repeatedly and looks for small time short sellers that short stocks hit hard on message boards. He said they will then connect the dots and things will be different, even in the pinks he said. He said the software does not care what board the stock trades on. During an interview in April 2003, Kevan Garner became reflective, not in a seriously introspective way, but rather in a breezy, off-handed manner that belied the horrible fix he was in.
Over coffee at Tiny's Cafe on West Hastings, he told me that, during his brief and eventful career as a Vancouver stock promoter, he had seen "the rise and fall of many Roman candles."
He described Howe Street as "a hotbed of temptation. . . . That's why guys end up on drugs, the bars are full and families are broken. There are some good guys down here, too, but the sea of temptation is sometimes difficult to deny."

Font:****Garner had succumbed to that temptation. Months earlier, he had been caught in a joint FBI-RCMP sting operation. He had agreed to launder hundreds of thousands of dollars for undercover officers posing as members of a Colombian drug cartel. He was facing 87 months of hard time in a U.S. prison.
He said he was overwhelmed by "incredibly deep humiliation and shame. I decided that if I ever wanted to clean up my ethical act, it was time to start now."
His mea culpa, however, was unconvincing. It was sprinkled with rationalizations for his criminal behaviour.
He said it wasn't like he was dealing with Colombian drug lords, with gold chains and guns. He said the undercover officers "stressed they weren't dealing with drugs, just the proceeds. They likened it to the Bronfmans [who smuggled liquor into the United States despite prohibition laws] and said that 20 years from now, this would be no different."
After serving his time (reduced to 15 months upon appeal), Garner returned to Vancouver, but found opportunities for ex-cons were limited. Also, with a predilection for fast times, he was loath to take a conventional nine-to-five job.
Divorced from his wife, Michelle, and distanced from his two teenage daughters, he lapsed back into the murky world of penny stock promotion, this time under the alias Kevin James, using his charm and charisma to ensnare naive and trusting investors.
Relegated to the frayed margins of society, he ended his life on Sept. 5 when he was found hanging in a downtown Vancouver hotel room. He was just 53.
"We did an investigation and can confirm that the death was determined to be a suicide," B.C. Coroners Service spokesman Terry Foster said Tuesday.
In many ways, Garner's life was like a Roman candle: It ignited, burned and exploded in spectacular fashion, the last glowing ember an obituary in Saturday's Vancouver Sun.

Garner was born in Vancouver, but grew up Kamloops. After graduating from high school, he returned to Vancouver and got into the restaurant business. For years he ran some of Vancouver's best known restaurants -- Hart House in Burnaby, The Timber Club at the Hotel Vancouver, the Papillote on Broadway, where he married Michelle. He also helped organize many charitable endeavours, and garnered favorable publicity for his efforts.
"He was beguiling," restaurant critic Jamie Maw recalled in an interview. "But I always had the feeling that he was watching another channel, that he was looking over your shoulder for other opportunities."

Told that Garner had killed himself, Maw said, "I'm dreadfully sorry to hear that. I liked Kevan a lot. He was a very personable guy. It seems that he was led astray, or allowed himself to be led astray."
Garner's restaurant career was peripatetic and financially unrewarding. He lived in rental accommodation with Michelle and two young daughters. When he hit 40, a watershed point in many men's lives, he turned to the morally ambivalent world of penny stock promotion.
The character traits that served him so well in the restaurant business served him equally well in his new business. He was engaging, charming and charismatic. He had a quick wit, and was never without a bon mot. He was fun to be with, and to talk to.
Font:****These were qualities that would help him sell stock, but with only a high school diploma and no exploration experience, he would be reduced to promoting penny dreadfuls to unsuspecting pigeons.
It wasn't long before he fell into league with two of Howe Street's most infamous denizens, promoter Jack Purdy and former lawyer Martin Chambers.
In August 2002, Garner, Purdy and Chambers were among 60 Canadian and U.S. residents targeted by RCMP and FBI in a massive stock fraud and money-laundering sting operation.
Garner was arrested in Miami, Purdy in New York, and Chambers at the St. Louis airport. Garner pled guilty, and agreed to testify against the other two in return for a lighter sentence.
Despite Garner's testimony, Purdy was acquitted at trial in Miami. As events unfolded, prosecutors did not call Garner as a witness at Chambers' trial. They didn't need to: they had conclusive surveillance video of Chambers agreeing to launder money. He was sentenced to 15 years in prison.
In June 2004, Garner was released from jail and returned to Vancouver, where he resumed his search for meaning and money. He forged an unlikely friendship with the undercover RCMP officer who busted him, Bill Majcher. They talked about writing a book and making a film together on the undercover operation. They made a presentation on ethics to the UBC MBA class, with Garner professing to have undergone a moral transformation.
In an attempt to parlay his notoriety into cash, Garner developed two monopoly-type board games. One was called Dirty Money: The Money Laundering Game, in which players bet on how much money they can launder, and the other was Grow Op, which replicated the profits and perils of illegal marijuana cultivation. They were both flops.
By 2006, Garner was back in the stock promotion business. Circumventing Canadian stock exchange regulators, who almost certainly would not have allowed him to participate in one of their listed companies, he began promoting a company listed on the lowly "pink sheets" in the United States.
It was called 3P Networks Inc., which claimed to be developing digital entertainment products for hotels, resorts and condominiums.
One of his pigeons was Kyla Lazaruk. When she met Garner in late 2006, she was just 19 years old.

In an interview Tuesday, Lazaruk said she was at Cardero's Restaurant when Garner struck up a conversation with her. Over time, she told him she had an inheritance, and had invested a small amount in the market. She said Garner took her to the company's Yaletown office, and then to dinner at Don Francesco, an upscale restaurant on Burrard Street.
At the time, 3P stock was trading at 66 cents. Lazaruk said Garner told her the stock would triple. By the end of 2006, she had invested $90,000. It was a disastrous move. The stock is now trading at two-tenths of a cent.
"I feel absolutely raped," she says.
Font:****At the time, Garner was using the alias Kevin James. Lazaruk eventually determined who he really was. She confirmed that the photograph of Kevan Garner on the Vancouver Sun obituary website is the same person she knew as Kevin James.
That same website also has several heart-felt tributes to Garner. "My deepest sympathy to the Garner family," reads one.
"Kevan had a warmth and charm and you were all loved by your neighbours and you shared many celebrations with great parties. Kevan had a great sense of humour and generosity of spirit and he left our world too soon."
So who is the real Kevan Garner? What is the real truth?
The answer is, both.
