Don't get me wrong, I certainly agree the info from the company has been inconsistent and confusing. I'm thinking the inconsistency in info provided initially from Tina may stem from the first attorney from Crone Law that didn't know what they were doing for whatever reason and she was probably just passing along what she received from them. I'm just guessing, as I've not had any contact with her so I don't know when they switched to the new attorney. The attorney now retained, Patrick Loney, apparently understands the matter and has been in contact with Lazar, which Lazar's attorney confirmed. We should be good now as far as that.
As we've stated before, the inconsistency from the LINE account is likely due to a combination of those individuals having lack of overall knowledge of the transaction and also the language barrier. We don't even have specific names for the LINE reps or their sources for the info they provide. At this point, I would really hesitate to rely on info from anyone other than Patrick, Wei-Yu Lee, or Cheng-Che Lee (has anyone tried asking for his email?). I would also say Tina to an extent if she is, in fact, a general attorney for the company, which I'm not sure was ever confirmed, but she's certainly familiar with the transaction.
Details of the transaction, such as which subsidiaries are merging and the structure/relationship of the companies currently is info I would consider borderline proprietary since they are still private. From the description of what the "new" TRDX would be doing, they would be moving pretty much all major companies that we've compiled. We are earlier than we originally thought and we've basically been researching this thing at the same time the govt has been performing its review it seems.
There is no need to worry about this being a potential scam. The U.S. govt is putting this company under a microscope and charging them a good chunk of change in the process. The company is legit.
If the company were only selling electric scooters and hot water dispensers the merger would be done. The CFIUS review a/k/a the "delay" is due to the company's involvement in 5G, which the U.S. considers a "critical technology" potentially impacting national security. These reviews will add more time to the process for other RMs when applicable. Just something to keep in mind, as it has a pretty broad impact.
No this is not "toast". We thought the ticker had already changed hands, but the handoff is still in process. Nothing more.
It's not CAN they issue something, it's that they won't issue something. The transaction is hypothetical until approved. Public companies wouldn't willfully submit information if they weren't obligated to. Do you think private companies would, let alone about a currently hypothetical transaction?
Yes, that is why Tina stated they were "targeting" the end of December for completion of the merger. Because they dont control the CFIUS review timeline, but they have a max number of days it would take.
You don't seem to understand. The companies merging are not yet public until the U.S. Govt allows the transaction to go through. That is where we are currently.
1. The companies are Taiwanese/Australian NOT Chinese.
2. The company is operating as a private company until the transaction is approved by CFIUS. So NO a private company is not going to "officially" disclose information on the OTCM when the transaction is pending approval. They are still a private company.
3. A private company is not going to voluntarily disclose detailed information about their business.
September 17 may very well be when the company gave the 45-day "heads up" to CFIUS that the transaction would be taking place.
To clarify, if the merger took place in October, the process would have began with the company giving notification 45 days prior. At the point of the transaction, the process would consist of the remaining 60-75 days.
See my response to Carpenterguy's question above.
Yes, I believe that's the max range depending on whether or not the 15 day extension is requested.
The company stated the merger took place in October, so my guess would be late October since the names were last changed on the NVSOS on 11/04.
Until the transaction is approved by CFIUS, the company is not able to officially disclose what you are wanting them to disclose.

The transaction needs to be approved by CFIUS, so what specifically are you wanting the company to do at this time?
The company is waiting for the CFIUS to finish their review of the transaction. They are waiting just like we are.
Ah, delay makes more sense now. I skimmed and I'll have to read in full later. Thanks.
Thanks, I appreciate the dd. My shares have just been collecting dust like most, but I guess I'll have to start looking around for more info when I have time.
Wow, that is an incredible amount of dd in one shot. I've just been holding and waiting on this one like a lot of the other Lazars. I'll have to read through this better when I get a chance. I most certainly appreciate your efforts.
Weird...

Yeah, and this was long before all of the dd over the past few months, so imagine what they think now.

I find these prior TRDX posts to be fascinating, don't you FallColors?

Thanks, this is great.
They do understand that.
They are simply providing a link for the Taiwanese 5G patents applied for by the related Taiwanese companies and most likely all of the related merging companies, including the Australian company, would be utilizing them.
This detail on the 5G patents hasn't been posted yet and is an excellent find.
Taiwan: Dazheng System Co., Ltd. A/K/A Taisho System Co., Ltd. does business under (D/B/A) the English name "Touching Systems Co., Ltd.". They are one in the same and began in 1988.
Australia: TOUCHING SYSTEMS TLD PTY LTD started in 2018.
There is plenty of dd here aside from any info posted from the LINE chat. Also, I would caution faulting the management of this company for the shortcomings of management of another unrelated company (I.E. it wasn't Pepsi's fault that Coke decided to release New Coke way back when). Read the dd on TRDX.
FallColors long before anything was known about the assumed merging entity.

If it doesn't say "read" to the left of the message, they haven't read it yet. But, yes, sometimes it does take some time.
Lol, well I don't actively seek follows, but that's ok. Smilin has been in this one a while. He apparently took some profits with the possibility of adding some back lower at a price he likes. I appreciate that he disclosed it, because he didn't have to. I consider it a benefit, because at least we have a reason for the drop and aren't left trying to solve some mystery news when there isn't any.
No material event, just profit taking on a thin float. Smilin isn't/wasn't the largest holder. I'm holding slightly under 31M and there are others here with similar blocks.
The LINE dd is valid, it's just going to be limited. Anything off limits is just replied with "lawyers are handling", which I'm sure you realize translates to "we can't answer that".
As stated, people buy and sell for any number of reasons. It's their ownership to control.
There was no significant change to the dd. As far as the NVSOS change, Cheng-Che Lee was already listed as a Director. His name is not unfamiliar to those who actually read and/or attempt to do dd. IMO, it only makes sense that he is now also listed as President, etc. He is associated with pretty much all of the related entities in some capacity.
The assumed merging entity is a Taiwanese manufacturing company. I'm replying to everyone who doesn't understand this.
