No brainer of course! I picked up a lot this morning after the initial drop around 10 or so. I will do the same Monday if it hovers at these lows. I would have added more later today but I was in meetings. In short order, this will be approx. a 4 banger at current price and much more over the coming months. Sitting on millions like many people here. In fact, I am a pee-wee to many on here!

I got some more today as well and hope to close in on 1.5M this week. I am hoping for news tomorrow or Wednesday. There are two significant acquisitions that should have closed. We are fine here!
On a side note, if you don't mind, Reep. What do you think about gaxy? I don't like to mix on boards but curious because I have over 2.7 million shares and it ran, on a PR today, up another 180%. I am averaged around .011. I see much greater upside and would like to hold long term but I am not a chart guru like yourself.

It's exactly what I expected, someone didn't close the deal as stated and Nash went around them. Now they are mad for time involved on vetting the information. I would almost bet Nash won't settle due to an agreement clause of the mediating company missing a closing date.
Minervaworks (MW) was named first as a defendant, so this was likely an issue before XALL acquired them – I think I read; v. Minervaworks et al. XALL was added simply because of the acquisition and for a position of strength by the plaintiff (XALL public company image and its simple ability to make it go away). In any case, it will be taken care of by either fighting or negotiating a settlement. IT'S NOT A LARGE AMOUNT OF MONEY. We need to relax. This isn’t even a small issue in the scheme of things.
This looks like a pre-closing issue with MW. Buyers and Sellers have reps and warranties in the asset or stock purchase agreement. In this case, MW has to handle this suit as a practical matter, which will likely include XALL to some extent. Still not a concern.
Reeper, you are one of the most articulate and valuable posters on Ihub and I look to you for a lot of guidance and YOU ARE THE BEST. However, in the M&A world, there isn't a missed closing date. You have a 6-12 month listing agreement and even if you bring a buyer on the last day of the listing expiration, you still get paid even if it closes a year from now (kind of like a real estate broker). Sometimes there is a tail meaning the agreement eventually expires but generally speaking - a buyer introduced within the listing agreement means you get paid even if it's years later.
Below are my thoughts (as a 25-year M&A broker). First, lawsuits are commonplace and NOT a big concern especially over $187,500. They are usually settled out of court or dismissed. This still takes time, but again this isn't something to worry about.
Scenarios:
1. Minervaworks was possibly under an engagement agreement to sell its business. Unlikely, but possible.
2. Engaged to provide a business valuation and agreement had a clause that stated they had to utilize the firm to market the business. Unlikely too but feasible. Not sure I have seen this before.
3. XALL signed a CA / NDA to look at MW marketed by Ascento Capital – CA / NDA had a clause that they couldn’t close without notice to Ascento Capital and the deal was subsequently closed. Unlikely. Basically a non-circumvention clause.
To that end, there isn’t any degree of concern here. Just a small complaint. This doesn’t pose a problem for where XALL is going. All is good and this week will thrive. Everything is beyond excellent and we will stay strong!

I am not the least bit concerned about a $187,500 fee dispute. We have 2 new acquisitions that should have been completed or nearly completed....by tomorrow!
This is a short term and also a long term non-issue. I don't think anyone is losing sleep over it - shareholders shouldn't either.

Good find, Reeper. I find your expertise quite enlightening. We should consider chatting one day. Again, I sell (M&A in the $1M to $20M) businesses in the private sector (although some buyers are public companies), so I look at them in that regard. If the business plan, P&L, and Balance Sheet make sense I invest...long term. I throw tens to a hundred thousand at OTC's that I believe in. I think our talents could be mutually useful. Maybe yours more than mine. ;)

I just slapped .009 for 109k. I am sitting tight with 500k but plan to buy more when it starts to move.
When I say M&A, I actually represent clients who are selling their privately held companies and have been doing it for nearly 25 years. I am a business broker if you will. So I do my DD as seen through the private sector, which serves me well with stocks. Nonetheless, I am in it to win it and committed to the future of XALL. Thanks again for your guidance!
I missed some of those early moves, unfortunately, Reeper. I am averaged much higher but still up. I wish that I found this play earlier because I would have bought millions more. I am happy to be in at this point though. I professionally do Mergers & Acquisitions in the $2-20M in the private sector. I look at things differently through those lenses...but still see a gem when it shows its face. Thanks again for all your DD...it makes it much easier for some of us. See you at the top.

I agree. I slapped $145k more this morning. I hope we hold the .033 range today. If 1Rivet acquisition is announced later this week we should make a nice run.
They used the correct years later in the article under Investment Summary.
Am I wrong or does the Insider Financial article have the years incorrect on the chart that shows XALL acquisitions? They have $12.5M for 2021 and $34M for 2022. Shouldn't it be 2020 and 2021??

I bought 430k today. Have 1.25M and ready for it to run. Don't forget 1Rivet Global acquisition is set for on or before this Friday. Adaptive is also right around the corner with closing by Aug. 10. I hope they are both on track. Go XALL!
I started following XALL last week and acquired 470,000 shares in the past 2 days. About 10% of today's action was me. :) I appreciated the MM holding the price down. I think this be off to the races soon. We have 2 more acquisitions that hopefully take place over the next few weeks. It looks like 2020 sales could potentially reach $12M and that doesn't include other likely acquisitions later in the year. Happy to be a XALL!
It's been a while since I've commented but I regularly read posts. I have 1.1M shares (added more yesterday) with an average just above .06 cents. I will keep adding as I like where we are headed. First bought back in March of last year.
Perfectly outlined, Knife. I am not on here often but I look forward to your sound and well-researched logic when I am. I have over 2 decades in the M&A world dealing with similar circumstances although usually privately held companies that are being acquired by private equity groups or public entities. It's comforting that some on this board get it. As you regularly sign off; buy hold retire before you're old!!
I couldn't agree more and I am the least bit worried. I have 665,000 shares at a cost basis still in the .09s...so I am down significantly "on paper." I averaged down again today and will continue should circumstances dictate. Patience is a virtue.

For two decades I have been doing Mergers & Acquisitions for privately held companies. The businesses I represent are much larger than KG but I am competent in the fundamentals for business success. KG is heading places. Everyone needs to just relax and let the business run its short course.
I didn't enter KG until earlier this year. Most of my position is about where we are now trading. I am not concerned one bit. I have 520k shares and will keep acquiring.
After hours buy at least got KG into the green.
Made it in the green with a large buy at 4:02.
Last two PRs were on Wednesday if I recall.
@BOBO - When you said $350-500k next quarter did you mean the current Q? If so, according to their release they sold 10k cases last month which should mean $240,000 in sales based on price per case. I'm speculating because I don't know what their wholesale pricing, etc. Still it should be solid. I think that May and June will significantly surpass that just based on their growing distribution network. A little time will tell. :)
