Does anyone know how many pref and CDs are still outstanding on paim? Does the company keep an account of those still to be converted?
GM
this is rediculous, there has been 200-300 million traded over the last 3 days which reps about 50% of the the new O/S and the price has not budged one way or the other. And certain people say there is no MM/BROKER manipulation of prices.
GM
Thats not there rating it is ''limited information'' which is third down the list. There are many pinkies with STOP '' NO INFORMATION'' as there rating.

zigbee anything new from the company ?
GM
Don't like the disclosure category pinksheets decided on for our Company. I would have thought ESFS operations and BODs were extremely transparent and forthright when discussing or disclosing required data on the company, compared to many other pinks.
I know we are suppose to be completing/publishing our financials which will hopefully move us to otc status but find it hard to believe we have a stop status with pinksheets.
GM
I think the market and retail investors are a great deal more savy and nervous(about scams)today when it comes to pinksheets and otc stocks.
Gone are the days when companies can announce a LOI or potential business opertunities and hundreds of investers jump in and push the PPs to high levels. IMO there is also great deal more market manipulation by brokers and MMs.
I was in the QBID run 3 years ago when it ran from .0002 to .03
with a 9 billion O/S on the potential of them starting up a gay network, that will not happen again.
Add these 2 factors together and WNMI will have to release something highly significant to attract the investment community and distract the Brokers/MM from manipulating the price into the ground.
Only my opinion.
GM
bruddahb003 I don't think that they can trash can the last 2 1/2 years trading and write off past debt. As there has been no visibility of their financial status over that period it is impossible to calculate what shape they are in. If applying for re-listing they will have to supply the financials for those missing years.
One can only keeps one's fingers crossed and hope the interm has been kind to them and as a result to us.

question for the board
From their last financial filing on the 06/16/05 does anyone think that new management has been able to reduce the debt structure from that period to current date, through either trading (profit) or have negotiated an improved debt structure with current cd holders and creditors ?
Their loss from operations through 2004 was $2.8 m + $1.8m on interest payments giving an overall loss of $4.6 m. From the balance sheet they were in the hole for a total of $6.5m.
They are still operating so they must have found the funding from some where to keep operations going and actually acquire a significant additional asset in YESSnet.
I think that our main hope to make a significant RIO through increased PPs is that the company is now making significant revenue to generate operational profit and cover the interest on debt (thus debt is not increasing year over year) and maybe/hopefully even sufficient profit to reduce the debt structure.
I know it is a big ask of current management but I would hope that they would not be there unless they believed they could turn things around.
Currently the company has no chance of trying to raise money from the sale of shares on the open market based on the lack of trading/interest in the stock and the CD holders are having a difficult time selling in the open market for the same reason.
This leads me to believe that management is very much aware that they will have to announce a significant(positive)event probably on revenue / profit / debt / and the return to OTC for visibility of their current financials before the market and retail investors get interested again.
GM
Has anyone called the number 801 706-9429 as stated on pinksheets to try and speak with Kip or is it a fob off number ?
GM
well this just gets better and better. No friggin deal here. What a alot of bull.
gm
mstep is that what you hope for or do you have some sort of conformation from the company?
gm
Hopefully the quiet before the storm.
Who knows.
GM
How TF are they going to raise $13.5m in equity sales when the market cap is currently only $1.5m ?
don't make sense.
GM
Happy 4th of July to you guy's over in America.
It's time to get this board moving, even if it is just to have daily discussions on the potential of the company and possibilities of new contracts and filings.
There are many pinks out there where the potential of a real business plan, financial filings and real contracts are non existent and yet the boards are 100% more alive than this one.
We need to create a positive and live atmosphere in here to let potential new investors know that their is a active and positive following of our company. I don't mean we should be blowing smoke, just create a bit of excitement.
I'll start - what do you think ESFS largest market sector will be over the next 2-3 years ? In the disinfection sector or clean water sector.
Myself I think if they could get some contracts in 1.the new homes market 2.large sport facilities and 3.employ their systems in areas and countries where water is limited and not of drinking standard (China, India, S.america) the potential could be huge.
Being from the UK and the olympics here in 2012 it would be amazing to see ESFS bidding to supply a complete water system like the one outlined for the Vegas venture.
GM
Is there a heart beat today ? 13m and climbing.
GM
Churak I was relating to the part in Zigbees post where he states ''we should expect to see them within the next 2-3 weeks''.
If that is on pinksheets in an audited or unaudited format I have no issue with that. ESFS is about the only pinksheet company in my last 4 years trading that I actually trust in what they PR and now hopefully what they release in their financials.
Cheers GM
Zigbee per your post on the 15th do you think that we will see the first of the audits being released next week? You thought this would be a staggered process, one quarter at a time until they are current.
Thanks GM
I hope that they get the financials out in the next couple of weeks, it would nice to have a higher base than .08 to move up from.

USXP v SEC.
For years the SEC have been protecting brokers and other entities that have been manipulating the markets at the expense of retail investors and small public companies. Former SEC officials have stated such and when you look at their stance when it comes to Eagle tech,Overstock.com and USXP in the face of real evidence proving nacked shorting/manipulation of their O/S,it is becoming pretty obvious that they are try to get rid of these companies before the finger gets pointed at them.

GM
Hi Taxman have you conformation that the company has approved lifting the restriction ?
I am from the UK (bought my shares through Barclays UK), they use the bank of NY for U.S. securities.
My shares have been with the Bank of NY for 3 weeks now but when I speak with the lady at Barclys (2 x per week) she keeps on telling me that they need to get conformation (letter or otherwise) from the company that the restriction is lifted.
They cannot get in touch with company to get this done.
Can you let me and the board know what was the process the BofA went through to process the lifting of the restrciction and how they managed to get the Company to sign off on lifting the restriction for your shares.
Thanks GM
Does anyone on the board contact the Company for updates either by phone or e-mail?
Just wondering if we should start trying to communicate with the company to let them know there are shareholders that would like to know what is going on and if there is any chance of a PR in the near future.
gm
Found this post from a cmkx shareholder on one of their message boards. Yes for my sins I am CMKX bagholder.
As I have only owned this stock for about 6 months I cannot comment on the validity of what they have written,I was hoping maybe someone on this board could expound I.E who are the 2 guys from BVI and Lichenstein and what did they mean pick up CDs.
Cheers GM
--------------------------------------------------------------------------------
I was a huge WNMI fan. I thought, I am not a big Paris Hilton fan, but she is 'hot' with her target market.
The jail sentence struck me as peculiar and there had to be more to it.
Well, lo and behold, I remembered about my beloved WNMI stock just last night when I saw a pic of Paris and the June 5th date.
I remembered when WNMI announced Paris Hilton signed a contract with them.
The stock went from like .006 or .008 to .05 or.06, a nice chunk of change.
Of course I did my dd. Offices on Wilshire Blvd. in Beverly Hills. Warning Models, Inc. on Paris Hilton's official website and genuine designers.
Then, they also had a 'show' where they took regular people and made them into models or some other career. I remember when the Show was on. I was happy.. I thought wow, this will be big.
Then Paris got that movie part in Australia and she got the perfume line and WNMI would not go up.
Well, I research and discover that the 'shell' picked up had convertible debentures and two likely 'bad' guys. One from BVI and the other from Lichenstein.
Well now, five years later, I know why she went to jail, the nasty worst jail you can get and she was NOT offered the glamour slammer...in spite of her mini press conference saying she had that option.
TMZ/Greta/CNN all had little specials... no, she did not have that option.
Kathy Hilton was enraged...... but guess what it didn't matter..the finest lawyers in the world would not change the Judge's mind. Paris had until June 5th to turn herself in.
No substitute or alternative jail was made. The only thing they did was cut her time in half. Otherwise, she is off to Lynnwood and will be in solitary confinement.
This is no coincidence. The elite who have been raping and pillaging the market simply cannot steal. And whether or not Paris Hilton knows about her being used in the WNMI debacle is irrelvent.
I bet Kathy Hilton & Rick Hilton know.
Furthermore.....last night a lawyer said "the judge sentenced her, the way he would never sentence anybody". (and this was not to make an example out of her as the 'spin' people will try and claim)
You can bet, it is because of WNMI and the dirty pump/dirty shell scam of which she was a part.
June 5th... a key date.
p.s.s: I thought the connection was Lord Black and Hollinger International where the New York Socialite, Mrs. Kravis [married to an investment banker]. I figured, since Kathy Hilton was a friend of Mrs. Kravis..... that more leverage was being applied to teach a lesson, or for other information.
Anyways. It is not a coincidence.
frankie_fillet I didn't say they had the same AS/OS but they have a simlar debt structure or should I say they did have before they stopped reporting. The concern is the CD holders and what they are going to do when good news is issued and the PPs starts to take off.
Believe me I want this stock to pan out, I have had to many failures recently so I will keep my fingers crossed along with the rest of you guys.
GM.
Maybe they are concerned if they issue good news and attract investors to buy the stock then the CD holders will quickly sell into any run. At this moment in time the CD holders can't sell because no one is buying.
I was in DDSI which was another company that had big debt and multiple CD holders, they only released a PR about 1 per quarter usually after their financial release. They had an o/s of 10 billion before they did a r/s of 500 to 1 and did a name change to ASVN. Since then they have started to dilute again and the share price has fallen from 5 cents to .0019.
I am not sure what the debt structure of WNMI is now but it was not good when they stopped reporting. I am hoping things have improved but does that ever happen in pinksheet land!!!
Here is hoping things have changed for the better for all our sakes.
Has anyone tried calling the Company lately to get some sort of low down on what is new on the horizon.
GM
Has Kip fell off the face of the earth ?
I take it he does not ans e-mails anymore or phone?

I know a lot of people think that reporting a broker to the SEC is pointless exercise but I believe there is greater pressure being put on the SEC to resolve shorting issues and manipulative trading in the system than ever before. It is rumored that the removal of the grandfather clause from reg SHO could be passed in June and there has been a lot of pressure been put on the SEC from entities like the chambers of commerce to see that it happens.
If you don't complain then you do not have it on record and if you get no response then send it to as many SEC addresses as possible and if you still don't get a response, tell them you are going to complain to your Senetor or Congressman(woman) and if you still don't get a response then send a mail to your C or S or anyone else you can think of and actually complain about the SECS inactions.
The SEC got dragged through a Senate hearing and got a hell of a roasting last over the Gary Aguirre debacle by committe chairman Arlen specter. So they are accountable.
Our problem is that we would probably spend more time complaining to our electricity or gas supplier for over billing by a few bucks than complain to the SEC or other regulatory bodies if we consider that we might have been defrauded out of thousands or 10s of thousands of $$$.
We need to inundate these buggers with complaints If we consider the actions justified and don't stop complaining until they give you a response that you consider satisfactory.
There seems to be 2 issues here.
1. Certain brokers are not allowing buys and are not giving a
reason for this action.
2. Certain brokers are dragging their feet with regards to
to getting our restricted shares issued from the TA, thus
giving an unfair advantage to those that are thus being able
to process their 144 paperwork and sell into the market
sooner and potentially at a better price.
GM
tax_man the company is not $18 million in debt it is $8 million in debt of which $569k is off-set against accounts rec . $18 million is the accumlated loss over the years of its operations.
For someone that has shares in this company you seem to be doing everything in your power to try and make current and maybe future investors as negative as possible in this company.
That does not make sense if you own shares, no matter what you think about the company.
GM
kingoil he is not allowed to sell his positon in the open market, read the issuer information statemet, subject to 144 rule. There is only 7.5 million tradable.
Kip definately owns at least 15 million (per his pref C being converted to common stock which are subject to the 144 rule)and could be more like 20 million which is the diff between the o/s and what is tradable (the float).

Dallas66 you say that there is no time limit on a short but that is not the issue here. The short positions should not have been created in the first place and should not have been allowed to exist to this date.
When you create a short sale there is suppose to be sufficient free trading stock for you to be able to borrow against and thus allow you to buy the stock back at a future date against your short order. As we know 100s of millions of shares were sold/shorted above the 43 million o/s PAIV had at that time and there probably a lot less that were free trading (in the float).
So to say there is no time limit is incorrect, especially in the PAIV/PAVC situation.
These shorts were created illegally or as the brokers will probably tell you mistakenly but here we have it a year later and there are still short positions, TDA is not allowing purchases only sales and the share price is collapsing before our very eye's. How convenient for all short positions out there and unfortunate for longs of PAIV and JPHC shareholders, who shares are about to be unrestricted.
It is disgusting that a stock trading at .002 should be able to be shorted in the first place.
By the way for those of you who do not believe that small companies are shorted into the ground illegally and by corrupt forces take a look at Eagle tec, no longer trading but has absolute proof supplied by the DTCC and the SEC(by court order) that their stock was shorted into oblivion by the very guys that was suppose to be supporting them with loans (Smith Barney and cohorts). What did the SEC do, they suspended Eagle because they didn't file their financials and did nothing to look into the illegal trading(using multiple aliasis and fake companies to trade the stock}that took their shareprice from $12 to $0.06.
GM
bucksmypup I hear what you are saying. It certainly is a strange one.
My only theory in all this is the shareholders are not selling and the Company is not giving any news to the public to generate any interest.
As I stated in my last post the company had some sizeable debt at the end of 2004 per their 10k and alot of outstanding CDs. Now we do not know how well they have operated since then i.e the debt has got greater because they are still operating at a loss or they have improved their financials and debt structure.
The concern from my point of view is when they release good news will any sort of run in PPs be sold into from the CD holders and the price will be pushed back down.
This is all guess work and we will not know the true story until they become reporting again.
GM
poster44ny - can't pm and the answer is a 'shareholder'. Hope it works out the way you described.

Financials back up, weren't there early morning, maybe pinksheets was upating.
GM
Here is a question for the board about AAPU that concerns me and I am a sharholder.
Why would a Company that states in un-audited financials that there revenue last year was circa $36 million, do a forward split of 10 to 1 last year, taking its order share from 100m to 1 billion and then further dilute to 2 billion?
The majority of reporting otc stocks don't generate anywhere near that sort of revenue and most don't generate net profit but you don't see them doing a 10-1 forward split. They would try and keep the o/s as low as possible thus keeping the share price as high as possible. If they do need to sell shares for services or to pay off debt they are doing so at a much greater PP and keeping dilution at a minimum.
If you have been in business and the stock market as long as our BODs have been you would realise the impact on the PPs by diluting in such a way. So why do it if you have a genuine business with such large revenues and want to be taken seriously by the market? CEOs want to see their PPs as high as possible giving them greater financial leverage not flapping about in the .000 range.
Hope there is a good explanation for these decisions by the company.
By the way has AAPU financials been removed from pinksheets?
GM
bruddah if the company actually showed a net profit of 2 million and we started reporting again I would expect to see a p/e ratio of about 20.
That would give us a market cap of about $40 million.
If there were 2 billion shares out that would give us a PP of about 2 cents.
But what are the chances of the company showing a net profit of 2 million. The only problem I have with the company is what I read from their last 10k filing 06/16/05. The company was quite heavily in debt ($8m) with CDs outstanding and making significant interest payments. Don't know how they stand with that now.
GM
rockie I am hoping that the company wants to line up all its ducks before releasing significant developments, to have a greater effect on the PPs.
This is all spec and could be pie in the sky but one can only but hope.
GM
Good to see the client being named and a quote from the CEO of the Company stating how pleased he is with the products. Don't see that a lot with pinksheet stocks.
Good luck all
GM
