I'm telling you all... these MMs are sneaky and very good at what they do.
As I been watching Level 2 all day, placed an order at .0023 to buy more on the dip, and didn't think MMs would take it back down again to .0022, but they did right after they filled my order.
Very tough to time the bottom for a dip buy. LOL
Agreed... of course, we all would love to see it come out today.
But, just like in my post I posted way early this morning to NewYorkCityBoss... I believe this is all being calculated and orchestrated by $PHIL through his brokers, and their connections with MMs to work this cunningly. This is not retail activity bringing it down.
The MMs have been slowly walking and rolling this down every day this week. To me that's another cue, the calm before the storm hits. They will do the opposite of what the "General Crowd/Retail" is thinking or wants to see happen. Like Retail thought $PHIL would start it's move up all week, but $PHIL didn't. MMs are in charge and they have a game plan and they're executing it flawlessly!
They are so sneaky, we have to be watching!

No worries for me... $PHIL/CEO Henry has so many Catalysts coming out all year, I'm going to believe that he will keep his word to his shareholders and that's to "Increase Shareholder Value!"

You bring up a good point in your post.
Think about this... it's reasonable and logical to assume if the CEO was really smart wouldn't he get all the delinquent quarterly/yearly filings completed and reviewed by his accounting firm since they're already working on the first one (2019 10K). Then, start releasing the latest filing, and the others one by one to get his company current. This would move the company forward to implementing and executing the business plan quicker.
I don't know if Henry is required to get ALL filings completed/uplisted to the SEC before he can use the LUX FUND for the Vietnam projects. IF, he is required, then it makes total sense to get them all done while the accounting firm is finishing the first report.
That maybe one of the factors why it's taking so long to get the filings completed.

His tweets are giving us hints that the "filing" is already done. Then, he announced the "Zoom CC" for a solid date.
They all have this precisely planned out how it's going to unfold, including the MMs games with the SP, and the huge block trades.
Everything they are doing is very well orchestrated, calculated, cunning, and subtle!

Also, I remember Bill (Transfer Agent,) stating when a company buyback the shares, the company doesn't have to "retire" them right away.
However, share structure doesn't get updated until those shares are retired, and the company reports the changes to their T/A. The T/A works for the company.
I would think that could be possible, as long as it's within the SEC/FINRA guidelines.
They're going to do whatever they can to benefit them the most w/o breaking any regulations.

What if this could mean CEO / $PHIL has negotiated with Note Holders to buyback their shares when they convert. If $PHIL doesn't want those converted notes to hit the retail market, they could've negotiated an agreed transaction. Again, just a thought. Trying to figure this out. Any logical thoughts are welcome.

You bring up a very good observational point to "watch broker and negotiated transactions." This is indeed a CLUE that we can decipher if we do our DD.
So hear me out...
1.) Times and Sales transactions of 90, 90, 20 and/or 30, million share blocks every day for several weeks, right?!
2.) Sometimes we're seeing the blocks traded during market hours, and other times AH they show up (Sneaky/Cunning).
3.) For how long? At least, every day for several weeks now, maybe longer. With the same exact number of 90, 90, 20/30 share blocks most of the time.
4.) This is showing consistency/continuity in trading huge blocks of shares. Does Retail trade like this? Don't think so, not for weeks at a time.
5.) Now, let's brainstorm here... who do you think would be that precise, rigid, cunning, and consistent with that kind of trading activity?
From all these signs, this picture looks to be some Broker-dealer making these for $PHIL's buyback. (IMHO)
Or, what's the alternative explanation if it's not $PHIL buying back shares?
Anyway, I see this as a great positive sign for $PHIL regardless!

Yes, indeed any company with delinquent SEC filings or not current with SEC can still do a share buyback program as long as the company board of directors approved it.
When a company does a buyback, they either retire those shares or place them back in the treasury.
Also, a "private negotiations" share buyback could be a Big Whale individual shareholder, firm, or bank that has large amount of shares that they agree on a price.
THE BROKER'S ROLE
"Rule 10b-18 is complex. Accordingly, the company's brokerage firm should have the legal and trading expertise needed to stay within the safe harbor boundaries without sacrificing execution—the ability to get a good price for stock purchased for the treasury."
This is just FYI... just finished a conversation with the Transfer Agent for PHIL.
Asked him if $PHIL could buyback shares while being SEC delinquent with filings. He stated, "sure, why not!" So $PHIL doesn't have to be current according to this guy from Worldwide Stock Transfer, LLC.
Can someone else try to confirm this issue, whether this Transfer Agent rep is correct or not.
Still doing some research on this topic, I'll post back when I can verify this claim.

Sure you can... you have so many options if you choose too. You can transfer your acct. over to another brokerage firm, or just open up another new account and have two. Do what's best for your needs though.
My point is you do have lots of choices. Several brokerage firms don't charge at all for OTC trading and no restrictions on which OTC security you buy.
I'm with TD Ameritrade, however, they like to charge $6.95 per trader on OTC securities. Talked to Charles Schwab last week to gain some info and compare to TDA. Charlie, charges $0 commissions on OTC securities, with NO restrictions on how many shares you want to buy.
Charles S. acquired TDA last year, the rep stated it'll take about 12-18 months for TDA's system to switch over to Charles system. I'm considering moving my TDA acct. over to Charles S. because the $6.95 per buy and sell trade does add up over time, and don't like it when they nickel/dime up on FEES.

Regards to your post... believe me, I understand how frustrated you are.
Think about this for a moment... if you as an investor are frustrated, have you ever considered or thought for a moment how the CEO of $PHIL might be feeling... to get all these financial statements current and uplisted to SEC? I believe CEO Henry has more to lose than all of us put together. Just imagine how frustrated he is. He has no control over these auditors, they are in charge/control with the auditing mission.
Do you have any clue how much accounting is involved in getting GAAP certified financial statements. You guys that don't understand this massive, grueling, and high standard accounting need to do some DD on the topic.
Try reading this article, then you should see how difficult this financial project is. Also, not to mention some of $PHIL's subsidiaries in different countries; trying to get those companies finances onboard with the U.S. GAAP accounting practices. This is a MASSIVE and expensive undertaking!

Short Volume vs. Short Interest...
Now, some folks probably think that ‘Short Volume’ means the number of shares that have been sold short and not repurchased, but it DOES NOT mean that at all.
‘Short Interest’ data refers to the number of shares that have been sold short and not repurchased, referred as a Short Open Position.
In other words, Short Volume DOES NOT mean Short Interest.
“Short Interest is the total number of shares of a particular stock that have been sold short by investors but have not yet been covered or closed out. This can be expressed as a number or as a percentage.”
Now, “Unlike short-interest data, which are distributed twice a month and show the percentage of shares that have been sold short and not repurchased, short volume simply tracks the number of shares that are sold short over the course of a day.”
However, these shares that are tracked by the ‘Short Volume’ do not necessarily mean that new short positions have been established. Most of the time, it is the Market Makers that are routinely selling stock short in order to meet customer orders, and that is all.
Again, ‘Short Volume’ DOES NOT mean that people are establishing new short positions!

There's a big difference between short volume and short interest. Short volume is meaningless and does not hurt the SP.
Agree with you on the fact there is a huge short volume trading in $PHIL... that's just MMs trading shares, with no Open Positions at the end of the day. Short interest, where the positions are still open and have not covered yet. This big Short Volume is not and will not hurt the SP!
Daily Short "Volume" (regsho): Intraday volume Market Makers transactions when they temporarily short a stock for a couple of seconds or a minute to fill an order in a timely manner, then cover a couple minutes later (otcshortreport lies and calls this naked shorts). Meaningless number because it's just the first leg of a transaction reported of filling orders. Completely unrelated to short interest. This number can often be quite high for thinly traded stocks, thus more likely to get hyped as shorts, even though it's not.
Psssst. That's part of MM's job..."Making a market". Ensuring liquidity and timely processing.
Short "Volume" Example: 1,000,000 buy order comes in. MM doesn't have 1,000,000 handy to fill the order, so quickly shorts 1,000,000, fills the order for the customer rather than keep them waiting. Then after taking a sip of coffee, covers the temporary short.
Now, lets say that happens 10 times today, for a total of 10,000,000 shares, short "Volume" is 10,000,000, but at EOD, it doesn't result in any short "positions" or "interest" because they were all covered right away.
The next day, someone sees the 10,000,000 short "volume" and talks about 10 MILLION SHORTS YESTERDAY .....
Short "Volume"s MEANINGLESS... Who cares what hoops MMs had to jump through to fill orders during the day ?
"Click-Bait" sites like otcshortreport intentionally misrepresent regsho "volume" as "naked shorts", to attract attention, generating advertising "clicks" for themselves.
Using "Volume" (regsho) numbers is like going to the bank,
Depositing $100,
Withdrawing $100,
Depositing $100,
Withdrawing $100.....
Repeating 10 times, then saying "I deposited $1000 in the bank today", when the account is actually $0 because deposits and withdraws cancel out.
