Clawmann: Good to see you here on the MOBL board. I have been out of MOBL for awhile, but I'm thinking about getting back in soon. Just starting to catch up on my DD. I value your opinion and would like to hear a quick synopsis on what you see now.
Found the answer: roughly 289 million shares outstanding.
Below is a excerpt from the last SMTR 10Q. They use Cornell for financing also. Read the last line. Maybe NEOM can negotiate a 2.5% vs 5% payment.
On December 30, 2005, we and Cornell Capital Partners terminated the $160 million Standby Equity Distribution Agreement, originally entered into on June 23, 2005, and replaced it with a new $100 million Standby Equity Distribution Agreement (the "$100 million Standby Equity Distribution Agreement"). We may not request advances under the $100 million Standby Equity Distribution Agreement until the underlying shares of our common stock are registered with the SEC, it is unlikely that we will register such underlying shares until all of the outstanding principal and accrued and unpaid interest on the amended and restated 10% convertible debentures have been either converted by the holders or redeemed or paid in full by us, which must occur on or before July 23, 2008. The term of the $100 million Standby Equity Distribution Agreement will commence on the date a registration statement covering the underlying shares becomes effective and will expire five years after such date. Under the old $160 million Standby Equity Distribution Agreement, Cornell Capital Partners was entitled to retain 5% of each advance requested by us. In consideration for the reduction of the amount available to us under the new $100 Standby Equity Distribution Agreement, Cornell Capital Partners agreed to reduce this 5% advance fee to 2.5% of each advance.
OT: Someone who has Changewave Microcap: Would someone mind sharing what TS has to say lately about MOBL and SMTR? Haven't been paying close attention to them for awhile and am thinking about putting a little money in one of them if things are starting to look good for the near term.
How many outstanding shares does SMTR have and where can I find that information?

When you put it that way, it seems illegal. Well, maybe not illegal, but it makes me feel very in the dark. Also, interesting that Cornell can have 15% voting rights, but not own more than 5%. I wouldn't have thought that possible.

They sold to neom for mostly shares.
Clawman and others more knowledgeable than me: I have a question about the following scenario.
Let’s say I am sitting around with 11 of my buddies and we all have like minded investment goals and ideas. We have been researching NEOM for some time and have decided that it is a goldmine waiting to be discovered. With the current number of shares, approx. 600 million, (I understand this could go up soon, but stay with me), we would only need around 300 million shares to have a controlling interest. Well, we don’t want anyone to know what we are doing, so each of us by an equal portion of the 300 million, which is 25 million shares since there are 12 of us. This keeps us under the 5% mark. For sake of argument assume that is enough to have greater than 50%. Now, let’s assume that we have managed to do this around an average price 0.235, so it cost us roughly $70 million dollars or $5.8 million to have a controlling interest in a potential mobile marketing super company. You can do the math and change the number of people etc., but this is a viable scenario.
My question is this, is this legal? If so, a group of people could take over NEOM without anyone knowing until it is too late. Also, we as a group of I-hub members may be approaching a very nice voting block if we could coordinate our voting as a group. Have our own meeting to discuss how we are going to vote. Heck, if we get enough votes, we could put a member on the board.
I am willing to vote my shares with a group if legal and we could coordinate this effore.

I have a friend who keeps reasuring me that NEOM has strong support at 0.065 cents. I never expected to see these prices again. I hope I never have to prove his theory.

Yes, but he didn't really answer anything and gave a sarcastic response. And the most important part... NEOM pays him to represent them well, not irritate shareholders.
Trob: On a positive note, at least you got a response. I am still waiting on mine, not from Kaminer, but from Chuck.
Just keep telling yourself that the massive amount of "authorized shares" is to protect from a takeover and will not be issued unless needed for that reason. Also add "those companies know something big that we do not, or they would not have sold for mostly NEOM shares." This will help you make it through until you are either rich, or broke.
The reply from Kaminer has a very sarcastic edge that I am not finding very attractive as a shareholder. I hope someone forwards that response to NEOM management.

Has anyone asked NEOM if more information will be presented before the SHM regarding this vote? I tried awhile back, but have yet to recieve a reply. I would think they would supply more information for those shareholders that will be voting before the meeting. Or, they may not need our votes and therefore may not provide anymore information. I like to think that they care more about the shareholders than that.
Vines, I had considered that possibility, but the idea that they made that big of a mistake, makes me think it couldn't be true. At least I hope they don't go around making gross miscalculations like that. Also, could this be holding up the HipCricket deal. If that is the case, can we assume that Hipcricket could not close until after this vote is approved?
