Anything stated to the contrary is completely and utterly false! This scam owes creditors left and right. Even the IR rep Donkey Wong admitted they are blood red on the balance sheet. And of course, believing any unaudited revenues claimed from a company with a long, demonstrated history of outright lies and deceit is very poor DD.
Perhaps the unaudited fins will be released by Nanosham's unicorn CFO?

And when pointed out here, the only response is either "it's the shorts fault," "this is a bargain at these prices" or "UF streams at sub 4Mbps."

Fraud claims against NTEK for certain, but you are correct, both D. Foley and A. Taylor are certainly the two individuals within the company "most likely" to also be served individually, as it was these two who were entirely responsible for negotiating and signing legally-binding content agreements around Hollywood with full knowledge that the company had no intention, nor the ongoing capital, to pay the licensing amounts they signed off on in those agreements. I'd be particularly worried if my name and signature was on said contracts. Which oddly enough out of the two primaries involved, is most likely NOT D. Foley.
Looks like this sham's significant legal woes have finally made the rounds on the outerwebs. It will be interesting to see if they still hold a SHM - even at the sub-penny level now firmly on the way as people exit and run for the hills.

NTEK Proper Valuation?
Let's see:
They own zero real estate.
They own zero 4K content.
They own zero 4K technology.
They lease servers.
They lease cloud storage.
They have six employees, none on contract, so no SGA obligations.
They make zero revenue.
So maybe a few computers, some desks and misc. office equipment.
Let's call is 150K in assets?
But they owe several million in debt obligations to content holders, who licensed content to NTEK under a pay schedule - these companies DID NOT TAKE USELESS NTEK SHARES.
So I'd say all in all, they either raise the share structure to make at least 3MM to pay off contracts owed, or otherwise file BK.
There's really nothing else to it.
What would be the point of making any of this sham's SHL's stickies? They've been fully of easily debunked falsehoods since day 1. Why would any paid pumper want to point out SHL's to investors? Five seconds of DD will prove 90% of the claims noted in each as complete and utter lies.
Actually, maybe we should go back a few years and go line by line on each SHL. If we did that, even the dense of the dense might see the light the rest of us see shining on this pump and dump scam.
Owning a block of stock in a company and mixing balance sheets are two completely different things Alan. NTEK was distributed shares of NTGL in exchange for assets. Could have as easily been cash.
That's like saying I have to pull Apple's financials to do apply for a car loan because I own stock (have an ownership position) in Apple. Regardless, shifting shells around from one toxic pump and dump to another ticker is par for the course for these schemes. After all, this NGTL scam was a hundred different useless shells before they renamed it.
The promise of "free shares" in a worthless shell is just another scam pulled on the weak, the elderly and the misinformed.
NGTL and all gaming related activities were removed from NTEK's balance sheet in February. Hence the "date of record" for any shareholders that come in after that time on NTEK no longer have distribution rights to NGTL shares if and when they are ever distributed.
NGTL and NTEK are completely different companies with different CEOs. NGTL and NTEK can be audited in parallel - one does not impact the other.

Ultrasham owes $$ to everyone in Hollywood
There is a reason they never secured any more flicks from MGM or Paramount, yet 4K versions of both studio's films can be found on other company's services. There is a reason the touted Lionsgate, Miramax, Fox, Sony and Warner Bros deals went poof.
Hmm...wonder why, since every one of these companies have licensed content to Nanosham's competitors.
Well, here is the NEWS - finally!
Ultrasham still not on 80% of the 4K TVs sold in the US - not Sony, LG, Toshiba, Panasonic, etc.
Ultrasham still hasn't completed any of the "major studio deals" teased all the way back in February.
Ultrasham still doesn't have any 4K scanning equipment, in fact, the two scanners they have are 2K only bottom basement leased models.
Ultrasham still doesn't have a CFO, although the search has been a "top priority for the company" for more than six months.
Ultrasham has 99.9% 2K upscaled content on their "world's largest 4K service."

On either of their feeds - they are just dying on the vine. It's a tell-tale sign that something is up. And the FB site has a whopping 4,500 likes? Hardly the stuff of a multi-billion dollar media conglomerate.
You'd think that one paid intern sitting in that empty cube that is "NTEK's Hollywood Hub" could at least log into these sites and maintain some sort of attempt at fronting an online/social media presence.

Thanks for that great DD. Look at the massive gaps on that list. And zero from 2015, which, by the way, is how transactional video on demand businesses work. Look no further than the offerings from your cable or satellite provider. Everything offered to "rent" is current films, just out of the theaters. That is and has been a fact of the rental video business for years and years. It doesn't work any other way.
UF has absolutely no content to drive transactions, they have nothing to offer that is current, nothing from 2015, so what are they doing in this business?
Creating a little sham to look legit and print and dump shares. But looking at the list you compiled, it's clear the sham is fairly transparent.
Even it if was, investing in a sham stock based on the fact that Nano overpaid by hundreds of thousands of dollars for one or two flicks? That's the business model? Two movies that are now well past their prime for transactional business? And then a bunch of crappy 2K scans of old D-grade stuff nobody has ever heard of? That's the business plan to take Nano to the next level?
Sorry, I'm not parting with my hard-earned cash based on two old Paramount that have already come and gone long ago from theaters.

Oh yea, plus that Netflix subscription gives the consumer unlimited access to more than 50,000 HD shows and films.
No contest! UF is sunk.

Wow. Massive Misinformation Alert!
There will never be "clean financials" aka audits for this sham. Ever. Don't you think for one second if Nanosham felt confident their balance sheet would justify a higher PPS - certainly something as crazy as .25, they'd audit and release?
Of course they would. Wait, let me guess, as with other kool-aid drinkers, the idea was swallowed whole that audits were somehow cost prohibitive - that's the reason, right? Auditing this one trick pony would take someone a week max. Of course, audits are only as good as legit records kept, which of course isn't the case here.
But let's assume these audits were actually "expensive." I see 17 million bucks worth of dilution over the past months. Where is that money? Nanosham can't peel a few off the bankroll to get an audit done? Of course not. All that cash from newly-minted shares is lining the pockets of Insiders in this corrupt scam.
I guess the latest admission from IR Donkey Wong that the company wasn't even cash flow positive didn't sink in very deep during your valuation process. But somehow we've gone from a negative cash flow reality to a estimation of a 350,000,000 market cap? Classic.
Nanosham has maybe a million bucks in hard assets and goes negative on net revenue each month, as the licensing costs for product far outweigh the piddly transactions they do.
But if not for audits this sham would have a 350MM market cap? Um, ok.
So logos now equal transactions?
You actually think anyone is going to remember some logo they saw days or weeks ago once they get their UHD TVs home, set up and ready to go?
That's just ridiculous, and quite frankly, nobody cares. Congrats. Ultrasham paid to have a few logos amongst the millions consumers are bombarded with every day at any retail outlet.
Ultrasham is getting their clock cleaned by the real UHD players. I see true, dedicated buttons for both Netflix and Amazon's UHD services on both the 2015 Vizio and 2015 Hisense remotes. On the remotes. Every time a consumer grabs their remotes (you know, the things used to actually control their new UHD TVs?). This is the kind of constant, user-friendly, real world marketing exposure that drives consumer interest and promotes usage for Netflix and Amazon.
Both real UHD players are also fully pre-loaded on the Vizio and Hisense TVs and come up on the front/splash page. Ultrasham takes five seasoned detectives and a flashlight to hunt down in the bowels of the useless apps. Then you have to download it. And the sign up process takes forever. Nothing user friendly about any of it.
And of course, nobody is keen to get ripped off with 2K scans touted as "real UHD." So even if anyone finally finds and downloads Ultrasham, it's one and done as soon as they realize they shelled out 10 bucks for one measly d-list flick that is not even on the same planet in terms of quality (and quantity) versus the real UHD players. Or, as reviewers have stated "compressed so badly as to not be even considered UHD."
I noticed also that the Samsung, Vizio and Hisense 2015 UHD TVs promote themselves as "Netflix Recommended TVs" in all of their online and point of purchase marketing. Why isn't UF doing this?
NANOSHAM - WHERE'S THE BEEF?
Per the June 25, 2015 Shareholder Letter: "We have optimized our encoding workflow and have 100 films that will be uploaded to Ultraflix in the next 15-30 days."
Well Petey, we gave you the max - 30 days - and it looks like once again Nanosham has, to quote your SHL directly "missed our target dates" and you really didn't mean it when you also stated "I will do my best to make sure this doesn't happen again."
Granted Petey, it's all D-List crap films not one person would actually pay to watch, and granted, these D-List crap films were only going to be scanned in 2K only using your garbage 2006 scanning technology, and granted, these D-List crap films, of which you would only have 2K digital copies of, were going to be squashed using outdated compression technology, but you could have at least fulfilled that one pathetic promise.
We know there will be no "major studio announcements." The longs have come to terms with that lie.
We know there will be no "announcements with top tier TV manufacturers." The longs have come to terms with that lie as well.
We know there will be no "CFO to be filled in the coming weeks." The longs forgot about that lie months ago.
We know that audits are no longer "a top priority for our company." The longs have completely given up on that prospect.
We know you've maxed out the A/S, and that another couple hundred million will be printed in mere weeks. The longs have just accepted massive dilution as par for the course.
And on and on and on. But Petey, couldn't you have at least tossed them a bone and gotten those crap D-List 2K films uploaded at the deadline you yourself set?

Any reason you can think of why Shamoteck hasn't made any content announcements that involve cash payments to licensees since April of this year? What happened to Sony, Warners, Miramax and Lionsgate? Those were promised "in the coming weeks" back in March. Oddly enough, come the June SHL scam, they no longer name names?
Any reason you can think of why Shamoteck hasn't made any new partner announcements since January? - not on Sony, not on Pano, not on LG and others - not on 80% of 4K TVs sold? After all, they said they were "about to launch" on LG, Pano and Sharp in March's SHL. Come June's SHL - no of these are mentioned by name?
