I think the fins showed they are cleaning up their books and debts. Yes it was by the use of dilution, but honestly...why do start up companies go public to begin with??? to sell shares for money...this share structure would be easy for a company to fix. But that being said Im not expecting a buy out.

Currently, due to the pending merger/acquisition with Hundley Associates, the Hotel PURE
brand is getting a brand and operational ‘make-over.’ Like the FROL, Hotel PURE is undergoing
a complete overhaul in preparation for a re-launch. The Hotel PURE re-launch will be almost
immediate to the completion of the merger/acquisition as Oriens is likely to inherit at least one
property from Hundley Associates which Oriens should have the ability to brand under the
anticipated new flag.
Since March the outstanding shares here have been cut in half. Reduction in AS hopefully soon as previously stated.
Bottom of disclosure, just noticed this.
"During April 2014 the officer of the company retired the 900,000,000 shares of common restricted stock originally issued to them during march 2014, back to treasury, subsequently, reducing the issued and outstanding by 900,000,000 shares to 921,933,730 as of the date of this report (yesterday) The company issued 500,000 shares of the companys preferred stock to its CEO Ken Chua in exchange for the retirement of the restricted common shares."
I have to agree with you jenk. And thinking of posts saying no bid by end of week, end of day trading yesterday went kind of other way. The bid was larger at the end of day.
Theres a whole section on it in the disclosure for Q1. Theyre voting shares. They just want Hundleys property mostly. Or how I see it.
From the quarter disclosure.
Each holder of outstanding shares of Series A Super Voting Preffered Stock shall be entitled to 1000 votes for each shares of series A stock held. The shares of the Series A super voting preferred stock will not be convertible into the shares of the companys common stock. Well that clears up people saying these will convert at a ridiculous rate like 1000 commons to 1. I figured they would be for voting rights.

But what I think happened now is peter had used a copy of the same document and was erasing parts out and left the regrettably on accident. The beginnings do read word for word from 5-1-14. Only changed part is the contact main office instead of ir@pvefl. The regrettably got looked over and should have been taken out imo

What that looks like to me is Series "B" restricted preferred shares. Finras announcement never said what series i dont believe. Looking at nevada the 20 million series C preferreds are 3rd in the line of shares. So just guessing based on that, the series B preferred shares are the 5 million above it. Maybe with the new date the outstanding shares had been cut down enough to only have to issue up to 5 million? Zeus Travel Nevada, 5,000,000 available shares for issue.
At these prices 2 billion authorized that never increases does not worry me

the share structure can be fixed easily. They just did what they had to do for immediate progress with lawsuits and all this crap. And hopefully in a week all those defaulted notes that were inquarterly are gone. If they were gonna R/S they already wouldve, been much easier.

Following the audit, which day star will have to do also, othm should acquire a finished condo hotel property and land development. Those condos are like 500 bucks a night. If that goes through then it might make things interesting. The Daystar Properties are already using theyre online system now anyways, with hundleys mess I bet they might even get a good deal on it.
is daystar-properties.com already under the hotel pure brand or do their website layouts and everything just look kinda similar?

no, if we do not see a share increase then it should move because of the low price from any news of this merger actually happening. Although i kinda just see it as an acquisition in the end or its a merger with the other partners of hundley and othm would help them out of a financial mess with shares (or 11 million super preferred shares with restrictions and unknown conversions yet if any). Either way they would be restricted minimum 6 or 12 months Im not sure which one. then in return get the property . and the potential gains from buying at 9 now are enormous. a penny is over a thousand percent. Even if they did dilute all, well not enough volume in my opinion, so we will say 1.4 bill of the authorized shares AT WORST it doesnt take very much money to buy these floats up if they try to sell and with the right attention? If any kind of hotel opens up in costa rica that is Owned and Promoted both as oriens hotel and using their hotel pure brand and booking system it will be on imo. Thats the biggest thing they just need a place. Imo of course, their already doing the other part. Promoting their hotel management company and showing their booking system online. Now its everyones own judgement call as to if they are trying to gain a social presence and be known to sell their stock(which is doesnt look like to me) or so when they open up their own acquired place people will already be booking. Their brand doesnt seem bad, I bet people would want to try it at least, probably catch on in costa rica. And with all this extra given attention and news on the property now because of hundley that the news of a new company acquiring the property and taking over operations will have that many more eyes on it. Will they perform at running every aspect to the scenario though. Probably why they would need hundleys partners to merge in, which is why 11 mill preferreds would be made. Have restrictions but they probably wouldnt want to sell em off because im sure they would come with voting power or something too. I think their hotel pure brand would charge a hotel 2-400 dollars a room in the hotel and like 6% of the money booked online with their system. With their own property they will not have to pay anybody for promotion and sales since thats the business already. now they would just get the other 94%. ill take a billion share dilution at these levels to get that deal done. That could be bought up in less than a week.
Another weird thought, maybe the deal of this merger is the 11 million super preferreds go to the investors from the law suit and they hold them as collateral for now so the property isnt seized (not sure if it could be though) and they could be paid back before the shares get unrestricted and returned to treasure
yup, they wouldnt give PVEC all the required financial information. and being a part of the company that would be a necessity for fins. They wouldnt be complying with the SEC rules without all the info. I picked up another 10 mil at 0002, ill be looking for more next week i think
