Yes we have been following $FWDG for a long time. This is my FAVORITE long stock and it will show the market soon why it was deserving of a long hold despite it being sub-penny! This type of diversified holding company is very difficult to build but Sam, in a very short time, really accomplished amazing things with $FWDG. I've had the pleasure of chatting with Bill Short briefly, another amazing CEO. This is the type of company that will build shareholder wealth.
I have some opinions on who the buyer might be. I'm pretty sure you and I thinking of the same party ;) WOW.
Not yet and the price is not disclosed for a reason and I will explain why. There is a third party firm, most likely an investment banking/advisory firm who is doing due diligence and valuation for HempTech. If the valuation for HempTech is considerably higher or lower than the offer made by a public company, the final transaction price must be adjusted. This is a very professional organization and parties to the transaction also professional so I do not think we're dealing with a small fish on the buyer side.
I'm so excited, can't wait to find out!!!

That is correct. HempTech is easily a $100 million company. The deal is being done based on the contracts it has secured plus what remains on Futureland's property + what other contracts it can secure on non-Futureland property. So, if we used just Futureland, we're looking at $13.2 million per year x 5 as it is a reasonable valuation, IMHO.
So, shortly all will learn why I love $FWDG despite its depressed share price.

FONU has to mail the 14 to shareholders of record, and proof of delivery has to be received. I doubt they're using an agent that would normally do the distribution. Then FINRA approval is next. Then the State. They could go ahead with the State paperwork but if they don't get approval FINRA for whatever reason, well, that's doing paperwork twice so it's best to wait for FINRA then file the paperwork with NV.

That is correct. Keefe, Bruyette & Woods upgraded $FXCM to market perform. Although other bigger financial firms downgraded $FXCM, the rating is still neutral. It is important to have a TRUE perspective on where this company can go. I am a buyer here tomorrow.
Major global financial institutions--not clueless retail shorters--have a neutral to market perform rating on $FXCM. Credit Suisse for example currently values $FXCM's equity at low $4/share so I'd go with folks who know what they're talking about.
Of the $235MM in client equity loss, we have to consider whether all of it needs to be written down. A new equity valuation of $3,90 to $4,20 per share has a 100% write down baked in already. I re-ran the numbers and felt a more reasonable range should be $3,90 to $4,20 per share due to real risks. HOWEVER, due to the record trading volumes that the company reported recently, there stands a good chance that many of the clients who lost equity will be able to recover their losses and replenish the balances needed to keep margin. This means that $FXCM's equity valuation also increases.
If they are able to recover 20% of the $235MM, this adds $0,85c back to equity. If they recover half, that is equal to $2,50 per share. Even if 50% of the $235MM were to be written down, we are looking at equity going to mid/upper $6/share range which makes this $2/share level a very attractive buy on $FXCM. All hell would have to break loose for equity to adjust to $2/share and I do not see that happening at this time.
Shorters must take caution and go long here on $FXCM. With a combination of non-core asset sale, increasing trade volumes and the company's ability (via client's ability) to recoup a significant portion of the $235MM, shorters are taking on more risk to get hit with a very bad surprise.
The Citi post in re of $FXCM is not only wrong but is irrelevant because FXCM is not selling itself. Per the update from the CEO released AH, $FXCM is live and well.
The key points to understand regarding the future of this company are as follows:
Why is the company resorting to increasing the A/S when insiders can turn in their commons for non-dilutive preferred stock on a lock down basis? $QLTS.
I think $15 million for the consolidated group for 2015 is VERY conservative. But that is just my opinion.
I looked at the components of the home kits (CB Scientific) and believe the unit cost is around $2,50 at this timebecause large production runs do not make sense. This is scaleable business which with additional innovation and greater logistics efficiency can reduce unit costs considerably. Also, the true unit cost in the beginning stages really depends on the allocation of R&D and ramp up costs -- it should be charged to COGS. So, instead of putting a number to where COGS could be, I decided to take a look at what the consolidated group might be able to achieve on net earnings.
WHERE $FWDG SHOULD TRADE WITH SECURED CONTRACTS & CBS: 0.09/share
Based on Futureland's secured contracts for 42 acres, HempTech's contracts for the same and CBScientific's demand = 500,000 units, we can make some general valuation assumptions in re of where $FWDG should trade.
If you've been following Strong99's DD, a fair revenue projection is $15 million with more acres left to be signed. This presents an enormous opportunity for $FWDG's consolidated revenues to exceed $15 million this year!
For now, we will use $15 million as the revenue and apply a 10% net profit because all three business units should generate high margins:
Net profit: $1.5 million
O/S fixed at 500 million shares
P/E ration: 30
=====================================
$1.5/500MM x 30 = 9 cent per share
IMHO, the above numbers are more than achievable which to me makes $FWDG a screaming BUY at 0,007 per share. This is why I like $FWDG and will continue to add.
The above assumption does not include numbers for URVape.
