Is there an accountant out there that knows if the deal is consumated how an extraordinary dividend is treated for tax purposes? Is it considered regular dividend income subject to a person's short term rate? Or, is it treated different from regular dividends depending upon how long you held the shares (1 year + a day for the long term rate.) I hope to pay A LOT of taxes for 2010. Uncle Sam and us (pun intended) needs the cash.

If a shareholder already possesses the paper certificate they can simply sign the back to a new owner and submit it to the transfer agent. If the original owner has it in book form it would have to pass through the DTC necessitating the new owner to request a certificate from the transfer agent via the new owner's brokerage company. I suspect the original block owner(s) have it in book form as do most stockholders.
It take a few days for the stock to settle and then it takes a while to have the transfer agent process the request for the certificate, usually several weeks. Saying they "Will be holding their shares of the Company's Common Stock in Stock Certificate form and not in the DTC system" makes perfect sense. I think it is for a short squeeze and the deal is indeed coming to fruition.
You misread that. It will be price times final quantity of shares. The price may flucuate but not the number of shares anymore.
I don't know if this was already discussed, but are the shares held by the major investor outside of the Depository Trust Company (DTC) in certificate form a means for a short squeeze? If the shares are not available for lending because they are in cert form this could be catastrophic for the short sellers when a deal is finally consummated and there are no shares to cover. I wouldn't want to be in their predicament. Otherwise, why would the investment company want the shares in cert form? I think the investor is looking for more than the deal price.
Is the stock consolidating or is this play over? Seems to have gone nowhere for quite some time. The Hunt Brothers tried to cause a short squeeze in silver during the 1970's or 1980's and that went nowhere either.
I saw it was weakening and I decided to deploy the cash into another stock. Everything has its own timing, so just because it appeared to be a sell for me at that time doesn't mean it can't be a buy at another time. Hence the reason to revist.

Until the deal is announced or fails puppy is correct. There will constantly be supply until the deal is consumated.
V- I don't have PM. How could I not be upset? I was away for a short while and came back to the nonsense PR. No substantive questions were answered but others were raised. I now question the basic premise, but don't deny it either. Again, it doesn't mean the deal won't eventually be consumated IF it is real ...but it may not be. None of us knows for certain.
Yesterday's announcement did much harm and absolutely no good. A shareholder shouldn't have to "help the cause"!!! The company should stand on its own merits without shareholder help. No individual shareholder unless they are putting in millions of dollars will have an impact on the share price; a consummated deal will. Yesterday's announcement rocked me and you should take an objective look too. This is not to say the deal won't happen, but it raises tremendous questions why the company would put out a PR directed at gamblers. Would any major company do such a thing? ...NO! What stage is the audit? What are the deal roadblocks? How are they being resolved? What company will disburse the funds? What is the target date? Why would this target date be more accurate than the failed dates in the past? Etc. Telling people to buy at $0.0002 is similar to the PR saying essentially "you will get rich if you hang in there a bit longer."

I too am sorry. I hope everything is above board and the PR was just poor judgment, but it really shook me to the bone. One PR like this, but not several without updating the public on matters that are truly important. Why was this PR necessary?
"Just hang in there shareholders." ...(covers the phone) ...the bags are right there, by the door.
This wasn't a delay. This was hype and a smokescreen! It said nothing about corporate developments. They had to be cognizant of this. PLUS - it costs money to put out a press release. Did management think this would placate us? This is meretricious. (Interest word, you can't always get a chance to use it, but it applies here!)
Although I am long, the press release is PURE BS!!! It says nothing about the direction of the deal. They would have been better to have said nothing. This sounds like they have just one more bag to pack before the limo arrives for the airport. I am deeply distressed by this PR. Had they said something about the audit or what the issues are and how the issues are being resolved it would have sounded legitimate and professional. The PR is pure bs for gamblers to swallow.

I have been away for a few days...anything new, or same-o-same-o? I see there wasn't any news since the 10th. It sure would be nice if this deal came to fruition while the rest of the market is down...parlay the $$$ into something else, perhaps higher on the corporate food chain.

I too think there is a cap. Even if the Buyer hedged the position, I doubt it would be open ended. It also costs money to hedge in the form of margin equity which does not pay interest, even if the position is going the intended way.

Yes, I was aware of this and have no problem. I would rather have a smaller part of a viable breakthrough product than a large part of nothing. The assumptions in AF's writing is that the Company will issue every authorized share, current shareholders would not have a rights offering, the stock will be issued for below book value, and that the Company will be failing. GNBT management doesn't want to go back to the well anytime soon. The latest capital infusion deal was already announced. Do you think a potential 16% partner will watch as their investment gets diluted beyond recognition? I doubt it and doubt they will issue all the shares. However, if anything unforeseen occurs such as another trial mandated by the FDA, or if the Company manufactures Oral-lyn without a partner, a large amount of money will be needed. This would be for rolling out or proving the product.
I have NO respect for AF as he frequently writes incendiary articles devoid of the truth. This hurts companies trying to bring out breakthrough products to help people. He or his loved ones may need these very medicines and devices at some point.
I have a different viewpoint about the impending reverse split. I am in FAVOR of it. The company has the requisite capitalization (# shares X price/share) but not the necessary price for the NASDAQ. Many companies go down subsequent to a reverse split because their business was failing. Generex is the opposite. They are about to release diabetics from daily injections. Supposedly the product works. If so, there are a myriad of other applications such as morphine for cancer patients, etc. Furthermore there is also the vaccine part of the business and the new money that just went into the company. Do you think the people investing millions for up to 16 % of the company are dopes? If the price goes down, I will back up the truck pending test results. I loaded up when it was $0.25 and rode it up and down, but I will see this through and evenually cash in on its success (now at the lower capital gains tax rate as my holdings are longer than a year and a day.)

What we don't know is if there is a CAP. We were aprised the value would increase if the price rose above $1,050, but I don't remember if the Company ever said there wasn't a cap. If there is no cap this could be a perfect storm in our favor (provided the deal is consumated and while gold prices are still high!).
