With respect to FRAUD perpetrated by NWOL. I agree that they have insulated themselves better than former NDOL but I think a strong case can be made vis-a-vis a derivative suit that they have breached their fiduciary responsibility to shareholders. Disclosure of material events is a duty owed and if they have breached this duty this is a cause of action. Moreover, they cant claim they were DEFRAUDED by NDOL as a defense if they come to the court with 'unclean hands'. I believe they came with unclean hands and this can possibly be proven. Why didnt they disclaim false statements of $1.2 Billion assetts??? Hmmmmmmmmmm. What were they gaining by partaking in original FRADULENT mistatement?????????

As for allegations of FRAUD as evidenced by forward looking statements that have been PR'ed since Reverse Merger. I agree with you that they can claim 'good faith' negotaions by mere conversations with interested parties but I would push this button too, as a pattern of misrepresentation is strong based on the facts [going dark, failure to disclaim facts material to the deal of NDOL-NWOG] etc...]. Moreover, several witnesses can likely attest to 14600 bpd claim as articulated during cc. But I agree,...FRAUD in these instances is not the stongest evidentiary claim. However,..we should still throw it into the complaint and argue it.

I agree it will be uphill battle....BUT IT CAN BE DONE!!!

You imho are an apologist for FRAUD. You and mark37 can scream 'caveat emptor' all you want....but that is NOT a cohesive policy for regulatory oversight. As I said before, if you think the 2 words 'caveat emptor' are sufficient protective phrases - why doesnt the SEC throw out their entire legal code and just write 'caveat emptor' on 1 piece of paper? Ultimately, there are laws on the books that are not being followed by NWOL nor enforced by the SEC. Hence, my petition to assert ones rights vis-a-vis a derivative suit shouldnt be relegated to irrelvancy because one should 'take responsibility' for their decisions. But the SEC is not enforcing the prohibitions on their books which an ordinary prudent investor relies on to safe-guard their interests. Let's just get rid of the SEC if the only rule is 'caveat emptor'. At least there will be no illusion that a company can PR false information without detrimental effect [EXACTLY what seems to have occurred here & I thus guess occurs all over the pink markets].

If the SEC wont investigate...they need to ABANDON theiR jurisdiction...BECAUSE many [Ok, I] believe[d] there jurisdictional authority implies a sense of over-sight.
