TORONTO, Dec 27, 2004 (AP Online via COMTEX) -- With a hostile takeover by U.S. gold miner Glamis Gold looming, Goldcorp Inc. has given its shareholders something else to think about: a proposed merger with Vancouver's Wheaton River Minerals.
When Goldcorp proposed its $2.2 billion, stock-swap offer for Wheaton earlier this month, the Toronto-based company said its shareholders wouldn't be voting on the deal because it was structured as an acquisition.
But that business combination was thrown into question when Glamis Gold Ltd., based in Reno, Nev., made a $3.4 billion stock swap bid for Goldcorp earlier this month.
"Essentially now, with the hostile bid that Glamis has made for Goldcorp we're giving the shareholders the opportunity to decide for themselves which deal they want to favor," Goldcorp spokesman Ian Bell said Monday. "We back the Wheaton deal."
Goldcorp said the two companies have agreed on a $35 million breakup fee if the deal falls through.
But Kevin McArthur, Glamis chief executive, said in a release last week that he's confident his company's offer will succeed and called the break fee "a significant waste of Goldcorp shareholder money."
Late last week, Wheaton and Goldcorp announced they had signed a definite agreement to proceed with the takeover and shareholders from both companies would have a say.
Approval by a simple majority of Goldcorp shareholders is needed at a meeting scheduled for Jan. 31. As well, two-thirds of Wheaton shares must be tendered in the deal, which would exchange one Goldcorp share for every four Wheaton shares.
The transaction would create a mine with expected 2005 production of more than 1.1 million ounces of gold, plus substantial copper production from Wheaton.
Shares of Glamis Gold rose 21 cents to close at $17.73 Monday on the New York Stock Exchange. Wheaton River's shares rose 13 cents, or 4 percent, to close at $3.32 on the American Stock Exchange.

Our members on Waydago and especially you folks that keep it active with your daily input makes this a unique board and online family..You have kept the sanity under some very difficult times,times that often can bring on very emotional situations..Trading securities and most of all penny stocks,you have created a board that welcomes all and deserve the appreciation and respect what makes up for a fine Board and it's members.
Our board,after 4 years, is seeing another influx of new members..This is very significant...It is you the members that makup a great board..RB and other forums are bringing back traders not seen since early 1999-2000,when diamonds were dropping from the sky..Everything you touched was almost a winner...

January 3rd brings on a whole new year for trading and how it effects us all..Much is being discussed about regulation SHO and "Threshold Security List"..It is this list that will set the benchmark for a major part of your decision to buy or not..If a security is not listed,leave it alone..If you put heavy emphasis on this list,you will eventually force compliance...Of course this will take time,but eventually the MMs and the companies will need to get on the list,because not being on it will greatly reduce the liquidity on a security..Companies need the equity markets and loss of revenue for the MMs,not to mention being absent from the list,could bring and it will carry a stigma,of being always a "shady shell game"...This is how it is supposed to work and in time will prove that out..The extensions will happen,but the 3rd is the benchmark and only public attention to that "list" and as a tool to determine a Buy/Sell of a security, is going to force compliance..Post 19372 hit it on the head and you must read it along with Sterling's...Don't expect that all will be corrected at once,but it is a step in the right direction and hopefully when the timeline to April 2006 is upon us,gives us as shareholders, a venue to ethically,honestly buy and sell all securities and not the feeling we are being pickpocketed on a daily basis..Oh, you will still need to apply your due diligence,because they will always find ways to manipulate and take your money..
With many new players coming back and first timers,concentrate on mid and micro-cap stocks as they will fair the best..The companies with market cap of 50-200 will experience the best results and Nasdaq and OTCBB,and yes, even the pinks will be once again be a hotbed of 100s% gains..There is a lot of money on the sidelines and corporate cash at all time highs will eventually fuel this new robust economy as our portfolios have not seen since 2000...So you see how important this threshold list must be and the message it sends...Keep it alive..
