Sorry, no offense to you, but I find this hard to believe.
As far as an R/S goes, if it gets approved and this thing opens at some point in April at $8.00/share on pinksheets, the hedgies will short this thing back down to under $1.00 within a week and keep it there.

From a different perspective, those penny stock investors are the ones that bought up all of that toxic financing and employee option shares to allow the company to get where it is today.
I'm not sure that biting the hand that feeds you is ever a smart way to go.

Not sure about that - the proxy states that this is not an attempt to take the company private.
There would legal implications there as well.
Management holds less than 10% of the O/S (correct me if I'm wrong). It would be difficult for them to acquire a huge amount of shares without driving the price way up, then they would need to make a tender offer for the rest at a fair value.
In addition, some people found out about the proposed RS and proposed shifting of power from shareholders to management during market hours yesterday and had the ability to sell before anyone else.
Others won't find out until they get home from work today and check their postal mail.
Others might not get it until tomorrow or even later.
Let's see what they have to say on the conference call. Right now they look like a bunch of monkeys trying to hump a football, lol.
What I'm failing to see is why all of this is necessary when the company has been on a GREAT track the past 6 months. If it's not broken, don't fix it.

In fairness to all shareholders, this proxy vote and conference info should be PRed through appropriate news wires.
Not all shareholders check iHub and monitor VirTra's website for material corporate updates.

If you have strong opinions on this matter, you should contact Don and Bob directly asap. Their emails are in the "iBox". If you are a shareholder, you have the right to voice your opinion.
Do not expect that if you abstain from the proxy vote, that you will automatically be voting "against". That is why the proxy says "may".
If you decide after the CC that you are "against", you need to specifically vote your shares in this manner. Do not assume your shares will be voted in a certain manner if you abstain

I've been a large holder of VTSI for a long time.
The items suggested on this proxy are some of the most idiotic things I've ever seen.
No wonder Jed has been ignoring my emails for the past two months asking if VTSI would ever consider a R/S.
Isn't a company required to give shareholders a certain amount of time to prepare for a shareholders' meeting? How is one expected to book a trip to AZ in 1 day? Granted you can call in but that's the point.
Our longer term average volume is around 150K. After a 1 for 100 R/S, it'll be around 15K. Volatility will be off the charts, and won't be in the best interest of shareholders. We don't even have enough volume to support a 9 cent share price.
I'd prefer that they keep the "at least 3 directors" clause.

That's the thing with profits.
If you word things with just the right amount of ambiguity, and evaluate them over many points on a long time scale, you'll always find someone that eventually interprets those words as being correct.
I was gone most of the afternoon and missed most of the action.
Can anyone tell me if
1) there were any Form Ts posted today and/or
2) if the O/S or A/S was increased in the past week or so?
I'm assuming if the BB deal was a ploy either 1), 2) or both would have happened today. Surely a typical PinkSheet would use this BB effort to dump some shares into the market...?

My first opinion is that it would be a challenge for TDGI to successfully win a bid on BB.
Actually, that goes for all of the many bidders that are involved with BB.
