barraged with choosing between the lesser of two evils. The Dems are learning that now, with a choice between two hard core Communist ideologues, either one of whom is capable of egregious duplicity and treason.
At a purely pragmatic level, the SEC bet the Company could never
afford an appeal to the Circuit Court of Appeals. They were wrong. Richard is lucky to have put away some of what came in, or he could never have paid Tifford's bills.
While I think it is apparent that Richard stepped out of bounds, the SEC has done much worse on a much larger scale over a much longer period of time.
Ergo, I oppose the SEC and the NASD, a pair of RICO toilets if there ever was one.
I have had simply had too much contact with them and their methods, thank god at arm's length, or they would be maimed, and I would be in jail.
I have constantly hammered the issue of proportionality with regard to what Richard took (not applicable to Chris at all), a position the SEC is effectively barred from by its own bad behavior.

Reality can be more dramatic than any movie. Can you believe the NSS nuts are celebrating this on RB? I suppose they want all stocks that trade to be penny shell companies, never mind that folks are going to lose their jobs over this mess.

NEW YORK (Reuters) - Angry Bear Stearns Co Inc shareholders have wasted no time in calling their lawyers to pursue potential legal recourse over the company's $2-a-share fire sale to JPMorgan Chase & Co.
"I can't divulge privileged conversations, but shareholders don't contact me when they are happy with the way things are going with their investments," said Ira Press, a lawyer at class-action firm Kirby McInerney, which has spoken with dismayed Bear investors about the matter.
"This is a stock that has gone from 50 to 2 literally overnight, and I also know of people who had assumed that the worst had passed when it closed at 30," he said.
Bear Stearns, one of the most venerable names on Wall Street, is being sold for just $236 million in an emergency deal backed by the U.S. Federal Reserve in a sign of the deepening credit crisis.
The deal's value is more than 90 percent below the company's Friday closing share price of $30.85. But JPMorgan said the total price tag would be $6 billion to account for litigation and severance costs.
Investors have barely had time to digest the news, but are already exploring possible legal avenues, say plaintiffs' lawyers who specialize in suing large corporations.
"We've been contacted by large individual investors and institutional investors," said Jeffrey Nobel, a partner at class-action law firm Schatz Nobel Izard. "Suffice to say, we are certainly looking very carefully at it."
Shareholders might sue Bear and its executives and officers for securities fraud, contending they failed to disclose the company's true financial health, lawyers say.
Nobel said his firm has been contacted by investors who bought the stock as recently as last week. Some of these buyers, he said, took their positions after Bear CEO Alan Schwartz said in a televised interview on Wednesday that the company does not see any pressure on its liquidity and had about $17 billion in excess cash on its balance sheet.
"You have investors who are upset because they feel as though the company was not truthful in reporting its financial condition," Nobel said.
Other suits may be brought by Bear employees who hold company shares that are now virtually worthless, lawyers said.
Another possibility are lawsuits challenging the fairness of the deal and whether there are other potential bidders who might pay a higher price, though these suits may have a tough time succeeding because Bear was clearly in dire straits when it agreed to the weekend deal and may have had no other options besides bankruptcy, lawyers said.
Salvatore Graziano, a partner at plaintiffs' firm Bernstein Litowitz Berger & Grossmann, said he and his colleagues also have been discussing the matter with clients.
""It's a fluid situation," he said. "Clearly, we're very focused on it."

A federal Appeals Court has upheld a nearly $3.3 million verdict obtained by a Valley law firm against another firm from Texas for unpaid legal fees.
In their unanimous ruling, the judges of the 9th U.S. Circuit Court of Appeals rejected arguments by the attorney for John M. O'Quinn & Associates that the legal fees being charged by Brown & Bain were not reasonable. Neil McCabe said that put the Phoenix law firm in violation of ethical rules adopted by the Arizona Supreme Court.
But appellate Judge John Noonan, writing for the panel, said the O'Quinn firm had in fact agreed to pay Brown & Bain a certain amount once the case settled.
Potentially more significant for attorneys, the appellate judges said Ethical Rule 1.5, which bars fees that are "unreasonable," applies only to the dealings that lawyers have with their clients. It does not regulate what one law firm charges another.
The case involves a lawsuit filed by about 900 property owners in the Phoenix area who filed suit against Motorola contending that toxic chemicals from its plant caused environmental damage. The deal the property owners had was the O'Quinn law firm would get 40 percent of any recovery plus the cost of litigation.
Two years later, that firm retained Brown & Bain, at that time an independent Phoenix law firm, agreeing to pay $135 an hour for lawyers and $5 an hour for paralegal time. The firm merged in 2004 with Perkins Coie of Seattle.
The deal also entitled Brown & Bain to an additional $155.25 an hour for lawyers and $51.75 for paralegals at the end of the case - but with conditions linking the payments to O'Quinn getting a certain amount of money first.
Brown & Bain submitted monthly bills and was paid a "discount rate" of $2.9 million.
The two firms parted ways in 1998.
In 2002 the case settled, with Motorola agreeing to pay $26.3 million.
The O'Quinn firm treated $13.7 million of this as chargeable costs, paying its clients nearly $2.5 million and retaining $10.1 million as its 40 percent share.
Brown & Bain asked for the additional funds. When these were refused, the Phoenix firm sued.
McCabe first argued that O'Quinn's obligation to Brown & Bain began only after it had recovered all the expenses it had absorbed. The Texas firm, based on its own accounting, concluded it had lost $3.2 million on the case.
Noonan rejected that argument. He said the contract clearly stated that O'Quinn's obligations to Brown & Bain were triggered when the Texas firm received a certain amount of money, not some net figure. And he said the record is clear that O'Quinn got more than $10 million.
As an alternate theory, O'Quinn submitted a letter from a professor on legal ethics. Citing Arizona's rule on legal fees, Geoffrey Hazard said the O'Quinn firm had absorbed some of the charges against its $10 million to "have a little more money" for the clients.
But Noonan said the question of what the O'Quinn firm had done is irrelevant.
"The absorption of the charges did not diminish what O'Quinn had received from the proceeds" of the settlement, Noonan wrote. "However it accounted to itself, it remained liable to Brown & Bain for the amount it had agreed to pay after it had received an amount equivalent to the discount rate payments."
Nor was the court persuaded by Hazard's argument that it was unethical for Brown & Bain to seek to collect a total of $6.2 million while the O'Quinn firm had booked what it claims was a $3.2 million loss.
"But Arizona Rules of Professional Conduct ER 1.5 govern the relationship between lawyer and client, not lawyer and lawyer," Noonan wrote. And he pointed out that paying Brown & Bain what was owed would not alter what already had been paid out to the clients.
Noonan said it might be argued that the O'Quinn firm had absorbed some costs to save something to give the clients. But even at that, each got only about $2,100.
"They might not have agreed to any settlement if they had gotten nothing," he said. "But O'Quinn's necessity of putting something on the table for the clients does not determine the reasonableness of the allocation of charges among the lawyers themselves."

Irrelevance to a criminal investigation usually equates to innocence of wrongdoing.

What was said, Woodan? I said the same thing that I have always said to you directly, that you were getting bunk info about this stock and although I always hoped that there was some truth in what you said, I would not hold my breath. I did state on the MP3 that you were being used to disseminate false info - was that a false statement? Have you been correct yet? My wallet does not think so. I also said, God Forbid, you could have even been paid to give bad info. That still holds as a potential truth. I would not have liked to have believed it, but you gave yourself away too many times for me not to have suspicions. Unfortunately for you, you have done so again, this time, revealing the truth that exposed your true alliances.
I know I personally appreciate you confirming what I already suspected - your connection to, and employment by “The Boys.” Funny, your pal, Mano, was also a big pumper with PCBM, and I noted that only after I mentioned that fact on the boards, Mano disappeared and you took over the job for pumping CMKX, or are you really Mano yourself? How interesting that there have been “The Belgians” hanging so many of these scam stocks. You also coincidently pumped GBDX, another scam stock that has been promising buyouts for over a year with ZERO to show for it. Isn’t it coincidental that with the several thousands of stock on Wall Street, you happen to be promoting 3 stocks - all that “The Boys” was involved in. Many others now also see what I have seen all along.
By defending Guru (who works his mob boys - defends them regularly as a “great guys” when there has been an investigation about his pals - with hundreds and even thousands of subpoenas issued - that I had NOTHING to do with other than realizing it is happening); and you are defending JudyCline, who disclosed certain information to me in a private conversation that she would not have had unless she had an inside to “The Boys”, she had certain connections to “the Boys” which I will not discuss and she attacked me only when I talked negatively about these flowers of humanity); you defend Willie Wizard, even though I have nothing to do with Willie other than having loaned him large amounts of money and I have repeatedly tried to tell him to get away from pumping the stocks he pumps that I am confident that “The Boys” is involved in.
I note that you posted the attack on me on the GBDX board, coincidentally the same stock that “The Boys” are currently running. Willie called me yesterday and said he was ill because of stress. He said the stress was mostly due to a poster known as “kal_el_1" who I have read and has not mentioned Willie’s name even one time. The most interesting thing is that Kal_el_1 and I share an opinion, that a huge bust is coming forth and Willie should do his best to get as far away from pumping questionable stocks as is humanly possible.
What is sad is that Willie appears to be listening to his mob pals that the poster Kal_el is indeed me, even though so many people close to me also got fleeced by these people and know what I know, and then he comes out as Diamond_guru to talk chit, even after was kind enough to loan the man several thousands of dollars to help him out in a time of need. Gee Willy, where were your pals when you were in serious financial trouble? Assuming that Kal_El is me (which it is not), you should be listening to his wisdom as you have been undoubtedly used and abused, and will likely face the same heat as those far above you. At least you should have demanded more money to promote their stocks. Just a thought.

As far as your comments as to the great heroism of Guru and JCline, your’s are comments of diversion from the truth. It may be possible that JudyCline and Guru (Kyle Ramsey) were involved in complaining about the naked short problem, I do not know enough on that particular matter to even contest the statement. However, we are not dealing anymore with naked shorted stocks with CMKX and so many others, WE ARE DEALING WITH COUNTERFEITED STOCKS. There are 2 great levels of scams in the markets today - 2 great levels of scam on CMKX that we have suffered from - both NSS and counterfeiting. Notice how Guru and Jcline rarely, if ever mention the counterfeit problem? That is because the “The Boys” did not NSS CMKX, they counterfeited it. Let the blinded public follow the bouncing ball all the way into naked shorting while the real reason for the CURRENT problems with this stock are counterfeiting.
Remember DavidJmar finding Gary Walters counterfeiting stocks in a closet? Counterfeiting is the REAL issue and to give credit for Kyle and Judy for focusing on naked shorting, when such a focus was a true misdirection from the real scam of counterfeiting. Why do you think that Frizzell has indicated that he will cancel so many shares of stock and take it back to trading? Not because of a NSS problem - because they were counterfeited. It is likely that Maheu already dealt with the NSS long ago.
In fact, there is the very likely reason why CMKX’ers have not been paid their NSS payout - it is because there were so many counterfeit shares out there by The Boys that the payout was impossible because the brokerages and DTCC would not be responsible for counterfeit shares, only NSS ones - hence the current federal investigation that Willie kindly informed me of his subpoena. There are so many counterfeit shares that a completely independent federal investigation and case had to be brought which is still ongoing in addition to the NSS sting. Too funny! I meant to type sweetbreads, not sweetmeats. I like sweetmeats. Toffee is my favorite candy and Urban's, too. It must be since he gave away shares to some toffee company. LOL
And they really are absolutely divine.
Sweetbreads were very popular during the reign of Edward VII. Sweetbreads were his favorite food and I think you'll find many sweetbread recipes from that era. Not that he was accustom to pushing anything in front of him on the table away. He was right up there with Henry VIII when it came to gluttony.

Texas bar suspends Dallas lawyer over role in alleged stock scams

Dallas attorney Phillip W. Offill Jr. won't be able to practice law in Texas for three years after a disciplinary panel ruled that he violated professional standards in 2005.
The State Bar of Texas said Friday that Mr. Offill, a former enforcement attorney for the Securities and Exchange Commission in Fort Worth whose legal troubles include two SEC lawsuits alleging his involvement in stock scams, is suspended effective May 1. He will be on probation for two years after he becomes eligible to practice again in May 2011.
Mr. Offill said in an e-mail that he had no comment on the ruling. He can appeal the decision.
A Dallas-area panel of lawyers heard more than two weeks of testimony from 17 witnesses and ruled that Mr. Offill kept documents from his own clients and failed to disclose conflicts of interest. He was charged $87,300 in attorney fees and court costs to pay for the hearing.
The case involved an Addison company, Consolidated Sports Media Group, which hired Mr. Offill to help raise money and take the company public. The company fired Mr. Offill in April 2005, several months after a junk fax was sent that touted the company's shares to investors.
The company sued Mr. Offill in August 2005, saying he and his business associates had orchestrated a pump-and-dump scheme to artificially inflate the value of the shares, then sell shares at a profit while the stock price plummeted.
When Consolidated asked for its legal files back, Mr. Offill sent backdated documents that he needed destroyed or concealed to a business associate in the Kaufman County town of Kemp, according to the panel's report. The documents turned up in a trash bin.
Consolidated Sports' lawsuit was settled when Mr. Offill and the law firm he worked for at the time paid $4.8 million, although they denied liability.
The Texas Bar suspended 110 law licenses last year, said John Neal, chief disciplinary counsel. Any appeal by Mr. Offill would be handled by a board of discipline, he said.
The suspension may not completely eliminate Mr. Offill's law practice in Dallas; he's still a member of the Oklahoma bar, where his legal career began at the Oklahoma Department of Securities in 1982.
Mr. Offill, 49, worked for 15 years at the Fort Worth SEC office and gained a reputation as an incisive litigator, though also as one who sometimes got too close to defendants he prosecuted, according to attorneys who worked with him. He was a partner in the Dallas firm of Godwin Gruber LLP from 2002 to 2007 and before that worked for Krage & Janvey LLP.
He faces two civil suits from the SEC related to his role in alleged penny stock scams and was found in civil contempt in February by a federal judge who determined that Mr. Offill tried to hide money from a court-ordered asset freeze for a fraud defendant he was representing.
Mr. Offill has denied all allegations of wrongdoing.
The Pink Sheets, where penny stocks are traded over-the-counter, barred Mr. Offill in January from writing opinion letters for companies listed on the exchange.

Keep in mind, the SEC has investigated Torino 6 months ago it was said here and that recent talk of some SEC REVIEW here.
Sometimes SEC investigations can be long and drawn out. Turino has been involved with certain individuals and many stocks for years, so a long investigation would be no surprise. Also, some of the individuals that Turino has been connected to have past histories of SEC violations.

It stresses my point that it is easy to entice investors with buyout news. The most notable part of the SEC complaint is the method they used to trap investors.
and in some cases HRR, made misrepresentations to the public regarding the existence of financial backers or banks that supposedly were interested in financing the tender offers, even though Roxford and HRR did not have any financial backing nor independent means of financing the acquisitions. Roxford and HRR publicized the phony offers through press releases, internet message board postings, and in at least one filing with the Commission. They made these fake offers in order to manipulate the price of the target companies' stock by inducing investors to purchase the stock.
The SEC is also cracking down on hijacking of Microcaps. If anyone notices spams on Microcaps that look suspicious you can report it to the SEC and perhaps the SEC's Anti-Spam Initiative might catch a hijacker.

Washington, D.C., March 13, 2008 - The Securities and Exchange Commission today suspended trading in the securities of 26 companies that appear to have usurped the identity of defunct or inactive publicly-traded corporations using a tactic known as corporate hijacking. The Commission ordered the suspensions because of questions regarding the adequacy and accuracy of information pertaining to their status as publicly-traded companies.
The trading suspensions are part of the SEC's stepped-up effort to address fraud involving the securities of non-exchange traded, or microcap, securities. These are the first actions resulting from the recent formation of the Enforcement Division's microcap fraud working group. In March 2007, the Commission suspended trading in the securities of 35 companies as part of the SEC's Anti-Spam Initiative, which targets potentially fraudulent spam e-mail.
"Microcap investing involves thousands of companies and hundreds of thousands of investors. Keeping this tier of the market honest and free of fraud is every bit as important to investor confidence as our regulation of the world's largest companies and exchanges," said SEC Chairman Christopher Cox. "These trading suspensions demonstrate the SEC's intensified commitment to eradicating microcap fraud. The trading suspensions, and the actions that will follow, should leave no doubt that the Commission will use all of the weapons in its arsenal to combat those who threaten the integrity of our markets."
Linda Chatman Thomsen, Director of the SEC's Division of Enforcement, added, "Hijackings are a burgeoning problem, and a type which the Division's microcap fraud working group was created to address. Today's trading suspensions are squarely aimed at putting the market on notice about the risks associated with acquiring non-operational or 'shell' companies, and with investing in microcaps. This is a first step. We will continue to vigorously investigate those involved."
In conducting the corporate hijacking, certain persons appear to have incorporated each of the 26 companies using the same name as a then defunct or inactive publicly-traded corporation. For identification purposes, each class of an issuer's publicly-traded securities is assigned a ticker symbol by Nasdaq Reorganization and a CUSIP number by the Standard & Poor's CUSIP Bureau. These same persons appear to have usurped the CUSIP numbers and ticker symbols assigned to the defunct or inactive corporations' publicly-traded securities for use by the newly-incorporated entities. They then appear to have obtained new CUSIP numbers and ticker symbols in lieu of the old ones, also for use of the newly incorporated entities, by apparently representing falsely that they were duly authorized officers, directors, or agents of the original publicly-traded corporation.
The trading suspensions will last for 10 business days. The trading suspensions commenced today at 9:30 a.m. ET and terminate at 11:59 p.m. ET on March 27, 2008.
The 26 companies whose trading was suspended today are: Andros Isle Development Corp. (AVPJ); Asante Networks, Inc. (ASTN); Beluga Composites Corporation (BGCC); Cobra Energy Inc. (CBNG); Complete Care Medical, Inc. (CCMI); Disability Access Corporation (DBYC); El Alacran Gold Mine Corp. (EAGM); Extreme Fitness Inc. (EXTF); Gaming Transactions Inc. (GGTS); Global Equity Fund, Inc. (GEQF); HealthSonix Inc. (HSXI); IQ Webquest, Inc. (IQWB); JSX Energy Inc. (JSXG); Kensington Industries, Inc. (KSGT); Kingslake Energy Inc. (KGLJ); L International Computers Inc. (LITL); Let's Talk Recovery Inc. (LKRV); Mobilestream, Inc. (MSRM); Mvive, Inc. (MVIV); Native American Energy Group Inc. If any broker or dealer is uncertain as to what is required by the rule, it should refrain from entering quotations relating to the securities of this company that has been subject to a trading suspension until such time as it has familiarized itself with the rule and is certain that all of its provisions have been met. That was a statement by Hunter6110. I do know when a buyout is in the process that company still conducts business and can release PRs regarding their operations. They don't go silent for six months, or have touts like Willy pumping the heck out of it. What happened to PRs announcing sales? Don't they owe it to their shareholders to keep them informed? They were not shy about releasing that information in the past.

Have you ever seen a buy out occur in a penny stock? If so, how did they handle it?
Nope, not really. I'm certain it has happened a few times. Mostly what happens with pennies is promises and rumors of buyouts. I have seen countless times when penny stocks issued a LOI that never happened. Meanwhile, they dilute the float by printing up more shares, or the insiders unrestricted shares become eligible for trading. For some unscrupulous penny CEO's when the float is too bloated they do a R/S, rename the company, rid themselves of disgruntled shareholders, and begin the procedure all over again. This occurs prolifically in penny stocks versus a possible once in a blue moon buyout.
Just from my observations, best to use caution when penny stocks start throwing around buyout news. It's just like gambling. The odds are stacked in favor of the house, and against the shareholders, imo.
