Beverage giant PepsiCo is to acquire Brazil’s leading coconut water company, as part of a bid to transform its beverage portfolio towards more healthful products.
Coconut water, which contains calcium, magnesium and potassium, is popular amongst Brazilian consumers as a hydrating drink, particularly for those leading active lifestyles.
The country’s top-selling coconut water brands, Kero Coco and Trop Coco, are produced by Amacoco Nordeste and Amacoco Sudeste, which PepsiCo yesterday announced it has agreed to acquire for an undisclosed amount.
"Amacoco will complement our current business and enhance our growth prospects throughout Latin America and beyond. Even in the nascent US market, coconut water sales are enjoying extraordinary growth,” said Massimo d'Amore, chief executive officer of PepsiCo Americas Beverages (PAB).
Move to health
PepsiCo said coconut water is “naturally healthy”. It “represents one of the fastest growing beverage categories due to its natural hydrating qualities, great taste and nutritional benefits,” it said.
The move comes as part of wider actions by soda industry leaders to diversify into healthier product categories as consumer preferences shift towards alternatives such as energy drinks, functional waters and juices.
Brazil Lock-up report.
Interesting facts on especially wheat and rice in Brazil. Brazil produces 5.7 mmt's of wheat and imports 6.7mmt's. Therefore increasing milling production 22% with NTRZ's systems, they would need to import 2.7 mmt's of wheat less for the same amount of tons. And, the wheat bran is more nutritious than the milled wheat.

It looks weak at this time, but hurricanes change. I would guess some of the rice is already harvested. By September 12th last year it was all harvested. Let's keep the storms away from Louisiana. Last years hurricanes combined with a drought afterward lest slat water in many canala resulting in less planting this year.
Chart triangle.
We are on the top of a triangle and near breakout of it. Draw a line from the June top, to the early August top to Friday's close and we are right on the line. I will admit to seeing many fake out breakouts of this pattern, however, in both directions. The 50 day moving average is at .23 as well as the EMA 89, so we'd have a triple breakout above that price. Fingers crossed, but we need a good product or new plant PR to go anywhere.

Quiet, but NTRZ will break the ice tomorrow. 200,000 shares up volume the last 10 minutes plus a little after the close. I hear a lot of good things from many people off the boards. I would not be surprised to see a break past the .26 resistance tomorrow and up to the 200 day MA near .30.

porscha--The filing makes it look like NTRZ has big plans in Latin America. And that NTRZ will be here for a while . It would like to know more about Louisiana and guess we wait for re-filings for that.
Licensing is the answer.
For example, if NTRZ were to license it's stage 1 and stabilized RBO in the USA, the companies licensing are in a MUCH BETTER position to sell 10, 20 or 30 times more product than NTRZ could. The reasons are,
1. The companies have a sales network already in place with more customers than NTRZ has by far.
2. The companies have a good reputation, NTRZ is basically unknown.
3. The companies don't have the bad stigma Brad Edson has cast on NTRZ.
I believe licensing has something to do with the plant closings in Louisiana. I doubt that the mills wanted another rice miler doing stabilization on their property. The next 30 days or so will be very interesting.

Short proved he is a negotiator today. Nothing spectacular, but something Brad never got straightened out. We now don't have to put up 1/2 of the cash for a wheat mill we don't need for proof of concept. My bet is China has priority over PAHL at this moment with Short.
Mike I don't have the patience to read SEC forms. Hopefully someone else will chime in. Some say Short did not want to sign the re-filings forms as CEO. If so, then re-filings will be done by then.

It is sad, but the best source of info lately has been a message board poster, soar_bird. He called them earlier in the year and they said results would be out like March 31st. Then he called around then and they hinted like June, but were not so precise, as I recall.
So, we are left to speculating.
1. They need money for a final payment to Hadassah University for the study
2. They have a pharma deal coming up. The last CC in November stated one would happen later in the year. Maybe the potential partner wants the results held back until the deal is finished for competitive advantage.
3. The results were not good. I doubt this. You do these studies when you know it works for proof, not to gain proof.
It is another area 51, that's for sure. VTLV has been a financial black hole and brad deserves jail for that mess. And we are in limbo again on VTLV. We should have heard by now more about the fiasco.
Short came up with money?
It's logical in light of the fact that the big after hours trade has not happened for 3 days now. Although, they was some big trades near the close on Thursday. If the after hours dude is a toxic investor, maybe he knows he will get cash this month. Just getting the toxic dudes selling pressure out of here ought to double the share price. What ever the reason, change is in the air.

Remember Olga was new at the November CC and she stole the show. I think Short, Leo and maybe one of Olga's assistants could handle the financials. With the recession, I bet they got many resumes in already for CFO, and maybe a few from Phoenix that could start immediately. But they will certainly check them out first and no way be ready by mid-August.
This will be very important for Short. He needs to shine and hopefully he will have some ammo by then, like a deal or money or such. I have no idea if he is a good speaker or not, but with his success in many companies, I can only guess he is adequate at any rate. We shall see.

Malty6 for Board member--a token for Patty
This will not be popular in some circles, but I feel the Patty camp should have some representation in NTRZ somehow. The Brad and the board really did not handle getting the founder out of the company very well. No way would I endorse having patty on the BOD. She is quite controversial, to say the least. You don't take somebodies life project away from them completely and the BOD did just that.
I would like somebody comparable to malty on the BOD. Malty is a Patty sympathizer, but yet we all know he is his own man. He understands the science product far more than any other board member. He also understands the stock market like no other board member. And he carries himself diplomatically very well on this message board.
I am not saying he is the best choice, but if NTRZ is to be going forward unity of cause would be a tremendous help. If the Patty has a support on the BOD it would give them something.
I really believe that Malty would not be a Patty puppet either, he is his own man. If I was in NTRZ, I would certainly investigate him. I don't even know his name, but I am sure Patty does.
I would even recommend Patti be used as a consultant at times. I bet she would love being involved in the World Feeding program.
I am not a Patty supporter. But, I feel the board made a mistake by cutting her off from the company completely. Give her a token, something so that she and her supporters can feel like they are part of the great company again. again.
Bensol, Lintsenich and Clark must resign from the BOD
Clark first. IMO he was only given his seat as a reward for Rodman arranging the PIPE in 07. It is not as if Clark's company was not making enough money on the transaction. Gnus says that because of that conflict of interest that he is not on the BOD legally anyway. Clark has done nothing for NTRZ on his own. He was a puppet of Brad's on the BOD, IMO and I can only imagine he'd vote for what Brad wanted. At least the appearance of impropriety was there at any rate.
Bensol and Lintzenich have been informed about SEC violations from gnus for at least one year and did nothing but make the matter worse by doing nothing. VTLV was questionable from the beginning. If you add it all up, at this point, Z has no cash to show for the $7-8 million spent on it. AND NTRZ NEEDS $7,000,000 now!!!!! I could go on, but they have failed us shareholders just as much as Brad. None of them need the job for money--GET OUT OF HERE
I too wonder why the 8-k about Brad/s departure is not out myself.
I don't know if it would be wise to replace the whole BOD at this time. That would leave Kody as the only management or BOD member that has been here much over two years. Leo has been here two years. Maybe it would be a good thing if they all went anyway, but we don't know how they voted on anything in the meetings or what they thought about Brad and his dealings.
Shropshire I'd like to be head of the audit committee. He has now been there and done that and make sure the job is done, IMO
McMillan--I don't like his options being extended, but he could have been instrumental in the new Purina horse food product and could help with his AgFeed Chinese connections.
Sounders--he owns over $1,000,000 shares of NTRZ. He has an interest in the company like no other. He was fooled by Brad, but he has a big interest in the stock going up, same as me. No other BOD member has bought much if any stock with their own money.
If they all go, however--FINE. If Brad failed us, they did too, especially Lintzenich and Bensol.
I have seen enough, even though refiling is not done. It would have been easier to change my position if more diplomatic people that gnus and kodiak had presented the case. But, the time has come for a clean slate moving forward. We must get a board that write contracts that reward profits not revenues. Profits drive this stock.

I see that forms as a good thing. Progress is happening. I would think Short does not want to sign the refinance forms. I don't blame him since he was not here when all the crapola happened. Jim Lintsenich was here the whole time, it is better him signing. Maybe Short will take over as CEO after signing? I don't get into the details of the forms like most of you guys.

Inept company, buyout, or unannounced deals?
We only have three choices and I lean to buyout.
1. Inept company:
A. PAHL deal signed 2 years ago and we know that Z does not need it for proof of concept. Why has nothing been announced as to redoing the deal. Even Brad is not so incompetent as to have done nothing, and the BOD so incompetent as to have not demanded something be done.
B. China was signed one year ago and same as PAHL we don't have the money, yet the deal just sits there?
C. Wheat deal was supposed to be done in early 09--why not announced?
In AB C, if the VTLV sale has a SEC filing, the other things, which are bigger certainly would have.
Unannounced deals-- Just maybe Z can't announce these as per the SEC, but and they are done. But, In November Brad knew that we did not need proof of concept on the wheat, so why did he not have a reworked PAHL deal announced by February 23rd, the day the refiling started.?
Buyout
1. Employees are disappearing--Margie, Darrin, Brad, Dr, Mathewson, Dr. Patel, Bruce Sloan(you find him in old NTRZ show PR's on the site).
2. Refiling is taking too long, why? Buyout is being finalized.
3. Olga and Short have buyout experience. Short could have been working with NTRZ for some time. Short could have been named President as a reward for his work--options will be granted, I am sure.
4. They VTLV sale--that stunk SOOOO BAD that the buyer wanted it off NTRZ' books before a sale would take place. It was not removed to make refiling go smoother, but to satisfy the buyer.
5. They can't announce all the deals because they have been MADE BY THE BUYER--ADM, Cargill or whoever.
6. Gnus keeps telling us who is selling all the stock during the day and after hours, but, WHO IS THE BUYER AND WHAT DO THEY KNOW? Possibly nearing at 5% right now. Is the potential buyer, such as a Chinese consortium buying and about to announce and then the buyout follows? Inquiring minds what to know what is going on.
7. Does any believe NTRZ can't come up with a lousy $5,000,000. Heck, the BOD members could loan it to them. No money could just be an excuse for the sale, and I pray it is not below $2.75. A lousy patent for cloning a cow went for $100,000,000 late last year. NTRZ is certainly worth $500,000,000 in my opinion, especially with all these deals in the works.
To sum up, I find in inconceivable that management is so inept that the deals with PAHL and China were not reworked by the end of 08. If these deals are not reworked I say throw out the whole BOD. Those guys all ran businesses and should have seen that these deals needed reworking. I really can't see them being that incompetent either.
So, we either have deals in place soon to be announced, or we are bout out soon after refiling. If you bought at $2.00 or over, you had better buy a bunch at this bargain price to get you average down before a buyout. If you have not bought you had better get in now, almost no risk and a sure thing to go much higher.
We should know something with-in days is my guess.

Story about bran improving hypertension.
Increased intakes of whole grains, and bran in particular, may reduce the incidence of hypertension in men, according to new findings from Harvard.
Data from over 30,000 men participating in the Health Professionals Follow-Up Study indicated that increased intakes of whole grains are associated with a 19 per cent lower incidence of hypertension.
The researchers, led by Alan Flint from Harvard School of Public Health, report their findings online in the American Journal of Clinical Nutrition.
“These findings have implications for future dietary guidelines and prevention of hypertension,” they wrote.
High blood pressure (hypertension),defined as having a systolic and diastolic blood pressure (BP) greater than 140 and 90 mmHg, is a major risk factor for cardiovascular disease (CVD) - a disease that causes almost 50 per cent of deaths in Europe, and reported to cost the EU economy an estimated €169bn ($202bn) per year.
While the potential heart health benefits of whole grains have been reported before, the Harvard researchers note that no studies have reported if the total grams of whole grains are linked to the risk of hypertension.
The 31,684 male health professionals aged between 40 and 75 without known hypertension, cancer, stroke, or heart disease were followed for 18 years. During this time, 9,227 cases of incident hypertension were documented.
Comparing the highest intakes of whole grains to the lowest intakes, the researchers calculated that whole grains were associated with a 19 per cent reduction in the incidence of hypertension.
When they subsequently looked at total bran, a 15 per cent reduction in the incidence of hypertension was observed for men with the highest intakes, compared to the lowest.
“In summary, we found an independent inverse association between intake of whole grains and incident hypertension in men,” wrote the researchers. “Bran may play an important role in this association,” they concluded.
