I agree..it's not an OWCP event but as pointed out in my previous post it can have a dramatic effect on the company financially...We are trying to get clarification as I write this message.
I will post anything new that comes of this effort.
From what I've read and from what friends that live in Israel have told me there is no way in hell Baruch comes out of this clean.
Charges were laid incumbent on the fact that Baruch did indeed have a doctor patient relationship.
He will be dismissed from the company unceremoniously in the not too distant future imo. OWCP needs to distance themselves from him.

I read the 8-K filed on November 30. For Dr. Baruch's sake I sincerely hope that he succeeds in having the charges dismissed against him. Most shareholders have known about the allegations for a very long time, so I don't think this will have a longterm impact on the company.
What I find somewhat distressing is the last sentence in the statement released:
The Company is currently evaluating its options in light of the allegations brought against Dr. Baruch.
I can understand if the options being evaluated are with regards to replacing Dr. Baruch temporarily or shifting of responsibilities. Are one of the options being evaluated on how to deal with the $5,000,000 investor? Below is the email that I sent to you on May 10, commenting on the triggering events and specifically identifying the lawsuit and possible charges against Dr. Baruch. I just find it hard to believe that the company did not protect itself by having the investor's acknowledgement about this possible eventuality. It would have been easy enough to do. Now they are left "evaluating options" and at the mercy of the investor.
I realize that you all bring different expertise to the table and collectively you make a good team, but how could something so basic and crucial be overlooked?

Congrats on striking the $5,000,000 deal with the yet to be identified institutional investor.
I will not pretend that I fully understand all of the various implications of the agreement, and for that reason I don't know if I should be jumping up with joy or not. I can only assume that the company is confident about meeting the stated timelines within the agreement, as far as payment of the quarterly dividends, and the 270 day timeline for redemption of 50% of the preferred shares. With the added 10% premium this latter amount works out to be $2,500,000 + $250,000 = $2,750,000. If the share price is significantly higher when redemption time rolls around, then that's great for the company because they will be able to redeem by issuing significantly fewer common shares. If the reverse is true and the share price happens to be lower, then it's bad news for the company and all of its shareholders, except of course for the institutional investor.
I am confident that the Kodiak fiasco of the past will not be repeated and that this time the timelines will be observed and more importantly that there are no "Triggering Events" that will give the investor reason for recourse or even pull the plug. I'm assuming that this monitoring is ongoing and it will be done by you perhaps in conjunction with the company's lawyers.
Speaking of Triggering Events, there are many that should cause sufficient concern. I came across one that may have already been breached. This pertains to the lawsuit against Dr. Baruch. Has this perhaps already been acknowledged and accepted by the Investor? The following is found on pages 11-14 of the 8-K:
(ss) “Triggering Events” means each of the following events:
(xiv) (1) the occurrence of any event described in Rule 506(d)(1) under the 1933 Act, (2) the Corporation or any Subsidiary is indicted, charged with or convicted of any crime, (3) any Affiliate of the Corporation or any person who is an officer, director or member of senior management of the Corporation or any Subsidiary on or after the Initial Issuance Date (collectively, “Management”) is arrested, indicted, charged with or convicted of any felony, assault, patient abuse, sexual offense, sex related crime, or other crime involving moral turpitude, (4) the Corporation, any Affiliate, or any member of Management is found civilly liable for patient abuse, sexual harassment, or hostile work environment, or (5) the SEC, Department of Justice, Food and Drug Administration, or any similar government enforcement or regulatory agency files a complaint in any court or institutes administrative proceedings in any jurisdiction against the Corporation, any Affiliate, or any member of Management;
With regards to the 8-K/A amending the first paragraph I was glad with the clarification on the number of shares purchased for $5,000,000. I was having a very hard time arriving at price that was equal to $.20 per share! However, I did notice that the last sentence initially included in this first paragraph of the 8-K was omitted:
"The Registrant paid Newbridge a cash fee and issued to them warrants to purchase 2.5 million shares of Common Stock."
Was the above sentence omitted by design or was it an oversight, and if so will it be amended again?

"A female patient at Abarbanel Psychiatric Hospital has accused the hospital’s former director of sexually abusing her while she was his patient.
Maya Berger, 27, wrote a letter to Health Minister Yaakov Litzman in November 2015, after filing a police complaint and a complaint to the ethics committee of the Israel Medical Association against Dr. Yehuda Baruch, 59. Last week the High Court of Justice lifted a gag order and allowed Baruch’s name to be made public as well as the fact that he was the psychiatrist who was the subject of a Channel 2 News report two months ago.
Shortly after Berger became pregnant from Baruch and underwent an abortion, Baruch was questioned by the police and admitted to a “romantic relationship” with Berger, however, he denied that she was his patient.
In her letter to Litzman, Berger wrote that in late October 2014, she was taken by the police to Abarbanel after a suicide attempt and noted that she trusted Baruch implicitly because he had been a friend of her parents for more than 40 years. She became dependent on Baruch as his patient, she wrote, adding: “My fear of losing him was stronger than anything I had ever felt in my life. To my shock, he exploited this dependency to have sex with me.”
Baruch told police that his relationship with Berger had been “between two consenting adults” and that Berger had filed her complaint because he wanted to end the relationship.
The file has been sent to the prosecution which informed the court that the case “was not yet ready for indictment and it would take a number of months” to complete the investigation.
By law, sexual relations between a practitioner and a patient during treatment and up to three years thereafter that exploits psychological dependence is punishable by up to four years in prison.
TOT has obtained documents that allegedly support Berger’s complaint that a therapeutic relationship prevailed between her and Baruch.
For example, Berger, who is a sixth-year medical student studying in Hungary, told that she had texted Baruch that she wanted an “arrangement of a weekly conversation” to which he responded “gladly.
” He added that he would like to speak to her previous therapist, hence allegedly defining himself as her therapist. In one of Berger’s hospitalization reports, Baruch is listed as her physician of record.
Baruch had served for a decade as Abarbanel’s director and also head of medical cannabis administration in the health ministry.
In November 2014 he voluntarily retired from Abarbanel following complaints about his management and problems connected to cannabis administration.
Attorney Galia Cohen, who is representing Baruch, said that Berger was “spreading lies and false complaints to the police, the health minister and initiating approaches to various media outlets.” Because the matter was under police investigation, Cohen said Baruch would not respond to the details of the accusations.
However, Cohen said her client denied he had had a doctor-patient relationship with Berger.

What is happening to Baruch has nothing to do with the company. Suggesting "he drop the dime on the company"...is typical of what you do..post nonsensical unrelated allegations or half truths..but then you know that.

Baruch doesn't deny he had a sexual relationship with the patient.. He claims it was consensual and was outside of his practice..He also knew the woman's parents..Baruch if nothing else demonstrated a lack of judgement both professionally and ethically and as such was removed from his position as chief scientific officer for OWCP..and given a largely ceremonial position.
This case has been ongoing for several years and there is nothing new here..nothing that affects the company...this was working its way through the legal system as to whether formal charges would be laid.
Now they have.
Innocent until proven guilty.... NO EFFECT WHATSOEVER ON OWCP.
