Not sure of the comprehensiveness of this website but...
http://www.manta.com/coms2/dnbcompany_0crk2n
Ah mfjayson, thank you, that is where I was getting confused.
Man, you read those news blips and reports and there is so much to decipher and absorb in a little paragraphs you either miss the big picture or miss the small important stuff.
Ok, makes more sense now, EXCEPT now who is Global Telesat.
I mean really. Their website is pretty fluffy, http://www.gtc-usa.com/ , and some more info says they estimate 6mil in sales and haev 3 employees.
I get a little suspicious of all the *Globe* names...
Globetel, GlobalTelsat, GlobeNet, GlobalNet.
Anybody have more info on Global Telesat corp. Are they different then Global Telesat Communications based in Miami???
Ok, so to speculate on this deal... Global Telesat, which is part of GlobalStar, which is owned by Thermo Capital has dropped a measly $200,000 (to them, it would seem they have some deep pockets with all Thermo's holdings) which could potentially, in the short term give them back 3 and 5 times thier investment, for possibly 1.5million (just guessing here if Sanswire/Tao go to .21/share). That's not that much for a company like Thermo. What gives here? I wonder what the connection is and why. Seems like a no risk investment to GTC as the stock here has bottomed out anyway. Thoughts?
Ahh, ok, thanks I missed that point and forgot about owing Tao.
Its sounds like these 3 have been "sleeping" together for a little bit of time. Possibly/probably since the symposium this summer.
Interesting that a satellite company has finally come into the mix.
I think the gray and tough area about all this is Testing and commercialization of the LTA-based service may be subject to U.S. and foreign governmental approvals. I hope they are working on some lobbyists.
I will try to answer my own question.
Please correct me if I am wrong.
It looks like Global Telesat gave Sanswire $50,000 for 476,190 shares which is about 10 cents per share.
But they also got 238,095 warrants good for two years to purchase at 21 cents per share.
And then they got another 238,095 warrants good for two years to purchase at 31.5 cents per share.
952,380 total shares at about the 5 cent range that we are at today is about $50,000. (Hmmm, just about what I have invested in Globtel/Sanswire since 2003, I wish I had these terms!!)
Then Global Telesat also gets to, at "their sole discretion
, make up to two additional purchases, for $225,000 each, of 2,142,857 shares of common stock," AND "1,071,429 two-year warrants with an exercise strike of $0.21 per share, AND 1,071,429 two-year warrants with an exercise price of $0.315, on or before December 15, 2008 (which date may be extended by mutual written consent)."
So, Sanswire could get another half million from stock sales and what I don't understand is do they get any money from the sale of the 2mill warrants?
From this, Sanswire gets to "test" out ("for further testing and planning for a lighter than air (LTA) unmanned aerial vehicle (UAV) solution integrating technologies from all three of the companies.") some more. (How come we didn't know they were?).
BTW - why do they say 3 companies and not 4 ? Sanswire/Global Telesat/globalStar and TAO?
Hmmmmm, all this is puzzling. Looks like Sanswire is in need of funding, which we knew. Global Telestat invests little to get alot. Potentially poised to "buy out" or take over Sanswire if Sanswire/Tao technology can help them overcome some of GlobalStar's communication difficulties.
GlobeStar seems legit aside from their own early trials and tribulations. Does anyone know anything about "Thermo" the parent company?
Mide, can you or someone decipher this report in a more summarized and simplistic way (preferably without sarcasm for you pundits other than Mide, and you know who you are...)?
It looks like Sanswire gets $50,000 now to play with and
TAO gets $143,000 but both give up stock to get it. What does this all mean to an investor or potential investor?
Thanks.
ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On September 17, 2008, Sanswire Corp. (the “Company”) entered into a subscription agreement (the “Global Telestat Subscription Agreement”) with Global Telestat Corp. (“Global Telestat”). Pursuant to the Global Telestat Subscription Agreement, the Company issued and sold to Global Telestat, for a purchase price of $50,000, 476,190 shares of the Company’s common stock (the “Global Telestat Common Shares”), two-year warrants to purchase 238,095 shares of the Company’s common stock at an exercise price of $0.21 (the “Global Telestat $0.21 Warrants”), and two-year warrants to purchase 238,095 shares of the Company’s common stock at an exercise price of $0.315 (the “Global Telestat $0.315 Warrants”, and collectively with the Global Telestat $0.21 Warrants, the “Global Telestat Warrants”). The exercise price of the Global Telestat Warrants is subject to adjustment in the event of stock splits, stock dividends, and similar transactions, or if the Company issues equity securities at a price lower than the exercise price.

On October 10, 2008, the Company entered into a subscription agreement (the “TAO Subscription Agreement”, and collectively with the Global Telestat Subscription Agreement, the “Subscription Agreements”) with TAO MnD AG, a Swiss corporation (“TAO”). Pursuant to the TAO Subscription Agreement, the Company issued and sold to TAO, for a purchase price of €100,000 (approximately $143,838), 1,369,895 shares of the Company’s common stock (the “TAO Common Shares”), two-year warrants to purchase 684,947 shares of the Company’s common stock at an exercise price of $0.21 (the “TAO $0.21 Warrants”), and two-year warrants to purchase 684,948 shares of the Company’s common stock at an exercise price of $0.315 (the “TAO $0.315 Warrants”, and collectively with the TAO $0.21 Warrants, the “TAO Warrants”) (the TAO Warrants and the Global Telestat Warrants are referred to collectively as the “Warrants”). The exercise price of the TAO Warrants is subject to adjustment in the event of stock splits, stock dividends, and similar transactions, or if the Company issues equity securities at a price lower than the exercise price. Pursuant to the TAO Subscription Agreement, the purchase price from the issuance will be applied towards the continued funding of Sanswire-TAO, the Company’s joint venture with TAO Technologies GmbH, pursuant to the Company’s June 3, 2008 agreement.
--------------------------------------------------------------------------------
Pursuant to the TAO Subscription Agreement, the Company agreed to file a registration statement registering the TAO Common Shares and the shares of common stock underlying the TAO Warrants with the SEC as soon as possible once the Company is current with its financial statements.

The foregoing summaries of the Subscription Agreements and the Warrants are qualified by reference to the Subscription Agreements and the Warrants, copies of which are filed herewith as exhibits.
ITEM 3.02 UNREGISTERED SALES OF EQUITY SECURITIES
See Item 1.01.
Ya no kidding. Sure looks like a pump and dump.
Can anyone find out when the shares were sold?
Were they in chunks/blocks all at once or over
the time period from Oct. 2007 til July 2008?
9mil shares sold at .05 cents is $450,000.00
Maybe over 5yrs that's what it would cost for tennis lessons (Give me a break btw - ridiculous on all levels),
but surely you wouldn't need to sell all at once.
Common sense tells us that if the Chairman
believed in the company and that the value
would increase why would he not hold onto some.
This smells really bad imo.
Cole, well that is where I value your posts. Let's make sure they ARE doing it for shareholder's interest.
Have you contacted them and asked these questions or validated these accusations?
I don't want to be burned again and believe we shareholders
are entitled to know more about what is going on.
I would like to know from you and others as I don't seem to have the same access to the facts as others seems too.
I can only search the internet, email and call the company which I have done.
I will say this though...
They did trim some fat off the bones.
There are only 7 employees at present in Globetel to pay.
They said they were having a demo conference and outlined what the purpose was and what they would show; that apparently happened, on the correct dates. That is different!
They have not, IMO over the last several months, overly promoted themselves or the event, the activities or the results.
They have updated the websites and have kept investors current on the website with real content.
Ya but that actually makes sense to me Cole.
Put yourself in Kostro's/Leinwand/Beckman (yes Beckman, he's got to be key figure) position. What would you do after last years debacle. You have to create something from nothing (or less than nothing) (hey, there's a new name for the company or a product 'Phoenix Rising' you heard it here first folks!). They didn't go backrupt (yet), they are trying (at what, yes that is to be determined), stuck with some people that were loyal and not dipping into the cookie jar, removed or got rid of crooks etc.
Again, I ask you, what would you of done in those/these circumstances, imo they are doing the best thing for the shareholders. Remember this is investment with risk, we
are taught to do our Due diligence before investing.
Serious, I for one don't think Cole is grasping at straws.
He/she makes valid statements that brings everyone to task.
I am a shareholder and at this point 4yrs a long one.
There is NO doubt we've been burned in the past and I don't
want to be burned again and to do that we share holders need
to hold the company not Cole accountable and I feel that Cole's input is as valuable as the next person.
I hope someone at the company is reading this board and knows
that they are really going to be held accountable and posts negative or postive are welcome imo.
Happy fourth all.
That was great video, congratulations to sanswire-tao.
I hope there is more to come. It was a 3 day demo so I personnally would like to see all of the products shown or at least find out more of what went on.
Cole,
Please keep posting this information. As I mentioned it is important to find out as much as possible about Dr. Kroplin, Tao, and happenings in Germany.
Not that I agree with Cole's method's but he has some good points and also keeps things a little honest.
The thing I think he/she is missing is TAO. The university of Stuttgart has experience in Aviation and esp. HAA and that is where the products are coming from.
I think we all know that at this point Globetel is a basically a marketing company and the meat is in Germany. It's TAO and their people/products that are now important. We know Globetel/Sanswire has problems, nothing new there, the light was turned on and the bugs exposed and scattered.
Let's see and make sure the bugs aren't in Germany.
Also, I like the new approach. Straight forward news, nothing hiding, fancy, bold, overstated imo.
Good luck to all longs like myself.
I am planning on emailing R. Bleckman to find out and/or confirm who on the following list of people is still working with/for or affiliated with Globetel or Sanswire-Tao but wanted to ask first if anyone here can add any info or people to this list.
Peter Khoury
Tim Huff
Larry Lynch
Leigh Coleman
Steven King
Paul Taboada
Doug Murch
Mitchell A. Siegel Sr. VP
Jonathan D. Leinwand Chief Exec. Officer, Sec., Gen. Counsel
Robert Bleckman Director of Investor Relations
Alice H. Muntz Ph.D.Consultant
Vivian Manevich VP of Latin America Operations and Comptroller
There is now what seems to be a "bug" on camera two.
I did however see something in an earlier shot but it's not really easy to define like yesterday's so I won't upload.
BUT, if someone is in Germany, or can speak German, or can call Germany for cheap, try the panorama cafe and just ask what's floating out there!!! Here's there link...

SANSWIRE—TAO CORP. TO HOST AIRSHIP DEMONSTRATIONS FOR SELECTED INVITEES AND US GOVERNMENT OFFICIALS
STUTTGART, GERMANY — JUNE 23, 2008 — Sanswire—TAO Corp., the airship development and production joint venture owned by Sanswire Corp., subsidiary of GlobeTel Communications Corp. (Pink Sheets: GTEM), and TAO Technologies GmbH, today announced that it will demonstrate various airship models to selected invitees and members of various agencies of the United States government during a three-day series of meetings and demonstrations occurring in Stuttgart from June 25-28, 2008.
“The main objective is to illustrate the depth and position of the high altitude program specifically highlighting the concepts, tools, and team of scientists and engineers involved in Stuttgart. This three-day event is the purest way to show the technical potential of TAO airship platforms” stated Jonathan Leinwand President of Sanswire Corp.
“We have prepared a complete schedule of meetings and briefings as well as various live flight demonstrations to confirm our capabilities” stated Dr. Bernd Kröplin, Chairman of TAO Technologies GmbH. “Our knowledge of airship design and development is unique due to our segmented cell based theory and the accompanying systems all invented and prototyped in-house by our team. During this three day period, we will unveil our plan to successfully reach, operate and return from the stratosphere later this year.”
I figure my $50,000 investment in GTEM that I lost allows some fun posting.
If Globetel reverse splits again I'm going to be REALLY REALLY ANGRY. I got in at .28/.30/.32 right before the last spit before going onto AMEX. If this splits again then I'll have officially lost my $60k investment. Don't do it GTEM
Where's the beef GlobeTel!
I want pictures or video of this SAS-51 before I start believing again.
Signed,
Jilted.
Yes Joe is a scammer. Obvious from his prior companies and dealings as I tried to post a couple months ago and got nothing in response here.
My question is... if he was cookin the books to the tune of 5 to 1, wouldn't you know that as an executive?
I mean, if I had to pay employees and other overhead and try to run a business I would know when I looked in my wallet that I only had $100 when I was told I was supposed to have $500.
OR is that one of those things you turn a blind eye.
I suspect more and more is to come.
Most all of the people at the top running ADGI/GTE/GTEL/GTEM despicable IMO, it's just taken a long time to get out of denial that I lost thousands upon thousands of my money on something I believed in.
Is there an easy way to find out how much in taxes someone paid for a year or how much they took home?
Owl, my info about the salary comment was from ... Kelly Cramer article Feb 2007
But at least GlobeTel's executives haven't been left out in the cold.
Though the company has never turned a profit, GlobeTel pays big salaries and even bigger bonuses to its executives. In 2005, compensation for the top six executives totaled $12 million — an 85 percent increase from the year before, according to the class-action complaint and SEC filings:
Former CEO Timothy Huff earned a $300,000 bonus on top of his $200,000 salary, with stock options and other benefits totaling $2.5 million.
Lawrence Lynch, former chief operating officer at GlobeTel, filed plans to sell more than $1.6 million of GlobeTel stock when it was trading at record highs.
Executive Vice President Steven King, whom the SEC has disciplined in the past for "securities fraud violations," is the sole owner of Investor Source Group LLC, which in turn owns ISG Jet LLC. GlobeTel contracts with ISG Jet for travel services and has paid it with company stock — ISG has reported planned sales of more than $2.8 million.
Taboada, the analyst who had worked for Hornblower & Weeks, has been contracted by GlobeTel since 2005 via his company Charles Morgan Securities Inc. to consult and was paid in stock options. Last April, Taboada reported that he planned to sell that stock for $2.5 million.
Leigh Coleman, GlobeTel's former president and director, used an affiliate, Sky China Ltd., to make about $5 million by selling GlobeTel stock given to Sky China. Personally, Coleman reported he planned to sell $1.7 million of GlobeTel stock while it was trading at about $4.

Owl,
All good points and opinions.
Bottom line for after holding for 3+ years and losing $60k.
These guys did nothing. Have produced nothing and have walked with shareholders money. They are salesman who believe in what they are selling and are in denial that they are selling nothing but air. Look at the article by Kramer (or is it Cramer?) How many of these blokes involved at top levels of mgmt made 1mil$ or more in the last 4 years in salary or stock? NOTHING, NOTHING NOTHING has come out of anything from this company. I am not a basher I am an upset person who feels cheated and lied to and decieved by scoundrels. I would love for someone to take this company and make my stock worth something. There are so many loyal people here a take over would be great. These bums, will do this all over again somewhere else. Globetel is what they produce. Money for themselves at others expense. For shame on all of them. For 10% of what they had to work with I could of done (Accomplished) 10 times more. Where is superhub, magic money, strat, iligue and on and on? For shame on Joe, Jon, Huff, Khoury and the lot.
If I opened a cake shop and told you if you invest in me I will make the best cake ever, and for 4yrs I bought ingredients and mixed a few things, and changed the size and shape and color and still paid myself all that time to live higher than any of you investors and then said now I'm going to make tires and bought rubber and told you they were going to be special tires and I never made anything but I took an old tire out of the garbage and spray painted it black and told you it was my prototype and then I saw an ad for selling land in bali and I was selling the best land but I couldn't show it to you and then one day I told you I sold all the land at a loss but I had met a guy and he has this great new type of balloon and I bought all the balloon's he had but not really I gave him some stock for the ballons and then he told me he hated me and took his balloon blueprint (which I never saw) but he cashed in his stocks for a profit and really he was married to my wife's niece's cousin but that's ok and then I had nothing but a $1mil house and a boat and I lived in Florida where I am protected from the Gov. taking my house that I bought with my hard earned money for making cakes...how would you feel?
I know this message will get deleted but this is on topic in my opinion. Globetel has done nothing with my investment and yours. So many people spend so much time on this board I would rather YOU run MY company.
I'd still like to figure out how to get my hard earned and trusted $60,000.00 back from this company.
All ideas are welcome.
Mide,
Thank you for taking the time to post.
I have some questions, I realize you cannot answer them all/maybe none but on a subsequent visit if you could you ask them, thanks.
1. Does the BOD still consist of Przemyslaw L. Kostro, Peter Khoury and Jonathan Leinwand? If so, is this prudent?
2. Does this management feel they have the 'chops' and experience to manage and if not, when will they 'hire' proper, track proven individuals.
3. Why have none of the recent past (5 years) ventures panned out, and what measures are they putting in place to ensure success in future ventures?
In addition, how come NONE of these has survived to make a profit. Why would any new ventures be any different from...
i.e. Magic Money, VozBrasil/iLigue, No Mas Cables, Sky Dragon, Sanswire I, II and III, GlobeTel Wireless (aka Hotzone) this includes DECT - WLL - WiMax, StratVOIP, StratPhone, SuperHub, Centerline, GlobeTelX, Financial Software & Systems (P) Ltd (FSS) partnership, PLDT (US) Ltd., a wholly-owned subsidiary of the Philippine Long Distance Company (PLDT) partnership, Equitable Cards Network (ECN), GlobeTel Wireless subsidiary has installed a HotZone 4010-based wireless broadband network in Heilbronn, Germany to name a few.
All of which seemed to have been abandoned, dormant, 'sold' or left for a slow demise.
4. How come GlobeTel never SEEMED (it maybe they did) to have 'SIGNED a contract'? I can find many 'Agreed to sign' or 'Signed an agreement' or 'Signs letter of intent' or 'Signs formal agreement' but nothing seems concrete. How will this change going forward?
5. What ever happened to "The Company is also building HotZone networks in Kaiserslautern and Erfurt and expects to begin marketing them following full activation in Heilbronn." ?
6. When does the current management for see the company becoming profitable?
7. The Hotzone you mentioned sounds great! How can I get one?
8. Would the current management consider a buyout or true signed partnership with a reputable large company?
9. Will the current management improve on public relations, for example; post current information on their web site; promote products through alternative means (for example the www.mathewbest.com style/approach)?
10. Who's building the HotZone's now?
11. On September 6th 2006; it was filed that Beginning on September 6, 2006, Globetel Communications Corp. (the "Registrant") entered into subscription agreements with Hudson Bay Overseas Fund Ltd, Hudson Bay Fund LP, Nite Capital LP, Castle Creek Technology, Double U Master Funder, The Nutmeg Group and Brio Capital LP whereby these investors are purchasing a total $1,075,000 in 7% convertible notes, and were issued the Class A and Class B Warrants described below. The common shares underlying the notes and the warrants carry with them registration rights that obligate the Registrant to register such shares within 30 days , is this the type of new venture capital the company will seek?
12. With re: to above. Is it prudent to seek investment from a known MM such as NITE Capital LP? (Maybe someone else can answer that one thank you.)
13. Why did Dr. Alice H. Muntz, Ph.D leave the BOD after only 4months and is she still a consultant?
I realize some of these answers may have been posted before. If anyone has the answers I would appreciate a reply.
Again Mide, thank you for your time in posting.
Still holding...
Skyvision I agree. I've lost somewhere between $40k-$60k not to mention what could of been if ALL of these guys had not been lining their pockets. Unbelievable how they can sleep at night. How many ideas they came up with and we got nothing, none of it amounted to anything.
And the sick part is they are still fighting over OUR money as though they earned it and deserved it. What did they accomplish? Any of them? I don't see any success in anything they set out to do.
Selfish lowlifes who should be ashamed, embarassed and regretful but I see none of that.
I hope they all get what they deserve. I am glad it is all coming out into the open. I've spent so much time on this board it's disgusting.
Too bad about these sicko's. They really had some good ideas and could all be on easy street but obviously their biggest mistake was ego. None of them could manange, nor get out of the way to manage. That is my one DD faulter. I never looked at the managing skills or experience, scams or not.
Oh and BTW - I will gladly post my name and address if any of these guys want to send my money back.
Good luck to all the 'real' shareholders out there, I wish you well and good fortune.
Thanks Owl.....btw I was just asking about the periods...Thanks
Ok this is getting ridiculous. I feel like I post good info and questions and from SOME posters my purpose is questions.
Now I have to read this stuff. Moderator, please moderate.
As for Sands... I spoke with him via phone 2 weeks ago. He was more than happy to send me emails and copies of emails.
He hates Globetel, was employed as a PR person and was unpaid for some services.
He is an interesting character. I got the feeling he would be happy to talk to anyone.
Can anyone provide some details on Constantine Papadopoulos and Anthony J. Gouvia ?
Previous positions held, what companies involved in etc.
Thanks
Owl,
Just curious about the "......" in your posts.
I am wondering if it is computer related or post related or just your style of posting or some other meaning? Thanks
Mide,
I called a couple firms re: Class action suits and
in both cases they alluded that they were still going on but I DID NOT speak with any lawyers so you are probably right.
Schatz & Nobel (800) 797-5499
Glancy Binkow & Goldberg LLP (310) 201-9150
this being handled by Sarraf Gentile LLP.
Regards,
Mide,
My point is to provide information to this board, that is relative to this board, as I come across it in my research.
It is also my attempt to ignite other posters/readers of this board to post their relative findings re: GlobeTel and anyone associated (as in earned money from being an executive or on the BOD or employeed) with GlobeTel.
With this information I will then be able to determine whether or not to continue to (a) hold my shares (b) sell my shares (c) hold my shares and wait for the outcome of the class action suit (d) sell my shares and wait for the outcome of the class action suit (e) join the advocacy group (f) start my own investigation (g) seek legal counsel.
Based on the board header it was my understanding that all of this information is "on-topic".
I have no intent to 'bash' or 'pump' nor sway anyone associated with this board. I just want the facts, as many as I can get. I'm an angry investor at this point. The money I invested in good faith may/may not have been used in good faith. I have that right to try and find/figure out.
May I also ask the same question of you?
So can anyone tell from this document how much these 'guys' took home from GlobeTel in 2004/05?
http://sec.edgar-online.com/2006/06/09/0001144204-06-024236/Section23.asp
Boy there sure was alot of things going on 1-1/2 years ago with Globetel. Some locations seem very familiar. Where did all the money and business go? Look at all the things we were into and the money on hand... unbelievable that it's all gone.
