Solae raises price of soy ingredients

Solae has announced that it has raised the price of its soy ingredients globally by seven to nine percent, citing “general inflationary pressure and the current economic environment.”
The company said that there are several specific economic problems facing food manufacturers, including a global producer price index set to rise 4.7 percent in 2010 and predicted to rise at an average rate of 2.7 percent during 2011, meaning that the price of soybeans is likely to rise. In addition, the company said that the producer price index could rise by as much as eight to ten percent in some regions.
Solae’s CEO Torkel Rhenman said in a statement: “Solae is not immune to these economic pressures, and this new pricing is critical to our business and our ability to serve our customers. Solae continues to be in a great position to help customers through these challenges by providing innovative, economical solutions. We are committed to providing high quality, predictable soy ingredients while continuing to invest for future innovation to meet our customers’ needs.”
The company, which provides both genetically modified (GM) and non-GM soy ingredients, also said that continued improvements in biotechnology to boost soybean yields are impacting on its non-GM soy ingredients. As acreage devoted to non-GM soy decreases, price premiums necessarily increase, it said.
Solae said that although it has been able to absorb much of the current inflationary pressure, “price increases are unavoidable” considering current outlooks.
However, the company said earlier this year that interest in sustainable soy has boosted growth for the soybean industry, and it expects further interest in soy-based ingredients.
In terms of environmental impact, soy is thought to be a more carbon efficient protein than beef and dairy production, using less water and energy, for example. The company has said that soy can produce ten times more protein per acre than beef, and five times more than dairy.

The hearing on the Irgovel deal is set for 10AM December 7th. I suspect Z will exit BK shortly after. Short and Leo want their bonus.

HTDOG, yes we can't make absolute comparisons. But it is the same SEC and bankruptcy with creditors. By the way, the 1/13/11 meeting compares to my point 2 and 3. Also, the SEC and the company worked out SEC concerns and the company filed an amended PPOR and PDS the day before the hearing that incorporated the changes the SEC wanted. This could be done with QSGIQ as well, or it could go worse. Time will tell.
Time line of a comparable bankruptcy.
I just thought you guys might want to see how the real world works in BK with a current ongoing example. This is for your own information, do with it as you please.
1. NTRZQ had their PPPOR ready on June 29th.
2. The court date for approval was August 11th
3. The voting instructions went out on August 11th after approval
4. The ballots deadline was October 5th
5. The ballot report came out October 7th with 108 in favor and 5 objecting and 5 late.
6. Signed confirmation order October 28th.
7. Effective date of the POR November 30th.
8. NTRZQ probably will not exit BK before mid December, even though it is possible November 30th.
Total time is 5 months and the SEC nor anybody else did not object to anything. QSGIQ shareholder by the is 2010 example will have to wait at least 5 more months.

Short did say at the end of the POR PR that "We will exit BK by the end of the year" There was some wrangling to get the Herbal Science $1,500,000 off the BK and there is a December 10th date with the BK judge. Gnus posted on this this morning at yahoo. But, other things can happen in the meantime. I'd be afraid to trade this stock to pull back. Today was interesting like Friday. In the last 1/2 hour over 100,000 shares were traded. Somebody wants this stock.
A repeat post from after last Decembers shareholder meeting, I talked to two who were there and heard similar, but there could very well be some BS in this>>>>
I was told by people who were at the shareholder meeting themselves that there were peopel there from the Pharma side of the equation. They were told the upside here is beyond tremendous. From what I have learned some of the trials have been done, but BE decided to lavishly furnish a office building instead of paying for the trials. This is money that is owed so we can get the results. I don't know what the exact amount is, but I believe it to be in the six figures. I believe getting this and further info. on this front is a priority on Short's list. I know there is ton of interest in NYC from companies and institutions alike on this front alone.
Some of this has to do with Pharma drugs coming off patent exclusivity. If these companies can tweak their receipe by adding a NTRZ ingredient that changes the formula so to speak they can extend their exclusivity before it goes to generic. This is worth billions to them. I am not a biotech guy so don't quote me on this, but I know enough and I know who is looking. If Ntrz can prove to the world that they can add value on this front it's worth a TON of money to the bottom line. There are many potential applications and avenues to explore within this realm so it should be interesting. I know it is something that BE talked about, but never did anything with. Short,is doing something about it.

nsomniyak--Much more powerful stuff is rumored to be on the way. I don't know if it falls more under the pharma end. NTRZ had a study with aids patients in Israel, but they owe the university money. I believe a powerful Immune product comes out after bills are paid. I also heard through the grapevine that they have a product that compares to Vioxx, but it will be all natural and safe. That would be absolutely huge. Also, I have posted the insulin reduction patent. It can reduce insulin uptake by 50%. My neighbor pays $600 per month for his insulin. That is huge stuff.
But, none of the above can be put out because we owe Herbal Science who is making the products money. The Irgovel sale should give them their money. The new current products seem like aids and preventive products for relatively healthy people. What is coming is product for people with more advanced problems and those will be the money makers.

But, when the deal is closed they will get enough money that can be used to pay off Herbal Science. As to what happens after that is my speculation.

It is in many cereals now, but it is just a tiny ingredient in most, not jammed with SRB packed like the cracker is. They had a cookie at the IFT Food show this summer in August that a friend of mine was at. CEO Short was there talking to her and seemed proud of it and we hope it is going to be a new product. They also had hot dogs there with srb in them and some without for people to taste the difference. It was no contest that the hot dog with SRB tasted better.
I just added to my long term RJA holdings. I hope the support holds here at the 50 day moving average. Food prices will never go to zero.

Gnus, the form dude thinks it will be after December 10th now because they have to go to the BK judge to make sure they don't have to change the POR. No problem expected, just formality, I sure hope so anyway.
My take is that legal briefings in September had a lot of talk about "The Cure" I did not know what that meant. They got Herbal Science somehow removed as a creditor, so not they can pay them before anybody else. Other wise all creditors have to get an equal percentage at once. Now, the Irgovel deal mentions that cash from that can go to Herbal Science.
So, now the word "Cure" might mean that getting HS the $1.5 mil we owe them that then frees up many deals and new products lying in wait and maybe even a big pharma licensing deal with up front money or such. Then that money "Cures" our debts to the other creditors.
I don't know how long all that takes. Hopefully with in days of signing the deal after it's OK'd by the court on Dec 10th or whenever.

thinkingStone, I'm not the best DD guy, especially with the forms. I am maybe just a good assembler of DD and pumper and dreamer.Gnus_hound gets me a lot of posting material as well as that condoleezza, whoever she(he) is. Then I got 3 good science friends that give me many leads and other good DD posters. NTRZ message boards have some really high powered people in many walks of life related to NTRZ products in one way or another. For example we got a poster who is in the alternative medicine department of a hospital chain that is tied to one of the top 10 universities in the USA. The head of of Wolcott Farms posts about the product as he was involved in NTRZ in the early years as well as a poster who was involved in NTRZ's horsefeed in the early years. We get some of the best DD of any food stock, period, amen.
It is a little slow now, but NTRZ message boards have people with more scientific knowledge than many pharma boards. Some of the newbies would really appreciate the potential of this stock if they had been around for the last 4 years. The only thing wrong was a CEO that tried to expand too fast and fudged figures and he had some terrible judgment. SRB will sell itself, just wait for BK to end.
On Krispy Kreme, we need defatted bran from a stabilized rice bran oil plant before they can buy. The DFRB is too light and bulky to ship from Brazil to many countries KKD operates. I hope plans are in the works.

Irgovel News tonight

Well Z has a deal to sell 49% of Irgovel to that Brazil investment group. 38% immediately and another 11% over and by 2 years.
The transaction values Irgovel at just under $21 million.
$5 million does go to Z and the rest goes to Irgovel itself. That's $2.7 million now and $2.7 million later.
Z intend to spend $9 million upgrading Irgovel over 18 to 24 months. They claim this will significantly increase EBIDTA, begining after 24 months. This is from expanded capacity, significant cost savings and additional products (I assume DFRB sales). Funny is this sounds almost exactly like BE and LEO on the 11/08 CC. Literally saying the same thing.
Funding for expansion and improvements is expected from Brazilian National Development Bank.
There will also be structured provisions address a roll-up into a larger RB venture after 3 years, if one were to evolve. However this is tied to all kinds of provisions and even considers what Z's stock price is.
JS and Leo will be top officers and management of Irgovel. A management committee will be 3 from Z and 2 from partner. 2 votes can kick JS and Leo (or anybody else) out as management of Irgovel, to be replaced through an executive search firm process.
Also partner has veto power on any major issue.
Here is the upshot. Z claims this will all significantly increase sales and bottom line starting after 24 months. But it all requires execution and actual demand. The partner has been given liquidation preferences of 2 times their investment and then 50% participation. Default provisins exist if Z misteps on Irgovel in a material way in first 2 years and then if the fail to meet financial performance.
So JS and Leo have put Irgovel on the "pass line" and bet it all on RBO and DFRB. Outcome can be good, soso or Irgovel is completely gone to investment partners and Z has nothing.
For those of you that understand Venture Capital transactions, this is right up that path with similar liquidation preferences, future roll-up and registration rights, BOD representaion, etc.

Educate me more, but questions arise that don't always arise with BK stocks. My source is not saying the stock is dead, but that valuations of over $1.00 are questionable. The SEC does not often have disputes over disclosures>>>
On 11/16 there was a motion to push the 12/2 hearing back 30 days so QSGI and the SEC could resolve their concerns over the disclosures in the PDS and the PPOR. The SEC reviews every PPOR filed in a bankruptcy proceeding to determine if all material information investors and creditors need to know is presented. Since this is a reverse merger as well with “risk” outlined in the PDS, the SEC will certainly have a number of comments just like they would in a review of a Proxy Statement on a reverse merger. There is nothing out of the ordinary here but the requested delay is because the SEC and QSGI have not yet worked out the disclosures. Otherwise QSGI would have just filed an amended PDS and PPOR. This method was also done because it is more efficient, cheaper and quicker than the SEC filing objections and triggering even more delays. Unlike what is widely speculated on the IH MB (mainly by HDog), the SEC is not and can’t demand that QSGI get current on SEC filings. The current PDS states that QGSI intends to be current on SEC filings by 180 days after the effective date of the POR. This is still what everybody should expect until QGSI changes their forecast.
All the required process will occur on whatever new timelines are created by the Court. Provided the requested hearing occurs in early 2011, you should expect ballots due within 6 to 8 weeks, a hearing within 2 weeks of that and if all is approved and goes quickly, an effective date 2 to 3 weeks after that.
Why the request for a hearing on 11/23? That is because if the Court does not extend the deadline for filing objections past 11/25, the SEC will have to file objections instead of the proposed method to work through this. Simple legal stuff! The Court has to move that date or the SEC will file an objection.
And getting current is less an issue for these guys, other than the “E” part of things and possibly getting to the OTCBB. That’s because QSGI’s results for 2009 and 2010 don’t mean anything since this is just a shell now. These SEC will show KruseCom’s financials for the last 2 years but that doesn’t mean much either, they already disclosed revenue for 2010 will be about $5 million and 2011 revenue is projected at $8 million.

On 10/19 the Court issued an Order scheduling a hearing on the PDS and PPOR for 12/2 and setting an 11/25 deadline for objections to the proposed documents. The deadline of 11/25 is for objections to those documents or even motions to convert the plan to Chapter 7 liquidation at that time, if such an objection has been raised. The 12/2 hearing would then generally result in the final approval of a DS and POR to be mailed to all parties for their vote.
So, the PDS and POR have not been approved. Scary to me even if approved. I will study your source further. I don't trust anybody on a board, but the poster at Yahoo gave quoted facts.
Steep corrections like this seem associated with bull market, not bull. In bull markets they seem to give "The Boyz" time to unload with rounded tops. I will be adding to my long term holdings of RJA soon. Maybe it goes to the channel line ZERO drew or stops here at the 50 day MA.

Full scale plant evaluation clarification.
The information posted is from 2007/2008 when Henk had been testing SRB for only a year or so. It is not on oil plants, but rice mills. The product discussed is called "rice bran isolat" made from stage 1 in various grades.
Now, 3 years later and two years in darkness from lack of information PR's do to refiling and BK it is just a little jump to assume that the meat filler is now made from defatted rice bran oil(DRB) or the left overs from the oil extraction at rice bran oil plants. There is NO REASON for NTRZ to abandon stage 1 production and go to rice bran oil and DFB if it is not a better process with equal or better products than stage 1.
The whole problem we investors face is that we have had NO PRODUCT UPDATES from NTRZ since the CVC on November 7, 2008. There is a logical reason, that being that while in BK Short does not want to give competition clues as to what we are doing. NTRZ has delayed much, but the time has certainly given Z time to develop even more products that we don't know about.
So, my first post is technically incorrect, but the basic formant of foreign countries testing our DRB one has to speculate is going on. I have heard rumors of employees traveling to SE ASIA countries and China and on the BK filings, much money has been spent on travel.
If you use only public information, you won't do well in the market. The NTRZ chart says something is about to happen.

That right folks, NTRZ's stabilized rice bran oil system has been evaluated in oil plants in Europe, Philippines,and Thailand.
