Actually I have access to a research report (Reuters) through ym stock site that is as of 31 December 2008. I will look at it closely this weekend. It is full of all relevant financial information. It is hard to draw conclusions quickly.
These guys claimn that the reason for the delisting is to save money is bogus. Fact is, if they were concerned with saving money they would have approached it in other ways, like reducing SG&A. Real reason is so that they can do whatever they want, like a true "cult", and not have to report about it... not good.
why would they only be listed in the US? I knew they were Canaidan, and I wondered about it.
now there is some interesting feedback.... taking shares as payment = ... smart in my eyes. Paying large salaries, as per Raw's post... is unrelated. Maybe some issues with valuation... I don't like the chart... sometimes it is just not "right". I am considering "playing" this, if you know what I mean... just does not seem right.
what is up with this stock? The general market direction right now is UP, why did this thing tank again today? I always thought there was something wrong with this because of the strong downward momentum in the chart, although the financial profitability is good... is this thing a scam or something?

there is something aboutt he state of deleware which makes it different from all the other states froma legal perspective, and that is why there is alot of litigation there... but no, I should not suggest that they expect to be sued. I just can't rememebr what that legal idiosyncrisy is.

the 1M holder is not listed in your link.. interesting. your link ius more recent, hence probably accurate.
average investors can do lots of things with a stock like this. Several people on this board could dump their shares tomorrow and create a huge price drop. Likewise the institutional investor (some hedge fund) that holds 1M shares. .. why?
there are all kinds of rules about disclosure for insiders. I don't know them, but it would not be worth their time to play games like this. The person doing it would be some trader acting on behalf of some fund manager likely. Like maybe the hedge fund mentioned above.
It is not technically illegal, just unethical in some circles... the line gets very blurry on the trading floor.

that may be true. It would be called "painting the tape" I believe. It would not be the first time.
I look at this as the orders being exhausted at this price level. What would happen now is the price gets lowered to allow for more trades. That seems to fit the Money FLow Indicator/ Price correlation.
Good post, Late. Actually those are my thoughts exactly. I am a 15, 20 year software veteran and I always thought that the combination restaurant/ software model was the most interesting interesting. I am not sure why it did not work, probably the economics are not there. Ad you are right, when you start to break it down and sell components, it crumbles pretty quickly. Software is a messy business.. lots of concepts create careers then get broken down to nothing but crumbs.. You should have seen what Nortel envisioned before coming up with.. Voicemail.
I had not read this tripe. The spinoff changes everything. The new corporation is but a shell with no form as of yet. Certainly no capital structure and financial statements. It is certainly going to need financing, likely a new offering. What will the effect of that be on the spinoff shares? And the new corporation is in the State of Deleware... that is interesting. There is something about the court system there that causes most litigation to happen in the state of Deleware. I can't recall what it is.. but quite likely the uWink crew was half expecting to get sued.
btw... is the Netman group planning a class action?
No, the separated twins will have entirely different needs. The original twin did not work. Maybe one had a heart and the other did not. Well, now that they are separated the twin lacking a heart needs one. The other one does not need to support it's twin any more, but has a more boring life. Likely lacking sex organs of any kind. Can't reproduce.

I am not so enthralled with their product (which IMO is of dubious quality) because it is not what matters. There is lots of good product out there.

They need financing of some type at this point to pay their bills. Because they cannot get debt financing... they must either tap the markets again or go bust... and they are effectively going bust.
I may have bashed Mr Hernandez, but I prefer to think of it as making him think about what he was saying, helping those hapless investors reading his hype to consider what they were doing carefully (perhaps saving their $$), and improving the overall quality of his product.
I am not out to discredit him or heckle him and give credit where credit is due. His last piece was the best he has done yet, and coincidentally... was quite negative.
Your last statement is ridiculous. The new company is in fact splitting the old company into two clear pieces, and the piece with the best long-term future is the new company. Hence the original company is now just the restaurants, which in and of themselves hold little hope for any serious profitability for investors.

if you read Mr Hernandez' latest article, you will see such evidence as his statement that Mr. Wilkness, who is a huge cost factor, is transferring to the new company. Also, most of the R&D and development will likely go. The restaurants will become a shell company with almost no cost. Hence their ability to survive in some form.

duh buddy. they have packed it in.. this little odd-lot share offering is the back door exit for them. They are scurrying quietly away.. looking for more financing from sources unknown. The uWink restaurants/software vendor has been a failure..

baloney. "cash" means anything with a maturity of less than one year. So, without opening my textbooks, it means Working Capital. They had 1.2 M in ST Liabilities, which means they only had maybe 200k-300k of "cash". In practical terms, they were screwed.
Now that they are a shady Pink Sheet company that does not publish financial statements, I guess we really will not know, will we?

The uWink restaurants will still be there going forward. uWink the software/ restaurant company will not, correct that, has not survived.
The evidence lies in their recently published financial statements, where they are clearly out of "cash". Cash does not mean a bank account...
and they are not alive, in fact they are quite dead in the form that they were in. Even Mr Hernandez says that in his latest article. The uWink we loved and bashed is no more.

However, I find it interesting how you continue to find positives in what are half-truths or lies. Notably, how you continue to believe this statement:

This statement is and always has been false. The restaurant operations needs no more cash because it is going to run on a break-even basis, and most of the costs that have been in that cost structure are going to transfer to the new company. That inclues key personnel like Mr Wilkness.
The reason why they are forced to do this is precisely because they are effectively out of money with no more options.I find it interestign that you refuse to admit that. Moreover, this has been planned for some time...

What you are talkign about is the spin-off shares available to those that decide to hold. \that decision is one \i thnkfully do not have to make, so \i cannot try to make it for those that do hold shares. \fact is though, the spinoff shares only represent potenital future revenues of a fuzzy entity of unkown capital structure. \they are also restricted \9can't be traded\0.

\there is one major institutional shareholder left that has 1\m shares.. imagine what would hapen of they dumped it....
There is not really much point in holding this stock in the short term. Each shareholder will get a spin-off share in the new venture. \i was thinking that there must be some datye of record in order to be eligible for the spinof shares, but there does not appear to be. \the spinoff shares is where thepromise of any significant revenue is, but the shareholder has no idea what the financial picture of the new company will look like, since they could refinance at their hearts's content. Effects of dilution, etc, are unkinown.
I am surprised it is taking it;s time to get down to sub .05. \i think it is just the tradin gpattern with this stock. In looking at the chart and \money flow \indicator int he link proviede in my origianl message, it is following it's usual trading pattern of leaking money at a certain price level, then abrputly crashing.
\this may make a good value at some point in time, not for another year anyway. \the current shares only represent the revernue fromt he restaurants, which will never amount to anything. spinoff shares are restricted, future potential only.
