Effective December 5, 2014, High Performance Beverages Company (the "Company") filed a Certificate of Amendment to its Articles of Incorporation with the Secretary of State of the State of Nevada in order to effectuate a reverse stock split of the Company's issued and outstanding common stock, par value $0.001 per share on a one (1) for ten (10) basis (the "Reverse Stock Split").
Par Value Definition
“Par value” is also referred to as face value, par or nominal value of common stock. Par value refers to the value written on the face of the common stock certificate or in the corporation’s organization or operating documents. In the formation of a corporation and registration with the secretary of state, many states mandate that the founders issue stock with a specified par value.
Legal Liability of Par Value
The par value mandate creates a subsequent legal liability that the shareholders of this stock contribute, at a minimum, this face value of the stock in order to fund the company. If the shareholders don't do so and the corporation requires the funds, these shareholders would be liable for the difference between the actual issue price and the face value, if the issue price is less than the face value, essentially “under par.”
No Par Value
To avoid this potential liability, most large companies issue stock at no par value or at a par value of $0.01 or less. However, a number of smaller corporations who intend to have a limited number of shareholders issue stock at $1.00 par value. In either scenario, par value becomes little more than an accounting item that is tracked in the shareholder’s section of the balance sheet. The actual value, or the amount that the shareholders actually pay for the stock, is tracked separately in the same section as the “paid-in capital in excess of par.”
Par Value Importance
Par value is an important term for any small business owner or aspiring entrepreneur to understand prior to forming a corporation, issuing stock or pursuing investors. Although it is primarily a legal and accounting term, improper understanding could lead to difficult consequences. For example, a business issuing 1,000 shares stock at a par value of $10.00 creates an immediate on paper capitalization, or book value, of $10,000.
Example
If the business fails six months later and owes creditors $5,000, the creditors could review the accounting statements to ensure the business was fully capitalized. If the creditors notice that the assets never matched the supposed capitalization, the creditors could legally force the shareholders to contribute the full amount of the par value to recoup what the business owes them.
Reverse split! The better question would be why? What purpose does it serve except to take your money, then take your shares. .0009 before the reverse .009 after the reverse...what purpose does that serve? Glad SOMEONE brought that to everyones attention. Came close to jumping in ...glad i did not.
Well...just checking in...I see my original 52 million shares turned to 52000 in the first r/s and when flex took over they left me with just 6. Just incredible...sigh
No kidding. Did the claimed company even exist? What happened to the revenue and or assets? Did the company sell them...did they own them in the first place?
Of course it would a long time. Perhaps the s.e.c. is FINALLY wise-ing up to all these mmg and associated people/shells that do nothing but take peoples money. They move bs assets around via share exchanges, reverse mergers (many that just never happen despite selling shares into the hype(dilution))...then take their shares via reverse split after all the bs assets disappear. Sometimes they even try to look generous by giving you shares in the NEW company that usually are restricted and by the time you can trade em they are worthless because of dilution (again) and the public realizing things are not what they seem, claimed, or led people to believe. Thus making the shares worthless in both bs companies.
We can only hope...problem is...they didnt leave many crumbs behind...

The more likely explanation is a broker clearing his books because they had an odd amount from a buy or sell on them. Makes more sence doesnt it? The decline in price is due to more shares available on the market plus more sellers than buyers due to less than poor financials compounded by a lack of managements ability and/or commitment to promote their product.

While I may not speak for him...perhaps he feels compelled to tell it like it is instead of all the hurrah that sucks people into boarding the titanic. The raising of the A/S was a huge tell. The first launch was dismal at its very best IMO due to next to 0 advertising and frankly IMO the twitter B/S is no better. Furthermore, the (famed pinkyland) promised audited financials never materialized even though IKE repeatedly stated they would most assuredly be produced. Just another stinky pinky doing and saying anything to get the naive public to buy what they know (they are in charge) will eventually be worthless....

Good stock my rear end! Do some of that DD that was mentioned. What in the world was gathered from your DD that would bring you to that conclusion? CHNW/EFGO/MONA has never done anything ever that benefited the common shareholder. Dilution...reverse split...dilute again untill maxed...now nothing to do but another reverse just so they can stick another B/S "distressed" whatever into the shell. I held 50 mil shares of this when the ceo said we would end the year with "a hell of a bang". We (the board) were so exited! Unfortunately... the "hell of a bang" was our collective jaws hitting the floor due to a devastating 1:1000 reverse split. I have seen nothing yet that would even remotely change my opinion of this POS.
Furthermore...Goodlife supposedly had 1200 or so stores and 3 distribution centers...there was no news on the sale of those assets...in light of that i doubt that even biluga is even a part of glcc. Where are their financials? Last one was Aug 21, 2009

Last I heard we were supposed to see those about 1/15/2011...never mind the EOY stated earlyer. Anyone inquire or have an update? Great way to dump shares but is that legal to state something like that and then just hope people will forget about it when it doesn't happen? IMO this will test the .0012 range once again as there are twice as many shares in their greeedy hands to dilute. How about an update on the patent application?
