Capstone Companies Expands Eco-i-Lite International Presence in Latin America and Taiwan
DEERFIELD BEACH, FL, May 23, 2013 – Capstone Companies, Inc. (OTCQB: CAPC), a leader in the design and manufacture of specialty power failure lighting solutions and innovator of consumer safety and security products for the Hospitality, Retail and Institutional channels, announced today that it has received a significant Eco-i-Lite order from the Company’s Latin American distributor and is also increasing its product offerings through Warehouse Clubs in Mexico and Taiwan.
The four new models included in the distributor order for Latin America are the Eco-i-Lites Slimline 3LED Power Failure Light, 5LED Power Failure Light, 10LED Power Failure Light, and Rechargeable LED Headlight. These additional models will be made available across Latin America in early July 2013.
“Following a soft Latin American economy, this order, which will be available at many retailers, signifies a regional resurgence and represents a significant step toward making the Eco-i-Lite a mainstream household product in this region,” stated Reid Goldstein, President of Capstone Industries.
The company also announced orders from Warehouse Clubs serving Mexico and Taiwan for its 4-function LED Light, which has a 10LED Power Failure Light/Flashlight and a 6LED Night light/Work light feature. These products are scheduled to be shipped in the second quarter of 2013.
“Clearly, our power failure lighting solutions, such as the Eco-i-Lite product line, are gaining international acceptance and becoming more and more widely accepted throughout the world,” concluded Mr. Goldstein.

On January 15, 2013, the Company entered into an agreement with AC Kinetics, Inc. to purchase 100 shares of AC Kinetics Series A Preferred Stock for $500,000. These shares carry a liquidation preference in the amount of $500,000, are convertible at the companies demand into 3% of the outstanding shares of AC Kinetics common stock and have anti-dilution protection.
In addition, the Company and AC Kinetics have agreed to cooperate in the development and commercialization of consumer and industrial products to be solely owned by the Company. AC Kinetics will be the Company’s advanced product developer. AC Kinetics will notify the appropriate technology departments at Massachusetts Institute of Technology (“MIT”) of the Company’s ability and desire to commercialize consumer and industrial products developed in the MIT incubator departments.
The Company and AC Kinetics also entered into a royalty agreement whereby, the Company will receive a 7% Royalty on any licensing revenues received by AC Kinetics for products sold by them. This royalty agreement will terminate upon receipt by the Company of royalties of $500,000.

Dell, Suppliers Told to Pay Convolve $5.4 Million in Patent Case

Dell Inc. (DELL), the world’s second- largest personal computer maker, and two suppliers were told to pay $5.4 million to closely held Convolve Inc. after a jury found they infringed a patent related to hard-disk drives.

Cash used for investing activities for the three months ended March 31, 2013 and 2012 was approximately ($506,000) and ($2,400) respectively. Cash used in investing activities is primarily for capital expenditures to expand design and production capacity. In this quarter, the Company directors loaned the Company $500,000 to invest in AC Kinetics, a technology based company that will support the Company’s need to develop innovative products. AC Kinetics’ team of scientists and engineer MIT PhD's, have invented and commercialized electro- mechanical breakthroughs for over 30 years. Stewart Wallach: Commissioned would mean that we were paying them for the services, that we were engaged with AC Kinetics in the last quarter. I would say that there are going to be a couple of phases to the AC Kinetics relationship.
First and foremost, I reached out to them. I know the principals of AC Kinetics from prior business experience with them, more than 20 years. They are a very capable, very bright team of engineers, all MIT people that recognized something in our Company that they felt and we felt could be very complementary. That is that we basically take something from cradle to grave. We take it from concept, we develop the product, we build the product, source the product, and distribute the product, and that was something that was really of interest to them as they wanted to get more involved with monetizing and commercializing some of their concepts.
But, starting the relationship, we assigned a project to them as I mentioned earlier, that we could not get completed. It was a concept that I came up with, but we could not get it engineered and designed to work with the engineering team in China. China has some limitations as it relates to product development. I guess, to be politically correct, they're better at re-engineering or reverse engineering than they are at really creating. So, we reached out to the team at AC Kinetics and I expect very shortly to have some announcements.
We are also in talks, which we're not going to discuss today, and are increasing our involvement with that company and I think you will all be pleasantly surprised. I welcome you and I urge you to take a look at the ackinetics.com website to see the type of people and the talent we're dealing with, and also some of their own corporate initiatives as it relates to motor control technology; it’s very exciting stuff.

I haven't posted in ages, maybe a couple of years, but I follow along. I have millions of illiquid chdt as well and received the same stuff.
I got the same form, "written consent of shareholders in lieu of a shareholders meeting pursuant to section 607.704 of the Florida Statutes.
That account they say I have 2.1543 million shares and they request "consent in lieu of shareholder action at a meeting of the holders of the common stock."
I didn't understand why it would be in my interest to do so either.

Mr. Ullman: CHDT Corp. is a holding company that actively manages our operating subsidiaries. We're a holding company that provides services, like human resources, financial services, accounting, legal services and marketing. Right now we have one subsidiary, which is called Capstone Industries. We bought Capstone Industries in 2006; they manufacture consumer products overseas and mostly sell to most of the major retailers in the U.S. We also sell to some distributors in South America. The products across most channels of distribution were in mass drug, grocery, catalogs, online retailers, warehouse clubs, office supply and numerous specialty retailers. The company has gone through a number of changes in the past 10 years. I came on board in 2001, and we were just a shell from 2001 to 2003. And then in 2003 I sold one of my companies into the shell, which was a China trading company. We ran that business for about three years, and then we saw Capstone Industries. And what interested us about acquiring Capstone is that they had all these valuable vendor members with most of the major retailers, and at that time, they were a very niche business selling book lights - that's all they were doing. They were doing about $1 million, $1.2 million in sales, so we bought them in 2006. Of course, the assumption was with all those vendor numbers, all we have to do is create more products and that will increase our revenue. So that has happened. In 2006 we did about $1.2 million, and now this year we're up to $6.5 million, $7 million in revenue. And it's been a nice ramp up from $1.2 million to $2.8 million to $6 million. So we've been growing organically, not through acquisition, by just creating new products.
