Even registered “tradable” CVRs are often extremely illiquid because their value is so highly speculative. CVR holders have little legal protection because it is unclear what, if any, enforcement mechanism is available should CVR covenants be breached – short of expensive and protracted individual litigation.
Ffs...my research shows that cvrs can only be held by the original receipient. And tho they can’t be traded, they are similar to options because of expiration dates. But I didn’t find anything about whether disposing the acquirers stock would negate the cvr....
CVRs can transfer much of the risk normally borne by acquirers to the shareholders in the target corporation. Instead of offering more for the target and bearing downside risk, the acquirer can use less cash or stock, and effectively defer part of the purchase price to a later date, or, indefinitely. After all, CVRs are only payable upon the occurrence of some milestone event by a future date. If the milestone is never reached, or is reached, but too late, the acquirer pays nothing.
When people are referring to a “complicated deal”...I wonder what the milestones would look like with dates so as to not make it too risky for the cvr holder.

You are referring to “transfer in kind” You should talk to a TD ameritrade advisor. Shouldn’t be a problem. In my case, I had a fidelity 401k which I did a transfer to a rollover ira so I had more oppty to trade stocks rather than mutual funds.

Yep...still playing at 67. Unfortunately I’m forced to play in over 40 league as that’s the highest age group in little ol Tulsa. National tournaments I play in over 65 :): just had first knee replacement in sept, now lookin at second in feb. matter of fact I was so worried about Amarin in September making the r-it results known while I was in surgery and good luck...my surgery was a week before 9/24! It’s possible my joint pain in shoulders and elbows would be worse without taking V...but the DES...no improvement for me. Sux getting old but it beats the alternative lol. Somehow though these aches and pains would go away wi5 a BO of 45-100! Temporarily anyways...
Sts...not saying des or anti inflammation properties won’t work for others, just saying it didn’t work for me in those departments. I’m 67 and still playing soccer, joint t pain comes with the territory. I have found that turmeric helps quite a bit for joint pain. I will never stop taking V if I can help it...I do believe in it. I have convinced others to use it as well. Seems for a number of years every time I come out of the ophthalmologists office, I have a new sample of des product...heck I remember one that made me laugh cause it was an omega 3 soft gel...and im thinking, heck I’m already taking V what do I need this for?
Ferret...let me say first of all that i would love to get 200-300 pps buyout. But as some of have come to recognize, im a realist and maybe even pragmatist because of being burned by unrealistic projections and a panacea of promises of the worlds greatest drug, aka the miracle drug with other biotechs. Now im hearing the same thing with V. I complained a few months ago that without an FDA expanded label, we would be hobbled, only to be met with resistance on this msg board that off label was not a problem, and insurance coverage not a problem because of nnt value? Now JT comes out and says same thing and everyone is like oh yeah JT is right. How many drugs have had the promise of billions in revs...and fizzled because of competition, fda, etc etc. So do i believe in V? Absolutely. Have i invested heavily? Absolutely. Do i believe its a wonder drug? Nope...not till i see substantial scripts. Do i believe in a 75b to 150b bo? Hell no. Some people profess to care more about getting the drug to the masses quickly and not so much about pps, yet they wont consider an offer below $200 pps? Give me a break lol.
