Well if you believe in the short run the market can be irrational, here's your perfect example. The market cap here is so crazy low it's hard to believe. the lab business alone is worth the market cap, throw in everything else cooking and this thing will fly with one piece of positive news.
Love your in depth analysis and the fact that you back up your thoughts with real DD and real #'s.
I've been very tempted to buy here in the mid $50's and hold for a year, but I have a sneaking suspicion we'll see this in the mid $40's before all is said and done. I'll prob start buying once we crack $50 and do it in increments on the way down.

Each deal is different, so that's possible...but the company can't deny the converters request.
In a vacuum/perfect world you are right. But right now cash is king and he needs it for inventory.
Let's say he used the company's cash to buy back the notes, great. But then what happens when he has to rebuild inventories with no money? He'd have to go take toxic funding somewhere and start the whole process over. he also knows that he'll be able to buy back cheap share b/c of the conversions.
I keep seeing very high 'fat finger' trades for last few days...I think the market is telling us that this is heading back to copper in the next couple of weeks.
Ask yourself this...these converters are old SPLI notes where these guys have had to sit on them b/c of time limits. Why would an old note holder whose had money locked up for a period of time work with the company? Why would they care? They want to make their money back.
Now, Hanover on the other hand will work with VPOR to refinance/extend their note.

oil is going sub $40 so I wouldn't call them 'smart'; I'd call them early.
I think oil ultimately bottoms in the mid $30's before rebounding and spending most of 2015 in the mid to upper $50's.
I'll become a big buyer of REX once I see oil under $40.

agree 100% with what you said, however we have to assume the PIPE financier believes it will be accretive, otherwise they wouldn't have done the deal.
It's essentially impossible to hit a home run on the OTC just by holding...establish you're core position and trade around it, that's how you make real $$$.

I also agree with this statement...look, it isn't easy creating/running a company. OVer 95% of new businesses fail. So, just b/c he's had past companies fail doesn't make him a crook necessarily (he might be, but you can't call someone a crook b/c a business failed). Most entrepreneurs fail many times before they actually make it...maybe he's found his footing or maybe he fell ass backwards into a real business at the right time...who knows??
Agree 100% and at the end of the day getting a 1,000 deals is meaningless if they don't make $$$ of the deals.
In the meantime, play the swings around a core position if you believe the company is going in the right direction.
Look, I'm not trying to get in a pissing match with you but you are not correct here. Every major retailer uses distributors for various reasons, liability being one.
Now this 'distributor' may go to mom/pop shops, but what do you think BP, Exxon, Chevron gas stations are? How about 7-11's? They are franchised businesses and most are owned by 'mom/pop' operators...that doesn't make it bad or worth less. In addition, most deals have NDA's so I'm not worried about that aspect. WOuld it be nice to know? Sure, but not surprised we don't.
I'd like to know if the deal is just for the vaporizer or liquids as well. Did the PR say?

You clearly don't know how retail deals work...let me explain.
No chain puts a new product in all of its stores at once, ever. Shelf/floor space is valuable. Every chain does a test run first, whether it's 1% of stores or 5% of stores is irrelevant. If the test goes well they will reorder and up the percent of stores the product goes into. If that step goes well the % increases and so and so forth.
If a 2nd distribution deal gets announced in the next few weeks with a new distributor for a different area, you can bet the test is going well. These next few weeks will be key.

It also sounds like their web site(s) are getting enough traffic (unique visitors) that they are going to try and monetize that traffic (just my uneducated guess).

I'm sure it was...I don't think we can get close to that again with the current share count, but I suppose anything is possible.
Now if we can get to a $20-$25M annual revenue rate then all bets are off the table and this thing could go nuts. That's why I'd really like to see i) how much debt is gone and 2) more details on the distribution deal (which I doubt we'll ever see).
We're starting from a very depressed SP; now I'm not saying we hold that level, but I'm expecting a strong move.

He's essentially trying to create an MJ REIT (not saying he'll try to get it classified that way), but that's essentially his end goal.
Acquire MJ zoned land and water rights. Sign up producers with licenses, build the buildings and collect rents. Great idea, now he needs to execute.
