Joe, having been thru the same with my mother, I can appreciate your anxiety and concern. I should warn you that there will be much swelling and discoloration from the surgery, so when you first see her in recovery it may be a considerable shock, particularly if skin grafts are required as it was with my mother. On the upside, my mother recovered fully, tho somewhat disfigured, and leads a very good life, at 81. My very best wishes for you both.

If there is an LP formed to share equity, it will be between the corp entities (as Partners), not the common shareholders of the corps. The net income (or loss) would then accrue to the corp partners. The reason for doing this is to allow PXD or some other corp to buy an equity interest in specific assets of ERHE. These assets would be contributed to the partnership, and PXD would contribute an equal amount of cash, or some other amount, depending on the % ownership. ERHE and PXD would accrue the earnings of the partnership based on their % contribution (or other contractually agreed %). This is a very common type of organization in real estate, mineral deals, etc.

Agreed Balance, NITE is more relentless today than usual, if that's possible. There have been 5 or 6 mm's on the bid all day, somtimes one or another jumping up right against NITE's ask, and he won't budge one bit, even when, in one case, we traded above the ask.
If this were Nascar, he would be getting the "bumper horn" treatment long ago.

Deepwater Energy Exploration Expands
A record number of drilling rigs are currently working in ultra-deepwater in the Gulf of Mexico. “For the first time, 12 rigs are drilling for oil and gas in 5,000 feet of water or greater in the Gulf,” MMS Director Johnnie Burton announced today. “This is a very important milestone which demonstrates how industry continues to focus on new frontiers.”
Deepwater oil and gas development in the Gulf continues to be the work horse of U.S. domestic oil and gas production. “The U.S. is now in its ninth year of sustained expansion of domestic oil and gas development in the deepwater area of the Gulf of Mexico, and it shows no sign of diminishment,” Burton said. “The resource potential for the nation continues to grow with each new discovery in ultra-deepwater.”
Deepwater oil production rose 535 percent between 1995 and 2002. Deepwater gas production rose 620 percent over those same years. Production of oil from the Gulf now accounts for more than 30 percent of all U.S. production; for gas it is 23 percent. “This domestic production helps keep our economy moving forward and provides necessary fuel for our homes, farms, factories, and offices,” said Burton.
Industry has made several announcements of new oil and gas discoveries over the last three years. Most notably, there were five announced discoveries in 5,000 ft of water or greater in 2001, three in 2002, and six in 2003. The Minerals Management Service is the federal agency in the U.S. Department of the Interior that manages the nation’s oil, natural gas, and other mineral resources on the Outer Continental Shelf in Federal offshore waters. The agency also collects, accounts for, and disburses mineral revenues from Federal and American Indian lands. MMS disbursed more than $8 billion in FY 2003 and more than $135 billion since the agency was created in 1982. Nearly $1 billion from those revenues go into the Land and Water Conservation Fund annually for the acquisition and development of state and Federal park and recreation lands.

DALLAS--(BUSINESS WIRE)--Sept. 30, 2005--Pioneer Natural Resources Company (NYSE:PXD) today announced the closing of a $1.5 billion five-year unsecured revolving senior credit facility, replacing its existing $400 million and $700 million unsecured facilities that were scheduled to mature in September of 2005 and December of 2008, respectively. The credit facility has terms consistent with investment grade rated companies, and will be utilized to refinance Pioneer's existing credit facilities and for ongoing working capital and general corporate purposes.
A banking syndicate Co-Arranged by J.P. Morgan Securities Inc. and Wachovia Capital Markets, LLC will finance the credit facility. Other agent titled roles include JPMorgan Chase Bank, N.A. as Administrative Agent, Wachovia Bank, National Association as Syndication Agent, and Bank of America, N.A., Deutsche Bank Securities Inc. and Wells Fargo Bank, National Association as Co-Documentation Agents. The facility was significantly oversubscribed and was syndicated to 26 banks.
