What's OAO & ZAO?? they have already transited to international financial standards, IFRS which is accepted in Europe and not yet in the US but nonetheless could IPO on the Pinksheets. December 2012 will be their 2nd year of financials in IFRS format which means they are ready to be listed. Listing in the US will be a great deal of benefit to Alrosa.
I think Alrosa will IPO in 1Q 2013...if they reverse butt into GBDX that would be fantastic....Alrosa already trades on the Russian stock exchange...7.4Billion OS! The estimated per share dollar value is $1.67.
O.K. if they are going to disgorge $52Million from M&M, SHs will make sure that it goes into SPNG's bank account!
So who were the operators of the Bank Account....was it Metter with a $100 fine or Moskowitz who got slapped on the wrist and whose sentencing date is yet to be fixed? Were these monies used to buy up shares of SPNG, like in Silverman's claim that Frank Lazuskas used millions to buy back shares and entered into a settlement with the Insurance company for $490K? Why are there no revelation by the SEC??

A single brokerage firm, NevWest Securities, utilizing clearing firm Computer Clearing Services (now owned by Penson Worldwide, Inc.) helped John Edwards trade over 250 billion shares of CMKX stock totaling over $53 million. Almost two years after the fact, the NASD (now FINRA) charged NevWest with "failing to file Suspicious Activity Reports (‘SAR’), or cease trading in multiple accounts owned and controlled" by Edwards. In the 28-page complaint, the NASD also charged NevWest with failing to “adequately perform due diligence, file SARs, or cease effecting wire transfers involving $43 million through 139 separate wires from at least 28 of the accounts John Edwards had opened at NevWest to various bank accountsâ€. In what has become the norm in securities fraud cases, NevWest received little more than a slap on the wrist for their part in the scam, eventually paying a token fine of just $100,000 “without admitting or denying the allegations of the Complaint".
More troubling still are the phone records from NevWest, which show that they contacted the SEC each time Edwards came in with CMKX certs to sell, many of which were clearly forged and fraudulent, some even "signed" by an individual who had been deceased for months. Instead of taking action to halt the obvious fraud against innocent shareholders, the SEC and NASD (FINRA) ignored the evidence and dozens of other red flags, allowing the scheme to continue unabated, costing unsuspecting buyers of CMKX stock hundreds of millions of dollars.
In another series of violations ignored by federal regulators, on May 6, 2005, clearing firm Jefferies and Co. sent a letter to both the NASD (FINRA) and the SEC admitting they had traded 111 billion shares of CMKX outside the system, or "ex-clearing". Jefferies said that they made a "business and operational risk decision to allow a limited number of broker-dealer customers" who were long sellers of CMKX to settle trades outside the clearing system. In the month of July, 2005 alone, Jefferies did 80 transactions involving CMKX through ex-clearing. Shortly afterwards, Jefferies and Co. announced record revenues and earnings for the quarter ending September, 2005. The NASD, then under the leadership of Mary Shapiro, waited a full year after receiving the letter to charge broker NevWest with trading violations, and never filed a single charge against Jefferies or any other broker.

RD..FYI...Allan uses a tool which automatically maps the key points of the Elliot waves. The tool is called Advancedget....I don't think it is very accurate as it is formula driven!
I feel the price should come down to 89 or below so that the general retail investors have the same advantage as Aspire..i.e of course if the markets are transparent and the SEC ensures that it is a level playing field for everyone!
That was one of the reasons for raising the floor price issue....if the company is confident that the best is yet to come and Aspire feels the same, why not raise the floor price to 50 cents.....25 cents seems to be a bit too low for investors dreams and aspirations.
loanranger, I'll admit that the purchase agreement in VWAP section is convoluted i.e not straight forward and easy to understand. Also, another concern that I have is that the company can issue purchase notices as long as the share price is above 25 cents.....I am not sure, why mention the floor price when the company is the one that decides when to issue a purchase notice. However, having said this, I feel the purchase agreement was written up with the anticipation of good news....I mean real stuff!
Dude, the DOJ cannot do much when the SEC is saying the evidence they have cannot be used in the trial. If it did then it would mean impudence, bicameral judiciary....keep in mind that Judge Dora presides over both the cases, Civil and Criminal. Kapitch.

Former Spongetech CEO Michael Metter will get a slap on the wrist after prosecutors made a major misstep in their case against the penny-stock pump-and-dump scheme.
Under a plea deal announced yesterday, Metter will pay a puny $100 fine and be recommended for probation after admitting to one count of lying to regulators about some $250,000 he received from the sale of Spongetech stock between 2007 and 2009.
Metter caught a big break last year when a federal judge suppressed e-mails and other evidence after the government sat on it for 15 months without declaring which documents fell within the scope of the search warrant.

Metter is the last defendant to plead guilty in the case, in which prosecutors accused execs of fabricating the amount of sales and customers to pump up the stock’s price before dumping shares on unsuspecting investors.
“We are very pleased that all of those charges that were filed against Michael are finally going to be dismissed,” his lawyer, Maranda Fritz, told The Post.

Here's something that startups do.........get paid $100K as long as there is no revenue.....make it $350K once revenue begins...I think that is reasonable.
One of the reasons Phase II & III trial failure increase is due to the fact that the sample size increases, the sample size in phase III being the largest and usually phase III studies are sometimes longitudinal too! Increase in sample size means that the statistical inferences are more reliable.

I think 'exigent' refers to Metter's difficult/demanding situation...one of the reasons being is that he is no longer working at BTR and no salary...I presume!
