Mid June is a reasonable assumption. In the meantime I don't think anyone should be afraid of entering at these prices. The idea that this won't get back to a penny after all the prs are out is laughable. Good luck to everyone.
Yes I think commons were placeholders. I assume the 2.7B were assigned to the same people that are among the 84 that will be getting preferds. If they get the commons converted to preferred next week I think that they will have their share structure in place. That's likely when we will see the shareholder letter. We shall see, maybe we're wrong and they are just going to hand out 50 bajillion shares to every cousin they have but that wouldn't make alot of sense.
Just remember, all of their shares, common and preferred are locked up for some duration of time 6 months to 1.5 years. Therefore whatever they do is going to make sense to raise the pps not destroy it. All of these people who say that they don't care about us because we aren't legacy investors need to take a step back and think about it. What about the 8-k to clarify the form 4 confusion weeks ago. What about the attempts to prop up the PPS after the dilution started? These guys know that if they lose us they will be looking at a worthless share price and they will no longer be able to use shares for cash influxes. We do matter to them if they want their shares to be worth anything. If you don't believe that then you don't believe in greed.
Retiring shares?
Did anyone notice that William Maher got the exact same number of shares in preferred C and preferred E that he has in common stock? To me this is suggestive that they really might be retiring the common stock shares. I know that the other folks got more preferred shares than they had in common but this is at least a sign in my opinion. Anyone have thoughts?

No we do not know the nature of the agreement APT has with Kailong. Anyone who claims to is just speculating. There is obviously some sort of relationship there but we won't know what until we get more answers.
Yep reducing the O/S common shares is key after this dilution. Retiring their common shares would send a strong signal to the market. If they do this I wouldn't worry about them dumping preferreds later. Yes I'm sure they will want to enjoy some fruits of their labor a year and a half from now when the dust has settled. But if they are clever enough to wipe their common shares now to improve investor sentiment and kick off the PPS rise, they would never be foolish enough to cede control of the company by dumping preferreds later.
Yes we saw convertible notes issued again but keep in mind guys this is their chance to get what they can, once the ticker symbol and fins are out all eyes will be on them and I think you will see a very different modus operandi.
We are in during the tumultuous phase where everything is getting straightened out and information is flowing slowly. Some people like Dianne argue for more caution and a wait and see approach (I think that is her point anyway). Hopefully everyone realizes what the path they choose means. The early movers may see much larger returns if APT turns out to be a well run company, however the wait and seers have much less at risk. That's just the way it is. If we had all the answers then there would be no opportunity for gain as the market would have already priced APT accordingly.
Agreed, unfortunately there are still some more form 4's to be issued based on their request for 22M preferreds. So we need to see the rest of those filed before we will get our answers it looks like. However, once they have them filed for all of the directors and management they could retire the common shares at that point. I think we're still waiting on Douglass Pritt and maybe one or two others though.
You misinterpreted a couple of things.
There are not 500M preferred shares issued there are 500M preferred shares than CAN be issued. Much like the 20B that CAN be issued in common stock. You are also viewing the outstanding preferred shares as a limiting factor to reducing the authorized common shares. That is not the case, they can still reduce the A/S on the common side and it would just mean that they have no intention to convert all of their preferreds. Preferreds are held for voting control not to dump on the market. That being said I am in complete agreement with you that the transparency needs to begin soon. We have done enough speculating and postulating for one lifetime now. Hang in there, we'll get some answers soon.
I agree with CD
If their goal is to issue preferred shares which are locked for a year or more and then retire the common shares they currently hold it is a master stroke. It would make sense that they have to issue the preferred shares before retiring common since they need to maintain voting control of the company. Doing this would demonstrate their commitment to raising the share price as we would lose up to 2.7B in common shares. It would lock them out for a year or more guaranteed and tie their shares directly to their voting rights making it unlikely they would convert and sell many.
It hasn't happened yet and I'm not saying it's going to but if they retire common shares following this issue of preferreds then I am blown away.

Don't they hold the liens against APT to ensure that they fulfill their job growth obligations which earned them the tax credits in the first place.

Kailong is mostly a real estate investment company
They may have been the "other" investors who helped APT obtain their building. Perhaps the issue of shares gives APT complete ownership of the building and its equity.

I believe you are misinterpreting the statement. It seems to read that Us bank bought 3M in tax credits and that money was given to apt towards the purchase of their building. Apt was also given a two million tax credit. These were to stimulate job growth in the area as part of apts plan to hire 250 new workers.
What happened to your enthusiasm? Don't let a temporary price fall blind you. You have done the dd here and I remember how excited you were to state your support for them. It gave me even more confidence as I have seen you bash many boards before. These guys are a real company. Do they have debt? Absolutely. Does the dilution suck right now? It's the worst. But you know where these guys are going. If their products are even half as good as their reviews suggest the potential is impressive. Smart carb is just beginning to scratch it's potential and if the sonic flow does what it suggests it will be revolutionary. Trust your dd don't let emotions take over as we see red weeks. Know what you're holding.
How does outsourcing to china lower your margins further? You outsource because it improves margins. How is this a low margin product? It's a lump of metal they are selling for 400 bucks all the costs were in design, patents, testing and initial marketing. Those costs are gone now the product is ready to go.

If the smartcarb is a red herring why are there literally countless message boards raving about it? Why did husqvarna put it in their products less than a year after they started selling it. Why are they winning races left and right with sponsored riders using their products. Why are they back ordered for months?
Companies go public to raise capital or pay down debt.
In this case the company has a large pile of cash that they were not allowed to touch due to a debt agreement. Rather than raise capital they just needed to pay off existing debts and then they already have their money pile waiting. We know taxes aren't an issue with the nearly 5M in credits they now have. I personally believe that at this point they have 3M or so on their building loan mortgage and not much else. If the rate on the building loan is low enough then there's no reason to pay it off quickly. Same reason we invest instead of throwing all our money at our mortgages.

Just track the vwap and multiply it by the volume. Much easier.
She points to Bork too as still in their calculation period. Nobody likes Bork apt is the number one or two read stock board on ihub. We are already over 30% of the st through. Bork wasn't required to issue additional shares for almost 7 months after the first issuance. Apt will be done with this by mid June which is about 5 months quicker than when bork had to issue more shares.
Dianne's Claim
What Dianne is saying in a condensed sense is that 9.9% is only the cap at any one time. If iron sells shares they can get a refill anytime they want to replinish those shares. Here's why she is wrong.
If that were true we would already be at .00000001. Iron ridge would have no reason to ever stop selling shares because they could sell and sell and get refills forever and make infinity money. That has obviously not happened and would never be a deal somebody would agree to so lets ask what might be the real case.
The filing says that iron ridge can request additional shares during the calculation period it does not say that apt has to issue them. In addition this is just the abbreviated description of the legal agreement that is in place. The wording is just the cliffs notes version to make us aware that this agreement exists.
So lets see what we know for a fact. $16m worth of shares and 1.6B shares roughly have been traded since the calculation period began. We are well on our way to finishing this. The financials are due June 6th or sooner. This will be the confirmation many need to take a position in apt. Symbol change and letter to shareholders are coming soon. Apt management own 400M shares themselves. They want to succeed.
