I see the new Form 4 .... obviously a PP at $1.30 as that volume didn't exist in the public domain.
Funny to see Form 4 before an 8K announcing it. But ZIVO Legal said Marchiando was out sick. So who knows.
And remember, we've endured 2 RS. One at the raise to move to Nasdaq ... and the most recent in October.
1-80 May 2021 and 1-6 Oct 2023. Tends to put major dent in share count. Still can't believe $13 million raise in 2021 and still ... nada. Well we do have $12k in revenue from the algae .... ROFLMAO !!
What really sucks ..... if chicken test is good and license hints are offered and it happens, this thing should rebound to beginning of 2023 prices or better (with actual license) which is about $20 split adjusted. But because ZIVO can't communicate and control message and deliver on time ..... expecting that isn't gonna happen. Plus there is a terrible raise in there as well ..... but who knows ... it's a new year .... stranger things have happened.

Heard from ZIVO legal already. Marchiando out sick and they have to look into the ZIVOW warrants. Meanwhile should we get news before this is corrected I wonder how the warrants will react and be treated because they have been trading here and there.

Happy New Year Gwinner ... that would surely be a nice start ..... based on assumed positive chicken test results. I presume there would have been a 4th qtr board meeting recently which should have discussed that. I've been having a bang up last couple weeks of December and expect spillover into January so added onto my ZIVO swing would be a nice addition.
Separately .... heard from Issuer Direct and haven't yet heard from Marchiando on the ZIVO warrants. My guess is someone forgot the publicly traded warrants. =)
Issuer Direct apparently only does the work on ZIVO common .... not the warrants. So not sure who the transfer agent is on the warrants.

My position as you know has not changed on this deal since day 1. But we know some can't read or quote me correctly. And I also haven't implored anyone to buy or sell this stock nor made silly predictions that have been proven totally wrong time and again. I'm and others aren't lemmings and can think for ourselves. Which some don't like. Oh well. Too bad and could care less. Actually can't remember last time any ECSL bullish commentary provided any info of value ABOUT ECSL or anything for that matter. I sent email to Marchiando about it. My guess .... is someone along the line didn't do the warrant reverse correctly as ZIVO SEC filings say they were adjusted for the reverse and the price updated to $33.
But based on what I've heard, wouldn't shock me if Marchiando didn't respond quickly. I may send an email to the "info" email address at ZIVO that I'm pretty sure is monitored. I could stir the pot more significantly but I'll give it a minute or 2. =)

And $33 is not beyond the realm of possibility for a stock with 2 million shares outstanding. That is a $66 million market cap which is peanuts if coccidiosis candidate test results are positive.
But you still own the stock ..... sounds like you think there is still a chance.

And no one responded to my ZIVOW question.
I did go back and check my account as well as review ZIVO SEC filings. The last 10Q shows there are 495K ZIVOW publicly traded warrants at an exercise price of $33.00 per share ..... but there was no change to the number of warrants I owned with the RS in October. My account statement for October clearly shows the RS and corporate action for ZIVO common and the change in share count and CUSIP .... but no such adjustment for ZIVOW. Someone didn't execute something correctly on these.
Would be nice for the stock to rocket northward now so I can sell all the presplit warrants ... and then point the finger at whoever as not being my problem. =)
Anyway, sent an email to Marchiando to ask ... wassup ?

And it is no longer public info but BoD of Compassion First Animal Hospitals had BoD members from most major animal pharmas (executives) ... ya know, the one he is currently Vice Chair of after a merger. I mean ... Animal Hospitals .... they wouldn't use drugs from all the major animal pharma ... would they ? And current CFO of those hospitals also sits on ZIVO's BoD ..... but neither of them couldn't pick up the phone and talk to a major animal pharma in the blink of an eye.
Wake up Tony. ZIVO is zippo and already gone without him. That doesn't not mean that he will be successful. Just saying .... he's currently ZIVO's only and potentially ... last .... hope.

Payne IS a golden rolodex. You just haven't done the work. He got ZIVO the Zoetis deal. He knows the C Suite people having directly worked with them over the years. You'd know that if you looked and/or asked. The evidence is out there. As is the evidence that he serves on the same BoD with executives from several animal pharmas ... you'd know that as well if you looked. And ZIVO has already stated working with major animal pharma on coccidiosis. Who ya think got that connection going ? Marchiando ? ROFLMAO.
Anyway ..... did you want him to run the tests too ? He opens the doors. It is up the the rest of the team and the product candidate to perform. He also has put his money where his mouth is.
He did make a mistake not moving to get rid of Dahl sooner .... however ..... if you recall, Payne was not chairman until later. The CFO Rice was the chairman of the board .... which was always a head scratcher for me until he stepped down and resigned. Rice did very little here, wasn't a public markets guy, schweetheart deals for himself and his wife that produced zippo and certainly not qualified as CoB for any public company. And Rice never put a dime into ZIVO.

Honestly the news will not shock me either way ...... this week ..... deliver ... don't deliver. This mgmt is never early and late excuse is always someone else's fault.
ZIVO investors surely need a rocket ship blast off on this thing. Would surely be a nice belated Christmas present. We've endured enough coal in our stockings !!

Anyone else own the ZIVOW warrants .... I have some that I bought for leverage .... but it does NOT look like the RS in October resulted in a reduction in the number of warrants in my account. Just doing a year end review of accounts and was under the impression that all warrants and options were adjusted as well as part of the RS.
Given that it looks like a warrant share adjustment didn't happen on the RS .... wonder if the warrants now are still $5.50 for 1/6th of a share of ZIVO stock .... or they were supposed to be replaced 1 for 6 and a $33 strike ?
Just wondering if anyone else sees the same in their account .... or maybe I am missing something. Guess a call to transfer agent might be in order.

It all could change in a flash for sure. IMO, if chickens are positive .... and big pharma is interested ... I'm just saying .... $100 million is too low for the applications possible.
Also Payne is no spring chicken and there is no heir apparent that I see or know of ..... so something has to happen here in a relatively short amount of time ...... as I really don't see ZIVO moving to prove more verticals and taking another however many years to do so even though a much shorter path should be possible now. It is primed and packaged for a buyout. Just need results and the right number.
As noted previous .... I think any HEP Investments investors that have held ... I think need $48 / share now on their conversion shares resulting from the raise everyone was hosed on ... just to get their money back. And Maggiore, he's bought alot at higher prices as well. Who knows what his average cost is.
From purely selfish standpoint ... my 60 cents purchases would look very very nice at $50 and I have a few ZIVOW that would be worth roughly $17 each at $50. =) I'd take that in a flash !

ZIVO needs some ....eyes on ..... we are basically awaiting the results of a validation study supporting ZIVO's product candidate for coccidiosis in broiler chickens. It would be the first non antibiotic and first new product in the space in 60 years. And has further applications to other feed animals that would be targeted after a positive outcome from chickens.
Company has indicated results before year end ..... but of course ..... that could slip a little. Validation study was expected to end around end of November.

I agree that a positive chicken test .... SHOULD .... put the company is a very nice position to either be acquired or to license the product for chickens. There are so many potential targets here both pharma and neutraceutical it is ridiculous. In my book ... even $100 million buyout is not enough given the market verticals possible.
Doesn't look like anyone placing bets on ZIVO these last couple days ..... had hope to see some stealth buying and stock inching higher but stock holding stable for the time being ..... and against my norms ..... and given pending news ...... I'm still holding swing position. I had considered selling a few to cover the swing cost .... but the swing cost is no big deal to me if ZIVO fails again. The risk to reward is heavily in favor of reward should the result come in positive.

Every product candidate more or less has basic protocols that need to be done and proven in order for big pharma to take a look. Some more than others. In this case my understanding is that potential partners required these studies along with all the prior data of course.
As far as putting a "book" together ...... John Payne is a member of the "book".

Anticipation ..... LOL ..... volume diminishing to nothing so .... at minimum looks like tax loss selling could be done. But .... no one buying in "anticipation" of very positive news.
My opinion is ..... if you "believe" this validation study will yield a positive result and lead to a licensing scenario ..... it's time to own it. Risk $1.30. Reward ? Could be big numbers.

That article has nothing to do with ECSL.
International Ship and Marine Repair ... is/was .... a George Lorton company, but these properties in the article are in the Ybor City area of the port.
ECSL parcels and companies to be acquired are not those mentioned in the article. I have prior posted all of the parcel info and which Lorton company owns each. And the "ECSL" proposed properties are an entirely different area of the port.

In lieu of the failure to ramp algae production .... which IMO ... makes zero sense ..... seemingly all eggs in Alimenta basket which I dont get at least in the short term ..... I'd say chickens is "everything" at this point in time. So I tend to agree with ya on that.
Mgmt has flat out stated they have algae orders they can't fill yet ... seemingly does nothing about it when contract growers can be brought on board .... doesn't have to be forever contract but until Alimenta gets it in gear, they need to cut the BS and get something done. I'm sure it might be at higher production cost but zero revenues .... is FREAKING ZERO.
The silence is still a major problem for me.
But I placed my 60-62 cents bets and will see what happens. Not the position I'd normally swing with on ZIVO but have some tickets to the show.

1 thing I am sure of ...... 100% .... Maggiore believes in the algae and its health benefits. So really not a surprise to see him supporting the company still. And ... not really concerned about no news because he bought. Frankly the purchase was at ~40% HIGHER than the market price on that date (if it really happened on that date) which is totally unheard of. So if positive chicken news hits, his purchase looks like inside info but it was at a HUGE PREMIUM to market ... and ZIVO has no control over market activity .... AND ... he can't sell anyway .... should the stock rocket northward. Plus simple to show any regulator the company needed money.
HEP Investments ..... I think .... maybe .... might have a cost basis around $48 for shares that they potentially still own .... converted from debt when the Nasdaq uplist and raise occurred. I'd have to go back and look but not important to me at this time ..... but it's up there if they held all this time.
The PreMaggiore HEP Investments (Laith Yaldoo) has Dahl in there as a condition of their investment at the start. Huge mistake. A Yaldoo has no industry expertise either. So many many mistakes have been made in the oversight of this company.
Anyway ... maybe it all works out and maybe it doesn't. Let's see them chicken results ...... it is TIME.

That 8k sez transaction date is 12/13 ..... ie. yesterday. As far as I know, the stock was never $1 yesterday .... nor were 45K shares traded. So the filing is BS.
I suspect the unregistered sale is more sales to HEP Investments people who are likely so far underwater they have to do it. Maggiore is/was a member of the HEP Investments "group" of investors. So I'm inclined to agree with you that this purchase is probably the Dec 5th sale at $1.

The science ..... there's no lab where the PH'd go to work on things .... but I assume they still have the Ft Myers rental for a "lab" for Dr Belicka to go to ... who knows what they are doing because they don't communicate. I suppose what's his face Dr Harlan Miller goes there too. But other than that I don't think the science staff is full time cause there are surely no innovations and internal testing development happening.

Except for the daily chart ..... all shorter term chart timeframes down to 5 minutes have bullish crosses for the MAs I use to swing trade (among other indicators as well). The timing for the daily is still a couple days away but barring a sell off .... will signal a bullish cross as well. All nicely aligned to potential news from ZIVO. You can see the coiling I'm talking about ... but that of course can change in an instant. You will also not the main selling happened by Dec 1 .... could be sign of tax selling ... and potential buying back in come January. But who knows. That's up to individuals. I'm sure ZIVO has burned just about everyone that has bought the stock.
Of course when ZIVO opens mouth, stock usually tanks .... that has been a long standing joke ... because most PRs give no timelines, no accountability. More or less just states what already happened with no view forward or a very vague view forward.
IMO ... it would also be wise for Payne to post year end letter to shareholders .... what's on deck, what happening now on all fronts including summary of the decisions of last couple months (for Tony), what the expectations are looking ahead ... AND WHEN. Tough timing with chicken tests result pending ..... but I'd like to see chicken results posted with a look ahead (assuming positive) and then a shareholder letter shortly thereafter discussing all.
ZIVO needs to cut the silence BS and engage .... this is not difficult to do.

...... there are just over 2 million shares outstanding now .... and the float is probably around 1 million.
If Chicken test results are positive this go round ....... and an announcement of license with major animal pharma comes in behind that ..... this thing could easily run to over $20. Should actually run higher than that ..... but attach any major animial pharma name to a license here ...... and certainly could blast off.
Frankly that should get ALOT of attention .... a brand new ... NON antibiotic treatment ..... for chickens .... with added benefits ..... then ...... bovine mastitis ...... little piggies ...... and still don't know why glucosamine hasn't been challenged or sports recovery ...simple tests ..... hell I still think this would work against COVID and overall immune response.
But 2 million shares out now and selling for just above $1 ..... could be multiple bag winner for buys at these prices. The company and it's long sufffering investors need a win !

Dunno what was offered as that's been awarded iggy status long long time ago. I'm sure nothing offered .... nothing to take .... which amounts to the sum total of the bullish content from the ECSL mafia.
It is a shame that Lawrence cannot articulate to investors update after update what the hold up is. And IR is laughable. I'm not sure why Robertson is being paid. I'm sure he's a regular seller of shares as well since that's his comp from ECSL. But he offers zippo except a shield to mgmt that "actual shareholders" are paying for .... tossing shares into the wind for no ROI.
Time for mgmt to "close it" or be frank with "actual shareholders" on what the problem is closing this deal. I understand there are other components to the deal. I've stated that was the case since day 1 and the only way this deal happens. So need to cease with the games and let "actual shareholders" know where things stand.
