Hostile takeovers
A hostile takeover allows a suitor to take over a target company's management unwilling to agree to a merger or takeover. A takeover is considered "hostile" if the target company's board rejects the offer, but the bidder continues to pursue it, or the bidder makes the offer without informing the target company's board beforehand.
A hostile takeover can be conducted in several ways. A tender offer can be made where the acquiring company makes a public offer at a fixed price above the current market price. Tender offers in the United States are regulated by the Williams Act. An acquiring company can also engage in a proxy fight, whereby it tries to persuade enough shareholders, usually a simple majority, to replace the management with a new one which will approve the takeover. Another method involves quietly purchasing enough stock on the open market, known as a creeping tender offer, to effect a change in management. In all of these ways, management resists the acquisition but it is carried out anyway.
The main consequence of a bid being considered hostile is practical rather than legal. If the board of the target cooperates, the bidder can conduct extensive due diligence into the affairs of the target company. It can find out exactly what it is taking on before it makes a commitment. But a hostile bidder knows only publicly-available information about the target, and so takes a greater risk. Also, banks are less willing to back hostile bids with the loans that are usually needed to finance the takeover. However, some investors may proceed with hostile takeovers because they are aware of mismanagement by the board and are trying to force the issue into public and potentially legal scrutiny.

A reverse takeover is a type of takeover where a private company acquires a public company. 13D filings allow the investing public to see who a public company's large shareholders are and, perhaps more importantly, why they have an interest in the company. These filings may be a precursor to hostile takeovers, company breakups, and other "change of control" events.

All right everyone, I'm hoping I can be a rational voice here. Of course everyone is excited - RNWF shot up 266% in just under one hour with insane volume and considerable interest. We're at the top of the IHub boards and will probably be there the entire weekend. There's a lot of hype of this leaked document - so let's take a look.
1) The length. It's 17 pages long. This isn't just a one paragraph rumor (which we've had before!). There is plenty of information to be dissected besides the purchase price. In my humble opinion (yes, opinion) the documents appears professional. It also must be leaked. I can reach no other conclusion. (Thoughts?)
2) The Price. Of course, this is where everyone is focusing. You've got 12 cents a share and 64,175,520 shares issued, which leads us to a purchase price of $7,701,062. CPV is paying slightly over $7.5 million for RNWF. I encourage you to go look at RNWF's old 10-Q's and you will see that this company, while indebted, also generated a great amount of sales revenue - into the millions. It seems perfectly reasonable, especially if they are acquiring new technologies (which is hinted at in the recitals). As many have stated, this amount is a drop in the bucket for a company like CPV with billions under management.
3) The Timeline. Check out Section 4.4 about Confidentiality. That agreement was signed in June...indicating that these discussions have gone on for a while. And for everyone questioning the (lack of) filing, the document clearly states that it is to be filed by Dec. 5th. Also, a certificate of merger is to be filed then. Section 4.6 makes it pretty clear that there are to be no public announcements until the filing - so I'd be surprised to get word from either company. This could be good or bad. So in sum, don't get your hopes up for immediate word from the companies Monday morning.
4) The Folks Involved. Not sure if anyone else saw this, but apparently RNWF has an Interim CFO (Donald Jackson). Would love to try and get more information about him. Also, just from glancing at the Wachtell Lipton website, they are huge - and do M&A stuff all the time. Once again, don't expect to get word from the firm confirming or denying. They are professional and I'd be extremely surprised if they could release any comment at this point in time.
5) The Implications. I don't really have to spell this out, do I? I need to bold this next point: Back in May, RNWF ran to THREE TIMES THIS LEVEL on the tiniest of rumors. Now, we've got an entire Agreement of Reorganization on our hands. Do you see where this could go?
Those are my thoughts. Nothing too new; just wanted to dig a little deeper and strike up conversation. I obviously am hoping for the best here, but I of course have no clue where this goes next. Also, if Mark Uram is still holding on to all those shares, he's a genius. Spread the word, dig deeper, but enjoy the weekend too. Best of luck to everyone!
