Reverse Merger information! From the perspective of a public shareholder, a reverse
merger is most likely to be good news: instead of owning shares in a company that does
“nothing”, the investor will own shares in a company that does “something” after the
merger.
The owners of the shell company, however, only seek to increase the value of their
investment and merging with an existing private (and hopefully profitable) private
company accomplishes this quickly. Recently the stock of Sports Entertainment
Enterprises Inc., rocketed form 10 cents to as high as $11 on the news of a proposed
reverse merger by Robert F. X. Sillerman, who in turn, made a deal to take control of
Elvis Presley’s estate. Although Sports Entertainment has had no active operations since
2002, Mr. Sillerman proposed to buy upto 96% of Sports Entertainment’s stock to
engineer the merger. Only 4% of the company’s stock is actually publicly traded, but Mr.Sillerman is purchasing the stock from the founders of Sports Entertainment, and will
change the company’s name once the deal is completed.
Here are some high-profile and successful RTOs:
Armand Hammer, world renowned oil magnate and industrialist, is generally credited with having invented the "Reverse Merger". In the 1950s, Hammer invested in a shell company into which he merged multi decade winner Occidental Petroleum.
In 1970 Ted Turner completed a reverse merger with Rice Broadcasting, which went on to become Turner Broadcasting.
In 1996, Muriel Siebert, renown as the first woman member of the New York Stock Exchange, took her brokerage firm public by reverse merging with J. Michaels, a defunct Brooklyn Furniture company.
One of the Dot Com fallen Angels, Rare Medium (RRRR), merged with a lackluster refrigeration company and changed the entire business. This was a $2 stock in 1998 which found its way over $90 in 2000.
Acclaim Entertainment (AKLM) merged into non operating Tele-Communications Inc in 1994.

The whole thing with GSCR lies you ones ability to understand what a reverse merger is and how it effects a stock. On June 22 Green Shift announced that they were going to sell GSCR to Seaway Capitol as a "Shell Company" Seaway Capitol is a company that is owned by Tom Scozzafava. What Green Shift was doing was taking a company that they was listed on the OTCBB, removing all of the things that it did, what it did to make money, and leaving just the name of the company and its stock symbol. Hence the term "Shell" they then sold this shell to Tom, which in turn gives Tom the opportunity to place any companys he owns into it. You need to think of Seaway capitol along the lines of a holding company. The first thing Tom did was to put Wise Buys into this shell, then he had Wise Buys complete the purchase of Hacktes Hardware stores and merger them with Wise Buys and now both of them are in the Shell. So from an empty GSCR shell that Tom bought he has put Wise Buys and Hackets into it to make it a revenue producing stock once again. According to the press releases from Tom he intends to place other companys that Seaway capitol owns into this stock as well. The stock will sone be changing its name from GS Caron (GSCR) to Seaway Capitol and will then have a new symbol. When Tom took over the shell part of the deal was he had to take the 1.5 million dollars that GS Carbon still owed to Cornell Investment Brokers..debt. Since he has had the company, remember he got it officially on July 1, but made the purchase on June 22, half of that debt has been paid off. Now this is important, so listen very carefully, IF YOU ARE GOING TO DO RESEARCH ON THIS COMPANY YOU CAN NOT LOOK AT ANYTHING BEFORE JUNE 22. IF YOU DO YOU ARE LOOKING AT WHAT A COMPANY THAT NO LONGER EXSISTS DID. People on boards every where keep refering to what GSCR did on say May 1 of 05 or April of 07 et et...now of the means squat to this company now. You can only look at June 22 until today. And until the symbol and name changes come that will continue to happen. Now the second most important aspect of this deal is this..Both Wise Buys and Hacketts were private companys so their financials were not released to the public. So the investment community does not know for sure if these are profit making companys or not. Seaway Capitol, who now owns Wise Buys and Hacketts are have the audits done and will report the financials in Aug. When they do it is my contentions that they will both show profits and then this stock will make is very big run up. Goldenrod is correct when he says its retail, they dont usually get real big prices for their stock. But listen up people, the stock is trading right now at .0064 if it is just a mild success as a retail stock it will trade around a buck. Tom S. is a very successful business man, he did not have all of this lined up in the hopse that Wise Buys, which he was the CFO of before buying it out right and Hacketts were making a profit. You can bet your ass he knows they are profitable already. So my money is here, I am no longer waiting on Al to get done traveling, tired of pictures of a mine and dont trust them diamond Ruskies any futher then I can hurl them. Its your money do what you think is best, mine is in Seaway Capito, GSCR for now. TG

Your correct, I rounded up, but NO DOUBT, undervalued. I believe the street hesitated tremendously on this one, maybe they didn't think Tom was capable of making this happen, but he made it happen, and no doubt, next weeks action will be fruitful for all the patient longs. Good luck my friend.
